Nature of Business. The partners listed above hereby agree that they shall be considered partners in business for the following purpose: The goal of this partnership is to assist JB Ogle in becoming a No Kill facility by August 18, 2013. To do so, among other things, we will work to promote a shelter environment that allows a No Kill model to flourish; provide additional support for Jeffersonville and the surroundin community's g Y pet owners; and create a proactive partnership that will work to increase adoptions; increase the number of foster homes (to provide for young, senior, or recuperating pets and /or to ease the burden when the shelter is full); provide volunteer support for the shelter staff; and increase spay /neuter efforts. i 2. Name. The partnership shall be conducted under the name of Shelter Partnership Agreement and shall maintain offices at JB Ogle Animal Shelter and No Kill Louisville's new offices located at 1700 Mellwood Avenue, Louisville, KY, 40202. Please note: the PO Box listed at the start of this document is the official address i listed on all tax relevant No Kill Louisville information. 3. Day -To -Day Operation and promotion of agreement. The partners shall provide their services and best efforts on behalf of the partnership. No partner shall receive a salary for services rendered to the partnership. Promotion: JB Ogle will host a joint press conference announcing this partnership to the public and media on an agreed upon date. NKL and JB Ogle /Jeffersonville city representatives will each have an opportunity to speak Pp Y p No Kill Louisville will promote and advertise efforts through g paid for ads, press releases, and events. JB Ogle's director must sign -off on any and all press releases or ads mentioning JB Ogle before they are made public and NKL's president will receive the same courtesy if any press releases or ads mention NKL. 4t 1 JB Ogle will promote a "pet of the week" — sending images to local news outlets. No Kill Louisville will establish Furry Features — promoting additional pets at JB Ogle, supported by volunteers and approved by shelter staff. JB i Ogle will work with NKL volunteers by providing adoptable pets for volunteers to transport to meet the public at outside events where No Kill Louisville has a booth. NKL must provide at least two weeks advance warning unless arrangements are made with shelter staff. 1 Day -to -day operations: JB Ogle's staff will assume day -to -day operations of the shelter facility. No Kill Louisville's volunteers will assist in the establishment of a more comprehensive TNR and other spay /neuter programs; recruitment of additional volunteers and fosters for the shelter's programs; and assist with the establishment of an offsite adoptions facility and recruitment of volunteers to run the facility. No Kill Louisville will also assist in applying for Rescue Waggin' as well as the training of behaviorists and finding fosters to move the dogs chosen immediately out of the shelter and into foster homes. JB Ogle will be featured as NKL's "Partner Shelter" at the Million Mutt March and, as such, will be featured in all advertising, t- shirts, and will have the opportunity to place information in all runner /walker packets. The shelter will receive the same "billing" during the annual Angel Tree promotion by NKL. 1 I f 5 No Kill Louisville will assist in additional programs, promotional needs, and more as determined per the needs of the shelter and as agreed upon by both parties. No Kill Louisville will also work with local rescues, especially Southern Indiana Rescue (SIR) who have a long partnership with JB Ogle, in an effort to help more pets in need. JB Ogle will work directly with No Kill Louisville representatives to ensure shelter rules and regulations are followed in the establishment of above programs. A working timeline has been agreed upon by both organizations' leaders. Should there be differences between the partners concerning ordinary business matters, a decision shall be made by unanimous vote between the shelter director or Mayor of Jeffersonville and NKL president. It is understood that the partners may elect one of the partners to conduct the day -to -day business of the partnership; however, no partner shall be able to bind the partnership by act or contract to any liability exceeding $400 without the prior written consent of each partner. 4. Capital Contribution. The capital contribution of each partner to the partnership shall consist of the following property, services, or cash which each partner agrees to contribute: No Kill Louisville will work to raise funds in support of No Kill- related programs; any and all funds raised for the JB Ogle Animal Shelter will be earmarked for use at the shelter and for its program only A record of any donated funds earmarked for or spent on behalf of Jeffersonville will be kept and distributed to the shelter director and Mayor of Jeffersonville quarterly; any funds remaining after the one year period of this document will go into JB Ogle's fund for medical assistance of shelter pets All funds of JB Ogle Animal Shelter will remain with the shelter; NKL has no claim to those funds. Adoption fees: If a pet is pulled from the shelter by a rescue, Rescue Waggin' or No Kill Louisville and enter into another organization's program, JB Ogle waives all rights to the adoption fees. NKL may elect to have the adoption fee go to the shelter. 5. Profits and Losses. Both parties waive any liability in the other organization's profits or loss. 6. Term/Termination. The term of this Agreement shall be for a period of _1 year(s), unless the partners mutually agree in writing to a shorter period. Should the partnership be terminated by unanimous vote, the assets and cash of the partnership shall be used to pay all creditors, with the remaining amounts to be distributed to the partners according to their proportionate share. 7. Disputes. This Partnership Agreement shall be governed by the laws of the State of Indiana. Any disputes arising between the partners as a result of this Agreement shall be settled by arbitration in accordance with the rules of the American Arbitration Association and judgment upon the award rendered may be entered in any court having jurisdiction thereof. 8. Withdrawal /Death of Partner. In the event a partner withdraws or retires from the partnership for any reason, including death, the remaining partners may continue to operate the partnership usi _ the same name.
