Contract
This contract is between the City of oe~;rsonville,.,~ Indiana (hereafter referred to a.s
"Client") and Custom Internet Solutions (hereafters,,.. ~.~ referred to as "Contractor") located at

3604 Sea Pine, Jeffersonvi~le, Indiana.
WHEREAS, the Client desires to contract for services in the area of Web page
design and programming for a new Web site, . inCluding future updates and additions as
they are necessary, and Contractor is capable and willing to provide such services, the,
parties agree to enter into this Contract upon the following terms and conditions:

Term of Contract
The Contract shall be for a period of one year, from the date of signing of this
Contract, with options to renew on an annual basis, if agreed upon by both parties.

Compensation
For design and programming services rendered under this Contract the Client will
pay the Contractor an amount not-to-exceed.. , three thousand dollars {$3,000.00) for
the new Web page design and prog'"~ramming· Quarterly invoices in the amount of
$300.00 ($100/month) will follow for unlimited updates and changes. The addition of
new services (online credit card transactions, new databases, etc.), beyond the
scope of the new design, shall be billed separately at a price to be determined and
approved by both parties.

Duties of the Contractor
Contractor is engaged to provide the following services relative to this Contract:
Create and program a new Web site design for the City of Jeffersonville,
utilizing their existing server, hosting services, ASP database, and email
server. The new design shall interface will all of the above mentioned
services and hardware.

Provide design and content changes as necessary, based upon submitted
materials from the various City departments, Mayor, and IT Director.

Liabilities
Contractor will not be liable for delays in the project caused by acts of nature or by
the actions or performance of any unions, guilds, companies, agencies, agents or
any other causes that are beyond the Contractor's control.

Termination
In the event of termination of the project by the Client, Contractor shall be
compensated for all materials produced and services performed up to and including
the date of termination. Contractor shall be given thirty days notice in advance of
termination, and notification of termination of the project must be in writing by the
Client.

General Terms
This Agreement represents the entire agreement between Client and Contractor.
No modification to this Agreement is valid unless it is in writing and signed by both
parties. This Agreement shall be governed by the laws of the State of Indiana.
