HomeMy WebLinkAbout2023-R-10 Resolution Renewing Interlocal Agreement Between City of Jeff, Jeff Rdevelopment, Clarksville, and Clarksville Redevelopment RESOLUTION NO. 2023-R-P A RESOLUTION RENEWING INTERLOCAL AGREEMENT BETWEEN CITY OF JEFFERSONVILLE,AND THE JEFFERSONVILLE REDEVELOPMENT COMMISSION AND THE CIVIL TOWN OF CLARKSVILLE AND THE CLARKSVILLE REDEVELOPMENT COMMISSION WHEREAS, an Interlocal Agreement was entered into by and between the City of Jeffersonville, Indiana and the Jeffersonville Redevelopment Commission through its Mayor and City Council, hereinafter referred to as ("City") and the Civil Town of Clarksville, Indiana and the Clarksville Redevelopment Commission,hereinafter referred to as "Town"), the parties shall be referred to collectively as the "Participating Governmental Entities"; and WHEREAS,this Agreement shall begin at such time when all parties hereto have signed this Agreement and remain in full force and effect from the time it is executed by all parties until its purposes have been accomplished but in no event longer than four (4) years after its execution; and WHEREAS,the purpose of this Agreement is to make application for and use of federal funds through the Indiana Department of Transportation (INDOT) and the Kentuckiana Regional Planning and Development Agency(KIPDA)for a Pedestrian Improvement Project on Montgomery Avenue in Clarksville and on Ninth Street in Jeffersonville; WHEREAS,the Common Council believes that it is in the best interest of the City and the Redevelopment Commission to enter into this Interlocal Agreement; WHEREAS, the City of Jeffersonville, the Jeffersonville Redevelopment Commission Town of Clarksville, and the Clarksville Redevelopment Commission, previously entered into an Interlocal Agreement for a Pedestrian Improvement Project on Montgomery Avenue in Clarksville and Ninth Street in Jeffersonville in March 2018; and WHEREAS,it is necessary to renew the Interlocal Agreement; NOW THEREFORE, IT IS HEREBY RESOLVED that the Common Council of the City of Jeffersonville does hereby renew the attached Interlocal Agreement between the City of Jeffersonville, and the Jeffersonville Redevelopment Commission and Civil Town of Clarksville and the Clarksville Redevelopment Commission. Mike Moo e, Mayor RESOLUTION NO. 2023-R- 4 BEFORE THE JEFFERSONVILLE REDEVELOPMENT COMMISSION STATE OF INDIANA A RESOLUTION RENEWING INTERLOCAL AGREEMENT BETWEEN CITY OF JEFFERSONVILLE, AND THE JEFFERSONVILLE REDEVELOPMENT COMMISSION AND THE CiVIL TOWN OF CLARKSVILLE AND THE CLARKSVILLE REDEVELOPMENT COMMISSION WHEREAS, the City of Jeffersonville Redevelopment Commission ("Commission") was created for the purpose of undertaking economic development and redevelopment projects in the City of Jeffersonville ('City') pursuant to I.C. 36-7-14 and I.C. 36-7-25; and WHEREAS, an Interlocal Agreement was entered into by and between the City of Jeffersonville, Indiana and the Jeffersonville Redevelopment Commission through its Mayor and City Council, hereinafter referred to as ("City") and the Civil Town of Clarksville. ME INTERLOCAL AGREEMENT BETWEEN THE CIVIL TOWN OF CLARKSVILLE THE CLARKSVILLVE REDEVELOPMENT COMMISSION, THE CITY OF JEFFERSONVILLE, AND THE JEFFERSONVILLE REDEVELOPMENT COMMISSION THIS AGREEMENT is entered into by and between the Civil Town of Clarksville, Indiana ("Town"), Clarksville Redevelopment Commission, the City of Jeffersonville ("City"), and the Jeffersonville Redevelopment Commission. Section 1. Duration and Termination This Interlocal Agreement shall remain in full force and effect until its purposes have been accomplished but in no event longer than four(4) years after its execution. Section 2. Purpose. The purpose of this agreement is to make application for and use of federal funds("funds") through the Indiana Department of Transportation (INDOT) and the Kentuckiana Regional Planning and Development Agency(KIPDA)for a Pedestrian Improvement Project("the project") on Montgomery Avenue in Clarksville and on Ninth Street in Jeffersonville. Section 3. Manner of Financing, Staffing, and Supplying the Joint Undertaking of This Interlocal Agreement. 1. The Town of Clarksville shall be the lead local agency with INDOT and KIPDA in application for funds and administration of the funds. 2. The parties shall select necessary design and inspection consultants through INDOT's rules and regulations, and such selections shall be made jointly by staff from both the Town and the City. 3. Costs for design and construction of the project shall be divided by the Town and the City based on the percentage of overall work completed in each community from the funds. 4. Following completion each community shall assume sole liability for maintenance issues and costs for the parts of the project in their respective communities. 5. Pursuant to IC 36-1-7-4(a), the Clerk-Treasurer of the Town is hereby delegated the duty to receive, disburse, and account for all monies of this joint undertaking Section 4. No Liability Incurred by Operation of This Agreement. Nothing in the performance of this Agreement shall impose any liability for claims against the Town or the City other than claims for which liability may be imposed by the Indiana Tort Claims Act. Section 5. Indemnity. Each party to this Agreement will be responsible for its own actions under this agreement and shall not be liable for any civil liability that may arise from the actions of the other parties. Each party shall indemnify and hold harmless the other parties for civil liability that may arise from that party's acts or omissions. Section 6. :Administration of Interlocal Agreement. The interlocal agreement shall be administered jointly by the Town's employee in charge and the City's employee in charge or their respective designees. These persons shall be authorized to perform all duties and carry out all functions as are necessary to carry out this Agreement. Section 7. Acquiring, Holding, and Disposing of Property Each party shall purchase or provide any and all material or equipment necessary for the project, following Indiana statutes, Section 8. Miscellaneous. By entering into this Agreement,the parties do not intend to create any obligations,express or implied, other than those set out herein. This Agreement shall not create any rights in any party not a signatory hereto.
