Re: Consent to Assign Agreement for Cash Advisory Services
Dear Heather:
Reference is made to the Agreement for Cash Advisory Services dated as of October 29, 2010(as
amended from time to time,your "Agreement"),by and between Umbaugh Cash Advisory Services, LLC
("Umbaugh")and the City of Jeffersonville.
We are pleased to announce that Umbaugh is joining forces with Baker Tilly Virchow Krause,LLP
("Baker Tilly"). This combination will allow us to broaden and enhance the services we provide to our
loyal Umbaugh clients. Under our arrangement, the Umbaugh investment advisory representative or
representatives who have been working with you personally to assist in your cash management will continue •
to work with you. However,those advisers will now be affiliated with Baker Tilly Investment Services,
LLC("BTIS"),a unit of Baker Tilly,rather than Umbaugh.
Your previous Umbaugh representative will become licensed with BTIS,which will be registered
under federal and state laws to provide cash management services. In order for you to continue to work
with your representative, Umbaugh proposes to assign to BTIS your Agreement (the "Assignment"). By
executing the Consent to Assignment enclosed with this letter, you hereby consent to the Assignment
effective as of the closing of our transaction with Baker Tilly, scheduled to occur on or about March 1,
2019. Until the transaction is completed and the Assignment is effective,Umbaugh will continue to advise
you.
Please return a signed copy of the enclosed Consent to Assignment to George Bawcum by email at
bawcumaumbaugh.com no later than February 15, 2019. Should you have any questions about the

with you in the future.
