This contract covers personal appearance services only. Any radio or TV appearance in conjunction with or in respect of this contract or of performances herein provided for must have prior approval by Artist's management and provision therefore must have been inserted In this contract In advance of the contemplated radio or TV appearance. 2. Any appearance or performance by the Artist for any reason whatsoever other than at the herein stated times and places must be cleared by Buddy Lee Attractions,Inc.prior to the contemplated appearance or performance,and if agreed upon and cleared,provision therefore must be inserted in this contract in advance. 3. If for any avoidable reason of transportation difficulty,Act of God,etc.,the Artist fails to make one of two more contracted appearances on the same day,the contracted price per day may be reduced by not more than a maximum of twenty percent(20%.) 4. If this contract covers an engagement to be played in one of the Canadian Provinces,this contract is valid only when it is accompanied by a completed"Application For The Entry of Entertainers"form supplied by the Canadian Government. 5. Buddy Lee Attractions,Inc.negotiated this contract between the Artist and the Purchaser. Buddy Lee Attractions,Inc. is not,and will not be,responsible for performance hereof or hereunder by Artist or by Purchaser. 6. All funds which may be or become payable hereunder to Artist at the Engagement shall be paid to the Artist in cash, unless Artist specifically requests otherwise,in which case the funds shall be paid as Artist may request. Such funds are not payable to Buddy Lee Attractions,Inc, 7. It is expressly agreed that Buddy Lee Attractions,Inc.shall have the right,on behalf of the Artist,at any time,to require payment in full of the Price above agreed upon,prior to Artist's departure for the Engagement or Engagements mentioned above.The Purchaser's failure to comply with such requirements for payment in full shall be considered willful breach of this contract and all deposits in possession of Buddy Lee Attractions,Inc,which were paid hereunder by or on behalf of Purchaser shall be retained on behalf of may be paid over to the Artist and shall be applied toward payment of the full price. 8. In the event that the Gross Box Office Receipts(GBOR)and/or admission prices exceed those stipulated above in this contract,Purchaser must pay the Artist on the night of the Engagement the total difference between the agreed potential gross and the actual gross. 9. It is acknowledged and expressly agreed that Buddy Lee Attractions,Inc.is acting herein and hereunder solely in the capacity of agent for the Artist for whose services this contract is made and that Buddy Lee Attractions,Inc.is not, and will not be,held liable or responsible for any breach of the contract by,or for any act or failure to act on the part of,the Artist or the Purchaser. In implementation of the foregoing acknowledgement and agreement,and for the benefit of Buddy Lee Attractions,Inc.,it is agreed that neither the Purchaser nor the Artist will name or join Buddy Lee Attractions,Inc.as party in the civil action,suit or other court proceeding arising under or out of this contract or in connection wlth or related to any breach of the contract or any act or failure to act by or on part of either the Purchaser or the Artist. 10. Promoter shall indemnify,defend and hold harmless Buddy Lee Attractions,Inc,and its officers,directors,employees, agents,representatives,and successors-in-interest from and against any and all claims,losses,demands,actions, damages,liability,costs and expenses,whether direct or indirect(including settlement costs and any legal and other professional fees and expenses for investigation or defending any actions or threatened actions)arising out of or in connection with any personal injury,death,property damage or other loss or damage which occurs in connectlon with the Engagement or Engagements mentioned above. 11. Should inclement weather render performance of the Engagement hereunder impossible or not feasible, Purchaser shall nevertheless pay the Artist the full agreed Price(or any unpaid balance of the Price) hereinabove provided. 12. The agreement of artist(s)and musician(s)of this contract to perform is subject to proven detention by sickness,accidents,riots,strikes,epidemics,weather,war,Acts of God,or any other legitimate conditions beyond their control. ADVERTISING A. Buyer shall only use photographs supplied by Artist or Artist's agency. Approved biography, photographs (B&W, color, slides & video) may be obtained from Three Sheets to the Win. B. There shall be no signs, placards, banners or any advertising material on or within fifty feet (50) of the stage, nor shall the name Halfway to Hazard be used or associated directly or indirectly with any product or service without Artist's written permission. 4 . APPROVAL OF OTHER PERFORMERS A. Buyer agrees that Artist's staging & equipment set-up overrides opening act (s) staging and equipment. B. Artist shall have the right to approve the length and set list of the performance of support act (s) on the program and Artist shall have final approval or disapproval of their use. 5. MERCHANDISING A. Halfway to Hazard reserves the right to sell souvenirs, books, photographs, record albums, tapes, T-shirts and other related souvenirs at no cost to the Artist. The name, photographs or likeness of Halfway to Hazard may not be used in or on any other program or souvenir, book, poster, pamphlet or any other material or merchandise unless approved by Average Joes Management. B. Three (3) concession tables to be placed at least three (3) hours prior, at best location (near entrance) . Security to be available at all times. Artist shall have permission from building and promoter to sign autographs to the general public after the show is completed. - 3— 6. PARKING, TRANSPORTATION & Lod in A. Buyer shall provide parking space immediately adjacent to the stage door for one (1) seventy- five foot bus and trailer. B. Buyer shall provide a runner with a vehicle that can seat 8 people from arrival through load-out at no expense to Artist. C. Buyer shall provide two double (2) hotel rooms, one (1) driver room available for early am check-in, and one (1) clean up room for the band w/ extra towels and toiletries. Only 1 room is required if there are NICE shower facilities onsite for the band to be able to clean up. 7 . SECURITY A. Buyer shall guarantee adequate security at all times to insure the safety of the general public, Artist personnel, their instruments, personal property, vehicles and Artist's production from stage call through load-out. B. Buyer shall provide a minimum of two (2) uniforms and eight (8) T- shirt security personnel to be present a minimum of one (1) hour after show ends. One (1) T-shirt security shall be provided three (3) hours prior to show. C. Head of security shall work with Artist's Tour Manager to insure proper distribution of security personnel. D. Artist shall supply backstage passes to all personnel and have sole control of the backstage area. 8. TICKETS, TICKET COUNTS, ETC. , A. The specific capacity, gross potential and ticket price breakdown of the facility where Artist is to perform shall be clearly printed on the face of the contract. B. It is hereby agreed that if there is any change from the stated ticket price as it is printed on the face of the contract and the ticket prices actually charged. Artist will receive one hundred -4- percent (100%) of the difference between the ticket price as it is printed of the face of the contract and the price actually charged. C. All tickets shall be printed by a bonded ticket house, or if the performance is at a college or university, by the official printing department for the college or university. Buyer agrees not to discount tickets at a premium without permission of Artist. D. Buyer shall not distribute more than two percent (2%) of the official house seating as complimentary tickets for any performance of this engagement. Buyer shall supply to Artist's representative a statement detailing for whom each complimentary ticket is given. This allotment should be used for radio and press representatives. Any unused complimentary tickets may be placed on sale with permission of Artist. E. Twenty (20) tickets per show will be held for Artist's guests until one (1) hour prior to show time or until released by Artist or his representative. Seating for Artist' s guests shall be located in the center of the house, between the 10th and 20th rows. F. A detailed box office statement is required and shall be presented to Artist's representative on the date of the performance. When situations where Artist's compensation does not include a percentage participation, a box office statement is still required. G. Ticket counts should be made to Average Joes Entertainment, JOSH BLEIDT, daily by phone or email. 9. INSURANCE Buyer warrants and represents that he has a minimum of one million dollars ($1, 000, 000.00) of general liability insurance carrier to add Picnic Hill Records, LLC as an additional name insured on his policy of insurance at no cost to Artist. Buyer shall attach a certificate of insurance verifying such coverage of insurance at the time Buyer returns the contract to Artist's agent. - 5— 10. PERSONAL APPEARANCES, INTERVIEWS, BROADCASTING, VIDEOTAPING A. Buyer agrees not to commit Artist to any personal appearance, interviews or other such promotions. Buyer shall not permit the recording, broadcasting, filming or videotaping of any performance. 11. LEGAL WARRANTY Buyer warrants that he has the right to enter into this contract and is of legal age. The validity, construction and effect of this contract shall be governed by the laws of Davidson County, Nashville, Tennessee, USA. 12 . MODIFICATION OF CONTRACT It is hereby understood and agreed that Buyer shall not add to, delete from or make any alterations in the contract or rider without permission in writing from Artist's representative. 13 . PREEMPTION A. If Buyer fails to comply with any of the terms, conditions or requirements of this contract or rider, Artist shall have the right to refuse to perform and shall be entitled to full compensation under ,this agreement. B. Buyer agrees that Artist may cancel this engagement hereunder, at Artist's sole discretion, by giving Buyer notice thereof at least thirty (30) days prior to commencement date of the engagement hereunder. -6— 14 . INCLEMENT WEATHER Notwithstanding anything contained herein, inclement weather shall not be deemed to be a force majeure occurrence, and the Purchaser shall remain liable for payment of the full contract price even if the performances called for herein are prevented by such weather conditions. Artist shall have the sole right to determine in good faith whether any such weather conditions shall render the performance (s) impossible, hazardous or unsafe. 15. FORCE MAJEURE Artist 's obligation to furnish the entertainment unit referred to herein is subject to the detention or prevention by sickness, inability to perform, accident, means of transportation, Act of God, riots, strikes, labor difficulties, epidemics and any act or dissimilar, beyond Artist' s control. Provided Artist is ready, willing and able to perform, Purchaser agrees to compensate Artist in accordance with the terms hereof regardless of Act of God, fire, accident, riot, strike or any events of any kind or character whatsoever, whether similar or dissimilar to the foregoing events which would prevent or interfere with the presentation of the show hereunder. 16. DRESSING ROOM A. PRIVATE Artist dressing room within reasonable distance to the stage to have adequate lighting, preferably two lamps with bulbs, running hot water and mirror. Dressing room should be furnished with a couch, loveseat and coffee table. Dressing rooms are to be set up at load-in and should be stocked with: 1 12 pack of Ginger Ale 2 4 Packs of Red Bull 2 case of spring water - 7- 1 bag of Cool Ranch Doritos 1 Bag of Nacho Doritos 1 Vegetable tray 1 jar of peanut butter 1 jar of Sabra Hummus 1 jar Dill Pickle Spears 8 bath towels & 8 hand towels. 2 large bags of ice for drinks 1 bag of blue solo cups 1 case of Coors Light 2 bottle of Vodka (Grey Goose or equivalent) C. After show, please provide to the artist's tour manager another large bag of ice. 17. CATERING A. Lunch for up to 8. Ex. Sandwiches, salads, chips etc. B. Hot meal (Dinner) for up to 10 to be served prior to show. Example: Grilled chicken & potatoes, 2 vegetables, dessert. C. After show food/snacks. Pizza, Wings, Apps etc. 18 . EQUIPMENT REQUIREMENTS A. STAGE 1. One (1) 401w x 301d x 31h Performance Stage. Stage shall be level reinforced and of sound, solid construction. 2. Two (2) sound wings separate from the stage when house sound system cannot be flown. (Sound system should be flown whenever possible. ) 3. One (1) 8' x 8' x 16" drum riser, carpeted and skirted. 4 . If show is to be outdoors, Purchaser shall provide and pay for a covering over the stage and FOH & monitor mix position to protect Artist and all of Artist's equipment, and shall be subject to - 8— reasonable approval by Artist's representative. The stage shall be set up in accordance with Artist's stage diagram. 5. If stage is of temporary construction, two (2) sets of stairs are to be provided. One stair case is to be positioned at upstage corner nearest the dressing room access. The other shall be positioned the morning of the show. Both of these staircases should have handrails on each side and have adequate lighting. B. SOUND REQUIREMENTS 1. Buyer to provide a professional sound system consisting of no less than a three-way house speaker cabinet system providing full frequency response evenly distributed across the sound frequency spectrum, and delivered evenly to the entire audience, per the below specifications. 2. Said sound system should have adequate power to deliver at least 115 DB of continuous sound free of hums and noise, tested with lighting up and turned on. Artist representatives are to have complete control of said equipment during sound check and show. C. FOH EQUIPMENT 1. One (1) 40 input house console (Yamaha PM 4000, PM 3000) . The FOH rack should consist of no less that one (1) stereo 1/3 octave EQ, three (3) digital effects processors (Yamaha 900, 990, or Lexicon LXP 15 quality) , one (1) digital delay (Roland or Korg) , ten (10) compressor/limiters (DBX 160 XT or DBX 166A) , six (6) gates (Drawmer quality) , one (1) CD player 2. FOH mix position to be no more than 100 feet away from stage with an unobstructed view of entire stage (preferably in center of stereo imaging of sound system) . D. MONITOR EQUIPMENT 1. One (1) 40 channel monitor input console (Ramsa 840, Midas X13, -9— Soundcraft 8000, Crest Century) . The monitor system shall be configured to provide 8 discrete mixes with 1/3 octave E.Q.S. , 8 wedge mixes with 8 monitor wedges containing matching 2-12" woofers and 1-2" horn driver (ie. EAW 222, Woodworks Mix 2, or Clair 12AM) comparable bi-amp set-up with cross over accessible. One (1) reverb unit (Yamaha SPX 900, 990) quality with stereo returns, 3 channels of compression (1 DBX 160XT or better, 1 DBX 166A or better) . 2. Monitor mix position to be stage right with unobstructed view of entire stage at a height of no more than two (2) feet below stage level. 3. 2 guitar stands. E. STAGE POWER & PATCHING 1. A minimum of six (6) discrete circuits of 30A (quads) for musicians' equipment purposes plus an additional drop near monitor position for ear monitoring processing. 2. All cables (patch, mic, AC, monitor, etc. ) will be of ample gage and in good repair, all cables should be of adequate quantity and length for stage dressing, with some spares. Mic accompaniment D. I. Boxes and mic stands as per stage plot and input list. F. LIGHTING SYSTEM (AS APPLICABLE) 1. The primary lighting system will be a high quality, professional system. A competent lighting technician will be responsible for the set up and focus of the system and will mix the show for Artist. Said lighting technician will be responsible for calling spotlight cues at the direction of Artist's Production Manager. The lighting system shall include the following: 2. At least sixty (60) 1K PAR64 lams loaded with medium and narrow components . These lamps shall be truss mounted and split thirty (30) to each of the front and rear trusses. 3. One (1) 36 channel control console. _ 10— 4. Two (2) high quality spotlights (Super Trooper or equiv. ) with qualified operators . Spot operators shall be made available to the Lighting Director and Artist's Production Manager at least thirty (30) prior to show time. G. POWER REQUIREMENTS The following AC power shall be made available for contracted sound and lighting companies: 1. One (1) three phase, 200 Amp per leg, 220 volt disconnect, with appropriate neutral and earth ground. This will be used to provide power to the contracted lighting system. 2. One (1) single phase, 100 Amp, 220 volt disconnect, with appropriate neutral and earth ground. This source shall be on a different transformer from the lighting power source, or at least interaction between lighting dimmers and sound equipment. Additionally, no equipment other than the contracted sound system shall derive power from this source. I . ELECTRICIAN A licensed electrician shall be available to connect any and all AC power required by sound and lighting contractors. If possible, said electrician shall remain on premises for the duration of load-in, sound check, and performance. If the electrician cannot remain on site, he must be available on call to respond to any electrical problems that may arise. At the conclusion of Artist's performance, said electrician will disconnect AC power as directed by the sound and lighting representatives. 19. STAGE CALL AND SOUND CHECK A. Purchaser agrees to a mandatory sound check, to be completed prior to the opening of venue doors and admission of ticket holders. Doors can not be opened without consulting with Tour Manager, Ben Williamson to be sure that all is set for go. - il — B. Purchaser or Purchaser' s representative must be present from the time of load-in through load-out. C. All equipment and instruments to be supplied by the Purchaser must be available at the stage area at stage call . D. Artist and entourage shall have access to the stage for band at least four (4) hours prior to opening of doors. E. Purchaser agrees to keep performance area clear of all people and objects not directly involved with the shows production. F. Purchaser shall provide four (4) stage hands for load in and load out to work with the Artist' s representatives. 20. PURCHASER ASSUMES LIABILITY Except as otherwise herein specifically provided, Purchaser hereby assumes full liability and responsibility for the payment of any and all costs, expenses, charges, claims, losses, liabilities and damages related to or based upon the presentation or production of the show or shows in which Artist is to appear hereunder. 21. INDEMNIFICATION A. Purchaser agrees to indemnify and hold harmless Artist and his employees, contractors and/or agents from and against any claims, costs (including attorney' s fees and court costs) , expenses, damages, liabilities, losses or judgments arising out of, or in connection with, any claim, demand or action made by any third party, if such are sustained as a direct or indirect consequence of the Engagement. B. Purchaser shall also indemnify and hold harmless Artist and his employees, contractors and/or agents from and against any and all loss, damage and loss, damage and/or destruction occurring to its and/or its employees' , contractors ' , or agents ' instruments and equipment at the place of the Engagement, including, but not limited to, damage, loss or destruction caused by Act of God. - 12- 22. TAXES Purchaser shall pay and hold Artist harmless of and from any and all taxes, fees, dues and the like relating to the engagement hereunder and the sums payable to Artist shall be free of such taxes, fees, dues and the like.
