This Agreement is made by and between the City of Jeffersonville, Indiana
("Jeffersonville")and Ice Rinks 2 Go,Inc. ("Ice Rinks"),
WITNESSETH
WHEREAS,Ice Rinks rents and provides ice rinks for public and private skating venues
throughout the country,and
WHEREAS, Jeffersonville desires to lease a portable ice rink from Ice Rinks under the
terms and conditions contained herein.
NOW, THEREFORE AND CONSIDERATION of the mutual terms, covenants,
and conditions contained herein,the parties agree as follows;
1. Ice Rinks shall rent to Jeffersonville a forty eight foot by ninety foot (48' X 90')
portable ice rink.
2• Term of Agreement. The term of this Agreement shall be for a period of nine (9)
weeks commencing November 25,2016 continuing through January 29,2017.
3. The rental payment owing by Jeffersonville to Ice Rinks shall be the sum of Eighty

Six Thousand Four Hundred Eighty Dollars ($86,4$0,00), with Forty Three
Thousand Two Hundred Forty Dollars ($43,240,00) payable on execution of
contract, Twenty One Thousand Six Hundred and Twenty Dollars ($21,620.00)
payable when ice is ready November 25, 2016 and Twenty One Thousand Six
Hundred and Twenty Dollars($21,620.00)when rink closes on January 29,2017.
4. Condition of Premises. Jeffersonville is responsible for providing a suitable
location for the rink and is solely liable for the maintenance of said location.
5. Power.
a. Power to be supplied by Jeffersonville in the form of 480/3/60 with
running loan amps of 450A and minimum circuit ampacity at 500A.
b. Electrical Connection must be within 100' of Chiller location
C. Ice Rinks to provide cabling for chiller and pump hookup.
d. Ice Rinks to work in conjunction with Jeffersonville to connect
electrical hookup at beginning of each season and disconnect at end
of season.
e. Chiller Unit to be supplied by Ice Rinks.
6. Ice Rink:
a. Setup -Ice Rinks to provide supervision and equipment to unload
and setup rink,chiller and accessories from trailer.
b. Tear down-Ice Rinks to provide supervision and equipment to tear
down and load rink,chiller and accessories.
C. Ice Rinks to provide 48'X 90' portable ice rink.
d• Ice Rinks to provide 400 pairs of Rental Ice Skates.
e. Ice Rinks to be responsible for all freight for ice rink,skates,chiller
and accessories.
f• Ice Rinks to provide initial training for manager of rink of
Jeffersonville and equipment for Jeffersonville to maintain ice
throughout the season.
9. Jeffersonville to supply water to make and maintain the ice
throughout the public skating dates.
h. Ice Rinks to supply dasher boards, glycol lines and connection to
chillers,subflooring and matting.
7. Permits,Licensing and Insurance.
a• Jeffersonville will secure needed permits for setup and physical
operations of the ice skating rink.
b. Ice Rinks will add the Jeffersonville as "also insured" to its
insurance policy for periods set forth in this contract, provided
however, Jeffersonville shall have the sole responsibility for
operation of the rink during the term of this Agreement,and for the
400 pairs of Rental Ice Skates provided under this Agreement.
Jeffersonville shall require all individuals to sign an individual
consent form or a family waiver agreement in the form set forth in
Exhibit "A" and "T', which are attached hereto and made a part

hereof, prior to gaining access to the ice. Jeffersonville agrees to
indemnify Ice Rinks for all liability and cost incurred resulting from
Jeffersonville's failure to adhere to this policy.
S. Repairs. During the Lease term, Ice Rinks shall make an ice technician available
24 hours per day by phone for any questions and assistance regarding the maintenance
and operation of the ice rink.
9. Headings. The headings used in this Lease are for convenience of the parties only
and shall not be considered in interpreting the meaning of any provision of this Lease.
10. Successors. The provisions of this Lease shall extend to and be binding upon ice
Rinks and Jeffersonville and their respective legal representations, successors, and
assigns.
11. Compliance with Law. Ice Rinks and Jeffersonville shall comply with all laws,
orders, ordinances and other public requirements now or hereafter pertaining to this
Agreement. This Agreement shall be governed in accordance with the laws of the State
of Indiana.
12. Final Agreement. This Agreement terminates and supersedes all prior
understandings or agreements on the subject matter hereof. This Agreement may be
modified only by a further writing that is duly executed by both parties_ This Agreement
contains the entire understanding of both parties in regard to the public ice skating rink
in Jeffersonville provided by Ice Rinks. The parties represent that they have investigated
the facts deemed necessary, and are not relying upon any Representations or
acknowledgements,whether oral or in writing,of any other party other than those listed
in this Agreement.
