As you requested, we will represent the Jeffersonville City Council in connection with contract
negotiations with labor organizations representing the officers and employees of the y olice
department and fire service in Jeffersonville and such other related matters as we may accept
at
your request from time to time. As we discussed with you, none of your shareholders, owners,
members, subsidiaries or other affiliated entities, nor any individual director, officer, manager or
employee, will be our client. g
From time to time, in the exercise of our professional judgment, we may conclude that it is
desirable to share confidential information concerning your representation with professionals
other service providers outside the firm whom we have engaged to assist in representing ou or
with personnel of our consulting groups (some of whom may be designated as paralegals to
directly assist in providing legal services to you). We will take appropriate ste s to
confidentiality of such information and this confirms your consent our sharin such

Our fees will be based principally on the experience of the people providing services to you, and
the actual hours worked. Our current hourly rates for those expected to work on these matters
range from $195.00 to $455.00. Scott Chinn's hourly rate is $410.00 and my hourly rate is
$400.00. Our hourly rates are reviewed and revised from time to time. We will maintain
continuing awareness of the cost - effectiveness of our work in light of the objectives you have
described to us. Y

Various costs —for example, international long - distance telephone charges, certain copying and
printing costs (at $0.15 per page), filing fees, and an allocation of our costs for certain
computerized research —will be billed to your account in addition to our fees for services. The
amounts we charge generally reflect our actual direct and indirect costs, but some amounts may
be more or less than our actual costs.
We will provide invoices to you on a monthly basis. Our invoices are due on receipt. Please
contact me if you have questions about any of them.
Unless you request in writing that we deliver files for a matter to you (or transfer the files to
other counsel) within ten years after our involvement in the matter has ended, we will have no
obligation to retain the files, and we may destroy them without further notice to you.
As you may know, we have numerous existing and prospective client relationships, and it is
possible that a situation could arise in which your interests might conflict with those of some
other client. This confirms our agreement with you that we may (without further notice to you)
represent any other present or future client in any matter that is not substantially related to our
work for you, even if such client's interests are directly adverse to your interests or result in
litigation against you.

Otherwise, we will assume they are satisfactory to you.
