BEFORE THE JEFFERSONVILLE BOARD OF PUBLIC WORKS AND SAFETY
STATE OF INDIANA
A RESOLUTION CONVEYING CERTAIN REAL PROPERTY TO THE
GREATER CLARK COUNTY SCHOOL CORPORATION PURSUANT TO INTERLOCAL AGREEMENT
WHEREAS, the City of Jeffersonville ( "City ") and the Greater Clark County School Corporation
( "School Corporation ") entered into an interlocal agreement dated April 14, 2009 ( "agreement "); and
WHEREAS, the agreement is attached as Exhibit "A ";
WHEREAS, the agreement included provisions whereby the City would transfer certain real
property located along 12 street in Jeffersonville, Indiana to the School Corporation; and
WHEREAS, said property is described in attached Exhibit "B "; and
WHEREAS, to comply with the terms of the agreement the Jeffersonville Board of Public Works
and Safety ( "Board ") desires to transfer said property to the School Corporation.
NOW, THEREFORE BE IT RESOLVED by the Board that is hereby transfers to the School
Corporation the property described in attached Exhibit "B "; and
IT IS FURTHER RESOLVED by the Board that the Mayor of Jeffersonville is hereby authorized to
execute any and all documents necessary to effectuate said transfer consis t with the terms of the
agreement.

1 THIS AGREEMENT is entered into by and between the City of Jeffersonville, Indiana,
, (hereinafter referred to as "the City"), through its Board of Public Works and the Greater
Clark County School Corporation (hereinafter referred to as "the School CorporatioC),
through its Board of School Trustees.

WHEREAS, LC. 36-1-7 allows political subdivisions in the state of Indiana to enter into
1 Interlocal Ageements; and,
i
1 WHEREAS, in accordance with I.C. 36-1-11-8 exchange of property with governmental
t entity states: "Sec. 8. A transfer or exchange of property may be made with a governmental
entity upon terms and conditions agreed upon by the entities as evidenced by adoption of a
A
1 substantially identical resolution by each entity Such a transfer may be made for any amount
of real property, cash, or other personal property, as agreed Ili= by the entities."; and,

WHEREAS, the City is desirous of improving the intersection and roadway at Hamburg Pike
and Charlestown-Jeffersonville Road; and,

i WHEREAS, in order to make the necessary and required roadway improvements, land
owned by Greater Clark County School Corporation at Thomas Jefferson Elementary School
located at 2710 Hamburg Pike, Jeffersonville, Indiana, will need to be deeded to the City for
this project. Additionally, temporary construction easements will need to be granted to the
City from the School Corporation during the construction phases of said project; and

WHEREAS,
1 The School Corporation owns land located at 301 E. 11 Street, Jeffersonville, Indiana,
commonly identified at the Service Center/Bus Compound and needs to acquire additional
A land in this vicinity in order to expand the parking facilities tbr school buses; and,
WHEREAS, the City owns land along 12 Street that is adjacent to the land owned by the
School Corporation; and,
WHEREAS, both parties support the land transfers or actions needed at both Thomas
Jefferson Elementary School and the Service Center/Bus Compound and will cooperate in the

steps necessary to effectuate these projects in accordance with the terms of this Agreement.

11 1. PURPOSES OF AGREEMENT:
The purposes of this agreement are for the parties to work in a cooperative manner to: (I)
complete the road project at Thomas Jefferson Elementary School; and (2) the parking lot
i expansion at the Service Center/Bus Compound.

1 2. DURATION:
1 This Agreement shall begin upon completion of all legal requirements and remain in full
force and effect from the time it is executed by all parties until its provisions have been
i completed.
i 3. MANNER OF FLNANCLNG, STAFFING AND SUPPLYING THE JOINT
i UNDERTAKING AND OF ESTABLISHING AND MAINTAINING A BUDGET
THEREOF:
a. Manner of Financing:
i. The City has agreed to prepare and pay for the required legal documents
(deeds, easements (temporary, permanent andior drainage), title search, title
insurance and appraisals, as applicable, sales disclosure forms and related
1 recording fees) to effectuate the transfer of or access to the land areas related to
the road project at Thomas Jefferson Elementary School. (Attachment A)

ii. The School Corporation has agreed to prepare and pay for the survey, deed,
title search, title insurance and appraisals, as applicable, sales disclosure forms
and related recording fees to effectuate the transfer of the City's land along
12th Street to the School Corporation. (Attachment B)
iii. The City has agreed to provide all costs associated with engineering, design,
site development and construction for the road project at Thomas Jefferson
i
Elementary School.
iv. The City has agreed perform and to pay for all costs associated with site
improvements including the relocation and re-installation of the school sign at
Thomas Jefferson Elementary School along with re-striping the parking lot at

said school.
v. The School Corporation has agreed to pay for all costs associated with the
I transfer of the City's property located along 12th Street to the School
1 Corporation.
` b, Railroad Property: Both parties acknowledge that there is property located between
1 the School Corporation's Service Center/Bus Compound and the City's 12 Street
property that needs to be acquired by the School Corporation before the transfer of
land from the City to the School Corporation is completed.
c. Stafftng. The City shall provide and be responsible for all costs associated with
staffing needs related to the roadway project. The School Corporation shall provide
and be responsible for all costs associated with staffing needs related to overseeing
the work being performed by the City on the School Corporation's property.

1 d. Maintenance of Budget The City and School Corporation shall each maintain
records related to the land transfers and costs associated with this agreement. No
continuing budget will be required.
1 e. Supplying the joint undertaking:
i. In conjunction with the project as outlined in 3. a. above, each party shall be
1 responsible for the costs associated with the respective projects as set out
1 ii. therein.
Any damage to Thomas Jefferson Elementary School during the use of the
I property by the City during the construction phase of the roadway project shall
be repaired and returned to its prior condition by and at the expense of the
i
City.

4. METHODS THAT MAY BE EMPLOYED IN .ACCOMPLISHTNG THE
PARTIAL OR. COMPLETE TERMINATION 01."nfis AGREEMENT:
1 This Agreement shall terminate upon the completion of all land transfers and related site
work as indicated above.
I 5. ADMLNISTEATION:
I This Agreement shall be administered jointly by the Mayor of the City o f Jeffersonville
, and the School Corporation's Superintendent of Schools, or their designees. These
l'ize individuals shall be authorized to perfomi all duties and carry out all functions as are
t necessary to effectuate the purpose of this Agreement.

6. ACQUIRLNG, HOLDLNG AND DISPOSING OF PROPERTY:
1 All rights, title and interest in the described parcels of real property shall be transferred as
il indicated herein.
7. PAYMENT SCHEDULE:
it No payment schedule will be needed related to this Interlocal Agreement. The costs
associated with the roadway projects and site improvements shall be borne in total by the
City.

8. APPROVALS:
Approval by the Board of School Trustees of the Greater Clark County School

Corporation is required; approval by the Board of Public Works of the City of
Jeffersonville is required; and approval by the Common Council and Mayor of

9. FILING:

The parties agree that upon approval by all parties, this Interlocal Agreement shall be
recorded in accordance with Indiana law at the City's expense. The City shall pay and
record all required documents and shall provide a recorded copy of all recorded
documents to the School Corporation, Within sixty (60) days of the date the Agreement

takes effect, both parties shall file a recorded copy with the State Board of Accounts for
audit purposes pursuant to IC 36- 1
PURCHASE, SALE, OR EXCHANGE OF SERVICES, SUPPLIES OR
EQUIPMENT:
Whenever a contract provides for the purchase, sale, or exchange of services, supplies, or
equipment between or among Indiana governmental entities only, no notice by
publication or posting is required pursuant to IC 36-1-7-12.
1 11. INDEMNIFICATION AND HOLD HARMLESS: The City of Jeffersonville agrees
to indemnify and hold harmless Greater Clark County Schools, its Board of School
Trustees, its officers, ernployees, and agents from all claims, expenses, losses, liability
and damage, including attorney's fees, resulting from injuries to persons or property or
arising from, growing out of, or connected with the City's activities performed in
conjunction with this project or any act or omission of the City of Jeffersonville or its
employees or agents. Likewise, Greater Clark County School Corporation's Board of
1 School Trustees agree to indemnify and hold harmless the City of Jeffersonville, its
officers, employees, and agents from all claims, expenses, losses, liability and damage,
including attorney's fees, resulting from injuries to persons or property or arising from,
growing out of, or connected with the School Corporation's involvement with any
1 %be activities performed in conjunction with this project or any act or omission of the School
1 Corporation or its employees or agents.
wrmEss WHEREOF, the parties have affixed their signatures hereto indicating their
respective approvals of this Interlocal Agreement for the benefit of the School Corporation's
students, employees„ faculty and administrators along with the general public and citizens of
the City of Jeffersonville and surrounding communities.

Being a part of 12` Street, in the City of Jeffersonville, Clark County, Indiana and being further
described as follows:
Beginning at a steel pin on the west corner of Block 126 in said City, being the intersection of the
northeast line of Locust Street with the southeast Right -of -Way line of said 12` Street; Thence N.31°1 1 '08"W.,
65.77 feet; Thence N.53 °24'58 "E., 71.42 feet; Thence N.60 °43'37 "E., 235.46 feet; Thence N.69 °43'37 "E., 51.28
