HomeMy WebLinkAbout2012-R-23 STATE OF INDIANA BEFORE THE BOARD OF COMMISSIONERS OF CLARK COUNTY RESOLUTION NO. 19 - 2012 * * * * * BEFORE THE CITY OF JEFFERSONVILLE REDEVELOPMENT COMMISSION RESOLUTION NO. * * * * * BEFORE THE TOWN COUNCIL OF THE TOWN OF CLARKSVILLE RESOLUTION NO. 2012 - R - 11 * * * * * BEFORE THE COMMON COUNCIL OF THE CITY OF JEFFERSONVILLE RESOLUTION NO. 2JJ — r i " A JOINT RESOLUTION AUTHORIZING THE PURCHASE OF CERTAIN SERVICES AND ESTABLISHING POLICIES PERTAINING THERETO WHEREAS, the Board of Commissioners of Clark County, Indiana (the "Board of Commissioners "), is the executive body of Clark County government pursuant to the provisions of IND. CODE § 36- 2 -2 -2, and as such is a "purchasing agency" as defined by the provisions of IND. CODE § 5- 22 -2 -25; and, WHEREAS, the Common Council of the City of Jeffersonville, Indiana (the "City Council "), is the legislative body of Jeffersonville City government pursuant to the provisions of § 36- 4 -6 -2, which entity is a "purchasing agency" as defined by the provisions of IND. CODE § 5- 22-2-25; and, WHEREAS, the City of Jeffersonville, Indiana, has by ordinance established a Department of Redevelopment that is controlled by the City of Jeffersonville Redevelopment Commission (the "Redevelopment Commission "), pursuant to the provisions of IND. CODE § 36- 7 -14 -3, which entity is a "purchasing agency" as defined by the provisions of IND. CODE § 5- 22 -2 -25; and, WHEREAS, the Town Council of the Town of Clarksville (the "Town Council "), is the legislative body of Clarksville Town government, and the Town Council president is the town executive, pursuant to the provisions of IND. CODE § 36- 5 -2 -2, which entity is a "purchasing agency" as defined by the provisions of IND. CODE § 5- 22 -2 -25; and, WHEREAS, the Board of Commissioners has solicited and received a proposal in the amount of $169,223.00 from ChangeFindr for aerial photography and pictrometry services for the use and benefit of the Clark County Assessor's office in completing State mandated reassessment functions (the "Services "); and, WHEREAS, the Redevelopment Commission has determined that access to the information to be provided by ChangeFindr in performing the Services would also be beneficial to the City in assuring that its relative property tax distributions, specifically including as to Tax Increment Financing ( "TIF ") districts, is made at an optimal level, and is therefore desirous of contributing to the cost of the Services as an inducement to the Board of Commissioners to contract for same; and, WHEREAS, the Town Council has similarly determined that access to the information to be provided by ChangeFindr in performing the Services would also be beneficial to the Town in assuring that its relative property tax distributions, specifically including as to Tax Increment Financing ( "TIF ") districts, is made at an optimal level, and is therefore desirous of contributing to the cost of the Services as an inducement to the Board of Commissioners to contract for same; and, WHEREAS, the Board of Commissioners, the City Council, the Redevelopment Commission, and the Town Council now adopt this Joint Resolution for purposes of establishing policies with respect to the procurement of the Services, as well as their respective financial commitment pertaining thereto. NOW, THEREFORE, be it Jointly Resolved by the Board of Commissioners, the City Council, the Redevelopment Commission, and the Town Council as follows: 1. Policies for Procurement of the Services. The Redevelopment Commission hereby adopts the following purchasing policies for the City, and the Town Council hereby adopts the following purchasing policies for the Town: a. The City Council hereby agrees to allow the Board of Commissioners to act as the purchasing agent of the Services on behalf of the City, subject to the terms and conditions of this Joint Resolution. 2 b. The Redevelopment Commission hereby agrees to allow the Board of Commissioners to act as the purchasing agent of the Services on behalf of the City, subject to the terms and conditions of this Joint Resolution. c. The Town Council hereby agrees to allow the Board of Commissioners to act as the purchasing agent of the Services on behalf of the Town, subject to the terms and conditions of this Joint Resolution. 2. Agreement for Contribution of Costs. The Board of Commissioners agrees to contract for the provision of the Services at the quoted cost of $169,223.00 prior to December 31, 2012, provided that the City Council, the Redevelopment Commission, and the Town Council have fully approved this Joint Resolution by such date. The City Council and the Redevelopment Commission agree to contribute the sum of $21,000.00 each (total of $42,000.00 on behalf of the City) towards the cost of the Services. The Town Council agrees to contribute the sum of $39,000.00 towards the cost of the Services. The Board of Commissioners shall remain solely responsible for all costs of the Services in excess of the aggregate amount of such contributions. 3. Access to Information from the Services. In consideration for their respective contributions to the cost of the Services, the City and the Town shall have full access to the information generated from the performance of the Services, provided only that such access is obtained in a manner that is reasonably convenient to the Clark County Assessor. 4. Effective Date of Joint Resolution. This Joint Resolution shall become effective and binding when it is fully adopted by the Board of Commissioners, the Redevelopment Commission (with approval by the Mayor), and the Town Council; provided, however, that all such approvals must be finalized on or before December 31, 2012. Until all of such approvals are obtained, no party shall be obligated to any other party to obtain or pay for the Services. [The remainder of this page intentionally left blank.
