Thomas Lowe Corporation Counsel City of Jeffersonville, Indiana 500 Quartermaster Court, Suite 250 Jeffersonville, IN 47130 Dear Mr. Lowe: Jerry Wayne referred us to you regarding the possibility of Pinkowski & Company evaluating the opportunity of moving the WWII LST 325 attraction from Evansville, Indiana to a location on the north bank of the Ohio River at or near Jeffersonville, Indiana. We believe we are well qualified to conduct this evaluation based on our experience as consultants in the travel and tourism industry. Our experience with the development and operation of a variety of tourist - related attractions and our knowledge of the hospitality and travel industry provides an excellent foundation for this assignment. We also have extensive experience in evaluating the Jeffersonville, Clarksville, New Albany, and greater Louisville hotel and convention markets. As requested, we have prepared this proposal for consultin g services Pinkowski & Company will provide to you relating to the relocation of LST 325. This letter 1 describes the research, analysis, and projections we will prepare for the purpose of evaluating the viability of a proposed hotel. SCOPE OF THE ASSIGNMENT Our approach to this assignment of evaluating the potential of relocating LST 325 to the Jeffersonville market is contained in the following elements ❑ Evansville - We will meet with the stakeholders involved with the LST project in Evansville as well as the Convention and Visitors Bureau to determine how the project is structured currently, how it is marketed, and the intended target audience. We also will review past attendance records, visitor profiles, and the actual operation of the attraction to determine if there is a better operating platform for the attraction. Thomas Lowe i July 18, 2012 Page 2 : i ❑ Comparable Attractions - An online analysis and appropriate interviews of 1 other similar attractions and the cities they are located will be performed to determine the tourism and community benefits these attractions p rovide. This analysis also would look at other tourist related attractions in those markets and what synergistic effect they may have with the attractions. 1 i ❑ LST 325 - A determination will be made of what other tourism elements create a synergy with the LST. We will make recommendations on what shore side facilities are needed to support the attraction and develop a i pricing strategy and an operating budget for the attraction. ❑ Location Recommendations - Recommendations will be made for where the attraction should be located taking into consideration river conditions, parking, and sufficient area to develop support facilities for the attraction, 1 plus a gift shop and restroom facilities. The location recommendations will take into consideration their relationship to existing tourism activities on the riverfront, including RiverStage, the pedestrian bridge, restaurants and residential developments. ❑ Funding Opportunities - We will prepare an analysis of potential funding sources for the project. REPORT, FEE AND TIME SCHEDULE Our complete report will be prepared for the proposed relocation of LST 325 from Evansville, Indiana to the Jeffersonville area and presented at the conclusion of our research. The report will contain our findings, conclusions and recommendations for the project. I I We will prepare three copies of the report for your use in evaluating the proposed I opportunity for review by the LST Committee and other major stakeholders. Our report will be subject to the following limitations: f 1. We have no obligation to update our findings regarding changes in the i. market conditions or project concept which occur subsequent to the completion of our field work. ,. 2. Our report and the materials submitted may not be used in any prospectus or printed material used in connection with the sale of securities or participation interests to the public or in any newspaper publicity or other m I public forum without our prior written consent. The scope of our study and report will not include the possible impact of zoning or other environmental regulations, licensing requirements, or other such matters unless they have been brought to our attention and are disclosed in the report.` 1 4. Any drafts or preliminary information communicated to you during the course of the assignment are for your internal management use only and may not be disclosed to any outside third parties without our prior written consent. s F' Our fee for this assignment will be $24,999.99 plus out of pocket expenses. As is I customary in assignments of this nature we require a retainer of $8,333.33 prior to scheduling this assignment. A progress billing of $8,333.33 plus expenses incurred to date will be due and payable at the conclusion of our fieldwork. The balance of our fee ($8,333.33) and any remaining expenses will be payable upon delivery of z the draft report. Any past due accounts will accrue interest at 1.5 percent monthly, and any L` disputes regarding payment of our fees or work product will be resolved in Shelby County, Tennessee. In the event of non - payment of any of these fees and expenses, you will be responsible for all attorneys' fees and /or associated collections expenses required to remedy the default. is i We schedule our work based on client acceptance of our ro osals. At any given p p yg point in time we may have several proposals outstanding to prospective clients. We would expect to commence this assignment within two weeks of receiving your signed acceptance of our proposal and the retainer check. We should be position to deliver our draft report within six weeks of completing our field research, barring any unforeseen circumstances.
