HomeMy WebLinkAboutAgreement 12-22-2010 Memorandum of Agreement Between The City of Jeffersonville, Indiana, and Jay's Acquisitions, Inc. / Krunchers! Inc. This is a memorandum of Agreement entered into on this xi ad day of Deeande 2 , 2010, by and between the City of Jeffersonville, Indiana, and Jay's Acquisitions, Inc. / Krunchersl Inc. for the purpose of describing the financial commitments made by the parties to accomplish the following: 1- The City desires to install a new large- diameter pipe that will convey treated effluent from its downtown waste water treatment plant (WWTP) to Mill Creek. This pipe is to be installed along the Easterly property line of Krunchers and the through a sixty (60') foot wide abandoned railroad property now belonging to Jay's Acquisitions, from the north line of Krunchers to Hamburg Pike. 2. Krunchers desires to construct a new entrance at Spring Street to include traffic signalization to allow for the Krunchers plant deliveries and shipments to efficiently ingress and egress. The City agrees to install the pipe through the Krunchers property as described above, to construct a deceleration lane off Spring Street and construct a new entrance, construct a new traffic signal, and to re-grade an existing gravel parking lot inside the Krunchers facility so that it can be used as an temporary employee parking lot during the installation of the pipe given that said installation will temporarily remove the existing employees parking area. The City will also reconstruct this permanent parking area once pipe installation is completed. The estimated cost of the City's portion of the entrance (not including the total cost of the pipe installation) is $140,000. The total estimated cost of the entrance project is $200,000. Krunchers agrees to donate the sixty (60) foot wide strip of abandoned railroad Right- of-Way to the City, donate a permanent sanitary, drainage, and utility easement along its Easterly property line, including any necessary temporary construction easements to the City, and to contribute $60,000, which is the estimated balance to fund the work. The City of Jeffersonville agrees to waive the surcharge at a rate of $4,750.00 per months for 3 months with a maximum allowance of $14,250.00 in total. This offer is presented to offset the cost and time lost by the start of the project. The work is to take place in 2010 and 2011. This Memorandum of Agreement is expressly contingent upon the formal approval, at an open public meeting, of any governmental board, council or entity, or any political unit or political subdivision, as may be required by Indiana Law.
