This proposal includes our understanding of the project information, the r.a proposed scope of sen~icPS, a fee estimate, and a projected schedule. ~ _~ ~ n PROJECT INFORMATIOI< ~ fl o _~~~~ Project information was provided by Josh Hillman of Jacobi, Toombs and Lanz, in an electronic ~ u' --° ~ ry ~ >N~ transmission on August 27, 2010. We received a plan of the proposed sewer along a short ~ a o ~ N portion of Utica-Sellersburg Road, the entire stretch of Surrey Road, and Carriage Court. The ~' u g I~I~~°~ plan depicted the proposed alignment and invert with proposed soundings to be located every [..~ "~ ^ ~ ~ 100 feet. ~ The site is located along Utica Sellersburg Road, Surrey Road, and Carriage Court with `~ approximately 200 feet of proposed sewer length along Utica-Sellersburg Road, approximately E"+ 2,700 feet along Surrey Road and crossing through a residential property-, and approximately 400 ~ feet along Carnage Couri. The proposed project includes construction of new sewers along the O route denoted. SCOPE OF V4'ORK 0 It is our intent to conduct a subsurface exploration in order to obtain information about the depth b to the surface of rock at the site of the proposed new sewer alignment. This exploration is not designed to produce information concerning contamination or other environmental conditions. ~, j V Sounding locations were proposed by Jvsh Hillman of Jacobi, Toombs and Lanz to be advanced every 100 feet along the alignment and extending to depths of at least one foot below the " ~' proposed invert as indicated on the plan he prov7ded. Mr. Hillman further indicated that if rock is encountered above the proposed im-ert, soundings should be advanced every 50 feet until rock is no longer encountered. Sounding locations will be located in the field using standard taping procedures and available fixed structures. (Weather conditions may delay mobilization during perioZs of prolonged precipitation). The dri[1 rig apparatus r~~ill be used to advance a total of 36 rock soundings along the proposed alignments. If soundings encounter rock above the proposed invert, additional soundings wall be advanced at 50 feet intervals until rock is no Ionger encountered above the proposed invert. Also, if sounding information varies significantly, additional soundings will be advanced. These additional borings will not be started without your prior approval. In addition, rock will be cored in the sounding nearest to Boulder Creek if rock is encountered above the specified sounding termination depth at this location of 1b.0 feet. The 36 mck soundings will be advanced to a depth as specified by Josh Hillman of Jacobi, Toombs, & Lanz. No sampling of soil will be performed; however, rock will be cored in the sounding nearest to Boulder Creek if rock is encountered above sounding termination depth. Groundwater levels evil] be recorded at boring termination in all of the soundings. If; at any time during field activities, unanticipated subsurface conditions that could lead to significant design or construction difficulties are encountered, yvu will be notified. After field testing is complete, the subsurface information will be reviewed and evaluated and a report of our findings will be issued. The report will include: -A Sounding Location Plan -Sounding Summary -Rocir Characterization If; at any time during the project, unexpected or unusual conditions or information are identified, the scope of work will be reviewed to confirm that it is still appropriate and adequate. if additional exploration and/or testing are necessary, you will be notified, and the added tasks will be submitted for your approval. SCHEDULE Based on our current ~~orkload, the subsurface exploration can be started within seven days of authorization, weather permitting. If authorization is delayed more than seven days from the date of this document, the start of work may be delayed beyond seven days. It is anticipated that exploratory activities can be completed in two to three working days. As was previously noted, if, at any time during f eld activities, unanticipated soil conditions that could lead to significant design or construction difficulties are encountered; you will be notified. A verbal report can be submitted within trio working days of the completion of field activities. A written report of the work can be submitted within seven working days of the completion of field activities. If significant project delays are experienced, you will be contacted to discuss the reti~ised schedule. Sep 01 10 08:42p FEE ESTIMATE p.8 Proposed Surrey Road Sewer Jeffersonville, Indiana August 30, IOIO The scope of work provided in this proposal can be performed for the lump sum fee of $7,000.00 (seven thousand dollars). Our fee is based on one drill rig mobilization and a total of not more than 389 feet of rock soundings and 5 feet of rock coring. This fee also is based on the assumption the site will be accessible to truck-mounted drilled equipment at the time of the subsurface exploration. All-terrain vehicles and/or heavy equipment needed to move the drill rig on the site after periods of heavy precipitation can be retained for an extra charge. if additional exploration or testing activities are deemed necessary, the unit fee will be an additional $140.00 per additional sounding. No additional fees vain be incurred without your prior approval. If, at the client's request, at any time after the start of this project and prior to the completion of this project, the project is terminated, a prorated fee will be calculated based upon the work completed up to the point that the project is terminated. AUTHORIZATION You may authorize our work on this project by yow signature on the next page. You may wish to issue a purchase order; however, this proposal and the contract number must be referenced on the purchase order. Please note that your signature implies acceptance of the attached Contract Terms. We must have a signed copy of this entire document in order to proceed with the project. Sep 01 10 08:42p Contract Terms p.10 ]. PART7E5 .4ND SCOPE OF VKORK: Construction Solutions, LLC (hereinafter rcfcn•cd to ~ "CS") shall include said company performing the work. "Work" means the specific geotechnical. analytical, testing or other sen•ice to be performed by CS as set forth in CS's proposal, the clients' acceptance thereof and these Contract Terms. "Client" refers to the person or business entity ordering the work to be done by CS. If the clicnt is ordering the work on behalf of another, the client represents and warrants that the client is the duly authorized agent of said party for the purpose of ordering and directing said work. Unless otherwise stated in writing; the client assumes sole responsibility for determining wfiether the quantity and the nature of the work ordered by the clicnt is adequate and sufficient for the clients' intended purpose. Client shall communicate these Contras Terms th each and every third party to whom the client transmits any part of CE's work. CS shall have tto duty or obligation to any third party greater than that set forth in CE's proposal, client's acceptance thereof and these Contract Tema. The ordering of work from CS shall constitute acceptance of the terrrrs ofCS's proposal and these Contract Terms. 2. TESTS AND INSPECTIONS: Client shall cause all teats and inspections of the site, materials and wrork performed by CS or others to be timely and properly perfomed in accordance with the plans, sprciGeations and contract documents, and CE's recommendations. No claims for loss, damage or injury shall be brought against CS by client or any third party unless all tests and inspe~ions have been so performed and unless CE's recommendations have been followed. Client agrees to indemnify, defend and hold CS, iU officers, employees and agerttc harmless from any and all claims, suits, losses, oosls and expenses, including, but not Limited to, court costs and reasonable attorneys fees in the event that all such tests and inspections are not so perforted or CS's recommendazions arc not so followed except to the extent that such failure is tltc result of a negligence, willful or wanton actor omission oi' CS, ils ofti cers, agents or employees. 3. SCAEDLtLINC OF WORK: The services set forth in CE's proposal and client's acceptance will be accomplished in a timely, worl-manlike and professionwl manner by CS personnel at the prices quoted. If CS is required to delay commencement of the work or if, upon embarking upon its ~vorl:, CS is required to stop or interrupt the progress of its work as a result of changes in the scope of the work requested by the clicnt, to fulfill the requirements of third parties, intcrruptior~ in the progress of construction, or otlx;r causes beyond the direct reasonable control of CS, additional charges will be applicable and payable by client. 4. ACCESS TO SITE: Client will arrange and provide such access to the site as is necessary for CS to perform the wrork. CS shall take reasonable measures and precautions to mhrimize damage to the site and any improvements located thereon as iltc result of its work or t}rc use of its equipment; however, GS has not included in its tee the cost of restoration of damage which may occur. Restoration of or r•eptration for damage to crops en agricultural land is not included in the fee stated in this proposal. Closing of open soil boring holes created by CE's activities is included in the fa stated in this proposal. tf clicnt desires or requires CS to restore the site to its former condition, upon written request CS will perform such additional wrork as is necessary to do so and clicnt agrees to pay to CS the cost thereof. 5. DAMAGE TO EXIST]\G MAl~-i4IADE OBJECTS: Unless C5 has assutned in writing the responsibility of locating subsurface or latent conditions, client agrees to indemnify and save CS hatmiess from all claims, suits, losses, costs and zxpenses, including reasonable attorney's fees as a result of personal injury, death or prapert}° damage occurring with respxt to CS's performance of its wort: and arising from subsurface or latent txxndilior~s or damage io subsurface or latent objects, structures, line or conduits where the actual or potential presence and location thereof was not revealed to CS bg client. TEILVIIVATION: ?his agreement map be terminated by either party upon seven day's prior written notice. th the event of termination, CS shall be compcnsatcd by clicnt for all services performed up to and including the termination date, including rcimbursabk expenses, and for the completion of such services and records as are necessary to place CE's files in order andlor orotect its professional reputation. 8. VVARRAI'~`T]`: CS's scn•ices will be performed, its finding obtained and its reports prepared in accordance with its proposal, client's acceptanec thereof these Contract Terms, and whh generally acxepted principles and practices. In performing its professional services, CS will use that degree of care and sl~)t ordinarily exercised under similar circtrmstances by members of ils profession. This warranty is in lieu of all other warranties or rcprescntations, either empress or implied. Statements made in CS reports aze opinions based upon engineering judgement and are not to be construed as representations offset. Should CS, or any of its professional employees be found to have been m~ligcnt in the performing of professional services or wont or to have made and breached any express or implied warranty, representation ~ a+ntract, client, all parties claiming tfirough client and ail parties claiming to have in any way relied upon CS's services or work agree that the maximum aggregate amount of the liability of CS, its officers, employees and agents shall be limited to $l 00Q000 or the total amount of the fee paid to CS for its work performed ~+ith nspect to the projoct whichever amount is greater. 9. INDE141NITY: Fateept 1o the extent specifically addressed in paragraph S, client agrees to indemnify, defend and hold CS, its officers, employees, agents, and independent ~rontractors harmless liom any and all claims, suits, losses, costs and expenses, including but not limited to court costs and reasonable attorney's fees arising or alleging to ]rave arisen out oC the pc7formance of CE's work. ]n the event that client or client's principal shall bring any suit, cause of ac:tion.. claim or counterclaim against C5 to the extent that CS shall prevail in such suit, cause of action, else r unterclaim the party initiating such action shall pay to CS the costs and expenses incurred by CS to answer and,'or defend such suit, qa ~ ~c 'on, claim or counterclaim, including reasonable attorney's fees, court costs; witness fees and other related expenses.
