This proposal includes our understanding of the project information, the ~ o proposed scope of services, a fee estimate, and a projected schedule. ~ r PROJECT INFORMATION a ° ~ " i~~~ ~~ ynv Project information was provided by Josh Hillman of Jacobi; Toombs and Lanz, in an electronic ~ , N ~ ~ ~ ~. transmission on August 27, 201 Q. We received a plan and profile of the proposed sewer along ~ 3 L lines `A' and `FM-1' along ~Tevw Chapel Road and line `C' along residential property boundaries ~ N ~ ~ L near Lentzier Trace in the Old Stoner Subdivision. The plan depicted the proposed alignment and ~ invert with soundings to be located every 100 feet. ~ The site is located along New Chapel Road and Lentzier Trace with approximately 1,800 feet of ~. proposed sewer length along Nevv Chapel Road, and approximately 1,000 feet through the ~ residential properties off of Lentzier Trace. The proposed project includes construction of new sewers along the route denoted. Q V SCOPE OF WORK W ~; ~~ ~~ It is our intent to conduct a subsurface exploration in order to obtain information about the depth ~, N to the surface of rock at the site of the proposed new sewer alignment. This exploration is not designed to produce information concerning contamination or other environmental conditions. ° ~. t1 ~+ Sounding locations were proposed by Josh Hillman of Jacobi, Toombs and Lanz to be advanced 3 every 100 feet along the alignment and extending to depths of at least one foot below the proposed invert as indicated on the plan he provided. Mx. Hillman further indicated that if rock is encountered above the proposed im°ert, soundings should be advanced every 50 feet until rock is no longer encountered. Sounding locations will be located in the field using standard taping procedures and available fixed structures. (Weather conditions may delay mobilization during periods of prolonged precipitation). The drill rig apparatus v~~ill be used to advance a total of 3Q rock soundings along the proposed alignments. if soundings encounter rock above the proposed invert, additional soundings will be advanced at SO feet intenjals until rock is no longer encountered above the proposed invert. Also, if sounding information varies significantly, additional soundings will be advanced. These additional borings will not be started without your prior approval. The 30 rock soundings will be advanced to a depth of 1.0 foot below the design sewer imrert. No sampling of soil will be performed. Groundwater levels will be recorded at boring termination in all of the soundings. If, at any time during field activities, unanticipated subsurface conditions ttjat could lead to significant design or construction difficulties are encountered, you will be notified. After field testing is complete, the subsurface information will be reviewed and evaluated and a report of our findings will be issued. The report will include: -a Sounding Location Plan -Sounding Sun3mary If, at any time during the project, unexpected or unusual conditions or information are identified, the scope of work will be reviewed to confirm that it is still appropriate and adequate. If additional exploration and/or testing are necessary, you will be notified, and the added tasks will be submitted for your approval. SCHEDULE Based on our current workload, the subsurface exploration can be started within seven days of authorization, weather permitting. If authorization is delayed more than seven days from the date of this document, the start of work may be delayed beyond seven days. It is anticipated that exploratory activities can be completed in ttivo to three working days. As was previously noted, if, at any time during field acti~~ties; unanticipated soil conditions that could lead to significant design or construction difficulties are encountered, you will be notified. A verbal report can be submitted within two working days of the completion of field activities. A written report of the work can be submitted within seven working days of the completion of field activities. If significant project delays are experienced, }~ou will be contacted to discuss the revised schedule. FEE ESTIMATE The scope of work provided in this proposal can be performed for the lump sum fee of $5,300.00 {five thousand three hundred dollars). Our fee is based on one drill rig mobilization and a total of not more than 222 feet of rock soundings. All-terrain vehicles andlor heavy° equipment needed to move the drill rig on the site after periods of heavy precipitation can be retained for an extra charge. If additional exploration or testing activities are deemed necessary; the unit fee tivill be an additional $110.00 per additional sounding. No additional fees w711 be incurred without your prior approval. Tf, at the client's request, at any time after the start of this project and prior to the completion of this project, the project is terminated, a prorated fee will be calculated based upon the work completed up to the point that the project is terminated. AUTHORIZATION You may authorize our work on this project by your signature on the next page. You may wish to issue a purchase order; however, this proposal and the contract number must be referenced on the purchase order. Please note that your signature implies acceptance of the attached Contract Terms. PARTIES AND SCtJPE OF WORK: Construction Solutions, LLC ihcrcinafler referred to as "CS") shall include said company performing the work, "Work" means the specific geotechnical, analytical, testing or other service to be performed by CS as set forth in CS's proposal. the clients' acceptance thereof and these Contract Temts. TESTS AI\D INSPECTIONS: Client shall cause all tests and inspcetions of the site. materials and work perfanned by CS or others to be timely and properly performed in accordance with the plans, specifications and contract documents, and CS's ncoommcndations. Ira claims for loss, damage or injury shall be brought against CS by client or any third party unless all tests and inspections have been so performed and unless CS's recommendations hart been followed. Client agrees to indemnify, defend and hold CS, its officers, employees and agents harmless from any and all claims, suits, losses, costs and expenses, including, but not limited to, court costs and reasonable attorney's fees in the event tF-at all such tests and inspections are not so performed or CS's recommendations are not so followed except to the extent that such failum is the result of a negligence, willful or wanton act or omission of CS, its officers, agents or employees. 3. SCJ•IEDLILIVG OF 1~'ORK: The services set forth in CS"s proposal and client's acceptance will be accomplished in a timely, workmanlike and professional manntx by CS personnel at the prices quoted. If CS is required to delay cornmcncentcnt of the wort; or if, upon embarking upon its work, CS is required to stop or interrupt the progress of its work as a result of changes in the scope of the word requested by the client, to fulfill the requirements of third patties, interruptions in the progress of construction, or other causes beyond the direct reasonable control bf CS, additional charges ~-till be applicable and payable by client. 4. ACCESS TO SITE: Clicm Mill arrange and pro-'idc such access to the sift as is ncctssary for CS to perform the work, CS shall take reasonable measures and precautions to minimize damage to the site and any improvements located thereon as the irstrlt of its wort: or the use of its equipment; however, CS has not included in its fee the cost of restoration of damage which may occur. Restoration of or reparation for damage to crops on agricultural land is not included in the fee ststted in this proposal. Closing of open soil boring holes created by CS's activities is included in the fire stated in this proposal, if client desires or requires CS to restore the site to its fomter condition, upon t-7itten request CS tivill perform such additional work as is necessary to do so and client agrees to pay to CS the cost thereof. 5. DAIIIAGG TO E.YIST[NG Me1!\-MADE OBJECTS: lJnless CS has assumed in writing the responsibility of locating subsurface or latent conditions, client agrees to indemnify and saee CS harmless from all claims, suits, losses; costs and expenses, including reasonable attorney's fees as a result of personal injury, death or property damage occurring with respect !o CS•s performance of its wort: and arising from subsurface or latent conditions or damage to subsurface or latent objects, structures, line or conduits where the actual or potential presence and location thereof was not revealed to C5 by client. 6. PAYAlEI`T: Client shall be invoiced at the completion of the work described in this proposal. Clicrtt agrees to pay the invoice v-•ithin tltiny (30} days of its receipt. In the event of termination, CS shall be compensated by cliexrt for all services performed up to and including the termination date, including reimbursable expenses, and for the completion of such services and records as arc necessary to place CS's files in order and/or protect its professional reputation. 8. WARRANTY: CS's services will be perfontted, its finding obtained and its reports prepared in accordantx with its proposal, client's acceptance thereof, these Contract Terms, and with generally accepted principles and practices. [n performing its professional services, CS will use that degree of can: and skill ordinarily exercised under similar circumstances by members of its professiva. This .varranty is in lieu of all other warranties or representations, either express or implied. Statements made in CS reports arc opinions based upon engineering judgement and are not to be construed as representations of fact. Should CS, or any of its professional employees be found to have been negligent in the performing of professional services or work or to have made and breached any cxprtss or implied warranh', representation or contract, clis:nt, all parties claiming through client and all parties claiming to hme in any way relied upon CS's services or -cork agree that the maximum aggregate amotmt ofthe liability of CS, its officers, employces and agents shall be limited to 51,000,000 or the total amount of the fee paid to CS for its wort; performed with respect to the project whichever amount is greater. 9. tNDEb2h1'1'1': Except to the extent specifically addressed in paragraph 8, client agrees to indemnify, defend and hold CS, its officers, employees, a`enb, and independent contractors hannlzss from any and all claims, suits, losses, costs and exptatses, including but not limited to court costs and reasonable attometfs fees arising or alleging w have arisen out of the performance of CS's work. In the event that client or client's principal shall bring any suit, cause of oaten, claim or counterclaim against CS to the ractent that CS shall prevail in such suit, cause of action, cl ' counterclaim the party initiating such action shall pay to CS the costs and expenses incurred by CS Ip ansx~er and/or defend such suit eau f tion, claim or counterclaim, including reasonable attorney's fees, court costs, witness fees and other related expenses.
