(hereinafter "CH2M HILL") to perform the following Services: ..- . See ATTACHMENT A. .• Compensation by CLIENT to CH2M HILL will be on the basis of per diem rates, as shown on ATTACHMENT B. The estimate labor and expense costs are also included in ATTACHMENT B. The project will be completed by July 31, 2010 Services covered by this AGREEMENT will be performed in accordance with the Provisions and any attachments or schedules. This AGREEMENT supersedes all prior agreements and understandings and may only be changed by written amendment executed by both parties. CMOM Related Semi-Annual Report; Draft and Final Report Preparation and Review Meeting CH2M HILL will complete a CMOM related semi-annual report based on the data collected in the Site Visit Data Collection Task above, in accordance with Consent Decree requirements, and EPA guidance. The semi-annual report will be completed as information is available or actions completed related to each of the CMOM Program areas (Capacity and Engineering, Management, Operations, and Maintenance) based on the items outlined in the CD, as follows: • Organization; • Training Program; • Internal Communication Program; • Customer Service; • Management Information Systems; • SSO Notification Program; • Legal Authority; • Budgeting; • Monitoring; • Hydrogen Sulfide Monitoring and Control; • Safety; • Emergency Preparedness and Response; • Modeling; • Mapping; • New Construction; • Pump Stations; • Maintenance Budgeting; • Planned and Unplanned Maintenance; • Sewer Cleaning; • Parts and Equipment Inventory; • Flow Monitoring; • Sewer System Testing; • Sewer System Inspection; • Sewer System Rehabilitation; CH2M HILL personnel will meet with Jeffersonville prior to completion of the report to discuss any pertinent issues identified and recommendations. CH2M HILL will provide up to four copies of the working final report to Jeffersonville in advance of a half-day meeting with Jeffersonville to review the working draft. Following the meeting, CH2M HILL will include the conclusions of the meeting into a final CMOM related semi-annual report. A total of 4 copies of the draft CMOM related semi-annual report will be provided to Jeffersonville in hard-copy form and a digital copy of the draft report via CD ROM. Schedule This work will be conducted on a short time frame due to the requirement of the Consent Decree. The semi-annual report much be submitted by July 1, 2010, containing the signatory statement and signature as required by the Consent Decree. Thus, time must be allotted for the signatory process, and any review by the Utility Board and Mayor. The amount paid shall be equal to the cumulative hours charged to the project times the Engineer's Standard Hourly Rates shown below for each applicable employee classification plus reimbursable expenses for mileage, lodging, and per diem costs. CH2M HILL may alter the distribution of compensation between individual phases noted herein to be consistent with services actually rendered, but shall not exceed the total Not To-Exceed amount unless approved in writing by the CLIENT.
