A RESOLUTION CONFIRMING TAX ABATEMENT
WHEREAS, on November 26, 1990 the Common Council of the City of
Jeffersonville ("the Council") granted a ten-year tax abatement to Ohio Riverside
Development Corporation ("ORDC") for the improvements located on the real estate
described in Exhibit A attached hereto and incorporated herein ("the abatement"); and
WHEREAS, ORDC has requested that the Council reconfirm the existence of the
abatement and reconfirm the Council's intention that the abatement will remain in effect;
NOW THEREFORE, BE IT HEREBY RESOLVED that the abatement is currently
in full force and effect; and
NOW THEREFORE, BE IT HEREBY FURTHER RESOLVED that the Council
will not attempt to revoke the abatement unless Haka Oy and/or the Bankruptcy Estate
of Haka Oy is determined by a final, non-appealable court order, or by a settlement
between Haka Oy and/or the bankruptcy estate of Haka Oy and J&E Holding, Inc., to be
the sole owner of Haka, Inc.
This Resolution shall be in full force and effect from and after its passage
and approval. /,

Attached is a Resolution reconfirming the tax abatement on the
RiverPointe Apartment Tower. It is imperative that this Resolution
is adopted at vour December 16, 1996 meeting.
