WHEREAS, over 51% of the owners of a 62.59 acre parcel of land (hereinafter "the
Parcel") located outside of but contiguous m the City of Jeffersonville (hereinafter "the City")
have filed a petition requesting annexation of the Parcel, which pet!tion is attached hereto as
Exhibit A and incorporated herein by reference; and
WHEREAS, the Common Council of the City of Jeffersonville (hereinafter "the Council")
believes it is in the best interests of the City that the Parcel be annexed;
NOW, THEREFORE, BE IT HEREBY ORDAINED that, pursuant to the provisions
of Indiana Code 36-4:3-5, the Parcel is hereby annexed into the City; and
IT IS HEREBY FURTHER ORDAINED that pursuant to the provisions of Indiana Code
36-4-3-22, the Clerk-Treasurer of the City of Jeffersonville is hereby ordered to immediately:
1. File this annexation ordinance with the Clark County Auditor, the Clark Circuit Court
Clerk, and the employee of the State Board of Tax Commissioners currently designated by the
Governor as the state certifying official for the Boundary and Annexation Survey of the United
States Bureau of the Census pursuant to the provisions of Indiana Code 6-1.1-30-15, and
2. Record a copy of this annexation ordinance in the office of the Clark County Recorder.
This Ordinance shall be in full force and effect from and after its passage and approval.

MINUTES OF THE ANNUAL MEETING OF THE BOARD OF DIRECTORS OF
KOETTER DEVELOPMENT, INC.
HELD AT THE PRINCIPAL OFFICE OF THE CORPORATION,
7393 PETE ANDRES ROAD, FLOYDS KNOBS, INDIANA
ON THE 8TH DAY OF SEPTEMBER, 1997, AT 7:00 P.M.
The meeting was called to order by Robert J. Koetter, President of the corporation, who
acted as Chairman of the meeting, and Gladys M. Koetter, Secretary of the corporation, acted as Secretary.
On roll call, all the directors were found to be present, namely:

Phillip R. Koetter
Kenneth Koetter
Wayne Koetter
Gladys M. Koetter
John L. "Jack" Koetter
Robert J. Koetter, Jr.
Chairman Koetter stated that the first order of business was the election of officers for the
coming year. After a discussion, the following resolution, upon motion duly made and seconded, was
unanimously adopted:
"BE 1T RESOLVED, that Robert J. Koetter, Sr., be and he is hereby, elected President;
that Phillip R. Koetter be, and he is hereby, elected First Vice-President; that John L.
Koetter be, and he is hereby, elected Executive Vice-President; and that Gladys M.
Koetter be, and she is hereby, elected Secretary-Treasurer of the Corporation for the
coming year, such elections to be effective immediately and such officers to hold their
respective offices until their successors shall have been duly elected and qualified."
"BE IT FURTHER RESOLVED, that Robert J. Koetter, Sr., as President of the
Corporation, and, in his absence, either Phillip R. Koetter, First Vice-President, or John
L. "Jack" Koetter, Executive Vice-President, be and hereby is authorized to sign any and
all contracts binding on the Corporation, and no person, firm, corporation or entity shall
be required to inquire into any of said officers' authority to so act for and bind the
Corporation before the acts of said officer shall be binding on the Corporation in all
respects."

ANNEXATION
A part of Surveys No. 23, 35 and 36 of the Illinois Grant in Jeffersonville and Utica Townships
of Clark County, Indiana, being a part of the same tract conveyed to Koetter, Williams and
Strange and bounded as follows:
Beginning at a northeasterly point in the existing boundary line of the City of Jeffersonville,
Indiana, which is in the line of State Highway 62, thence the following courses:
Northeastwardly, 680 feet, more or less, with State Highway 62;
Northwestwardly, 1370 feet, more or less, through the right-of-way of 1-265;
Northeastwardly, 150 feet, more or less, to a point in the northerly right-of-way line of 1-265,
which is the southerly line of a tract conveyed to Williams at Deed Record 227 page 151;
North 19 deg. 58 min. 54 sec. East, 208.46 feet, more or less, across Williams to the
northeasterly line of Williams, which is the southwest line of a tract conveyed to Strange
at Deed Drawer 28, Instrument No. 14436 and the line between said Surveys No. 35 and
36;
North 38 deg. 30 min. 00 sec East, 1535.40 feet, more or less, with said line;
North 41 deg. 14 min. 11 sec. East, 1278.77 feet, more or less, with the northwest line of said
Strange tract to the line of the CSX Railroad;
Southeastwardly, 487.60 feet, more or less, with said CSX line on a curve to the right of radius
598.30 feet whose chord bears
South 89 deg. 35 min. 56 sec. East, 474.22 feet, more or less;
North 41 deg. 15 min. 18 sec. East, 863.03 feet, more or less with a northwest line of said
Strange tract;

North 41 deg. 15 min. 18 sec. East, 391.96 feet, more or less, to the southwesterly line of Utica -
Sellersburg Road;
Northwestwardly, 400 feet, more or less, with said right-of-way crossing the CSX Railroad;
Northeastwardly, 50 feet, more or less, to the northeasterly right-of-way line of Utica-Sellersburg
Road;
Southeastwardly, 1180 feet, more or less, with said right-of-way line crossing the CSX Railroad
twice to the northwesterly right-of-way line of State Highway 62;
Southwestwardly, 50 feet, more or less, with said right-of-way line to the southwesterly right-of-
way line of Utica-Sellersburg Road;
Northwestwardly, 540 feet, more or less, with said right-of-way line, crossing the CSX Railroad;
South 19 deg. 58 min. 54 sec. West, 3481.37 feet, more or less, with said CSX line which is the
southeast line of Strange and Williams;
