Professional Services Agreement
This agreement is entered into between the City of Jeffersonville, Clark County, Indiana,
through its Board of Public Works and Crowe Chizek and Company LLC (Crowe Chizek) to
provide accounting assistance to City Officials and employees.
The effective date of this contract is as of signing by the Board of Public Works. This contract
will be used as a basis for assigning discrete projects for Crowe Chizek to provide services to
the City of Jefferson4ilte on an as assigned basis. However, the contract does not guaranty that
any assignments will be given to Crowe Chizek, and each project performed will be subject to
approval by the Board of Public Works or other appropriate City Board or Department.
Statement of Work
A. Accounting Assistance. Crowe Chizek will provide accounting assistance to the City to
determine current balances and outstanding obligations of the City and each City
Department as of December 31, 2003. In addition, Crowe Chizek will be available on an on-
going basis to advise City Officials on accounting and financial reporting issues as they
arise.
B. Budgetary Assistance. Crowe Chizek will provide budgetary assistance to the City to
determine the current level of budgetary operations and any limitations established under
Indiana budgetary statutes. Budgetary assistance is defined as assistance in the
development of budgetary goals and objectives, projections of revenues and expenditures,
both operating and capital, preparation of official budget forms, attendance and testimony
at public hearings and Cotmcil meetings, assistance with the firing of any appropriate
appeals as provided by Indiana statutes, and other budget related services as requested.
C. Financing Assistance. Crowe Chizek will provide financing assistance to the City.
Financing assistance is defined as assistance in the preparation of estimates and projections
and the preparation of documents necessary to secure borrowing for Tax Anticipation
Warrants, Bonds, Loans, lease-purchase agreements and other financing arrangements as
necessary for effect the issuance of debt or debt-related instruments by the City or its
departments. Financing assistance also includes the design, negotiation and
implementation of economic development incentives as requested by the City.
D. Other Consulting Assistance. Crowe Chizek will provide other consulting assistance to the
City. Other consulting assistance is defined as assistance with financial or operational issues
for the City that do not fall within the categories of Accotmtmg, Budgetary or Financing
assistance. Such assistance could include contract negotiation, review of medical or other
insurance programs or policies, purchasing procedures, internal accounting control or other
operational issues that are not clearly included in one of the other categories above.
Personnel Crowe Chizek will provide the services of a qualified consultant to supervise ail
services provided. The consultant expected to provide these supervisory services is Michael A.
Claytor. Direct services may be provided either by Michael A. Claytor or by another Crowe
Chizek consultant or certified public accountant acceptable to the Ci~.
Compensation. Compensation (including reimbursement for expenses) shall be billed based on
each project assi~ned to Crowe Chizek. The method of computing compensation may be based
on hourly charges at Crowe Chizek's normal hourly rates applicable to governmental services,
on a fiat fee basis or on any other basis agreed to by the Board of Works for specific projects
assigned.
Allocation of Compensation and Fees. Crowe Chizek will assist the City in the allocation of its
fees among Funds and Accounts by providing in its billings an estimated allocation of what
proportion of its compensation related to Civil City, Redevelopment, Utilities or other functions
so that fees may be charged to the appropriate appropriation or function of goverrunent as
necessary.

The title of this Project Assignment is: Accounting Assistattce
The scope of work of this Prgject Assignmettt is:
1. Compile a list of all outstanding debt and financial obligations of the City of
~effersonville and its component entities, including ntilities, including terms, maturity
dates, interest rates and other pertinettt information. Analyze wliether the City could
achieve any net savings through the reftmding of any outstanding obligations.
2. Analyze the outstanding cash balances, budgets, obligations and encumbrances of the
City attd its component entities, including utilities, and report on the financial position
of each fund of the City. Since the 2002 Pay 2003 Reassessmettt in Clark County is not
complete, this procedure will be based on the most current information available.
3. Report on the status o£ any outstanding appeals of budgets and levies or opportunities
where the City could appeal or adjust its budgetary system in order to improve the
finattcial position of the City.
4. Analyze the status of outstanding Federal and State Grants attd determine outstanding
balances and issues related to funding and comp]iattce.
5. Analyze the status of outstanding obligations of the Redevelopmettt Commission
whether based on Tax Increment Financing or other financing and report ott the source
and adequacy of ffmding of those obligatiotts.
6. Analyze the status of outstanding obligations of the Urban Enterprise Zone and report
on the source and adequacy of funding of those obligations.
7. Work with the City Officials to determine specific areas of concern in particular types or
amounts of expettditures over the past several budgetary periods and report on the
amounts and status of such payments.
The basis for determining the fees is: Based on number of hours worked at Crowe Chizek's
normal hourly rates. Total fees under this Project Assignment will not exceed S15,000 without
prior written agreement of the Board of Works.
