Re: Agreement for Design Services, Bidding-Related Services and
Construction-Related Services - WWTP Miscellaneous improvements/Upgrades
(Anoxic Zones and Ultraviolet Disinfection)
This is an Agreement to provide services (Services) related to WWTP Miscellaneous
Improvements/Upgrades (Anoxic Zones and Ultraviolet Disinfection), hereinafter
referred to as the PROJECT, between City of Jeffersonville, hereinafter referred to as the
OWNER, and Strand Associates, Inc., hereinafter referred to as the ENGINEER.
Scope of Services
These Services include design of miscellaneous improvements to the existing 5.2 mgd
Jeffersonville Wastewater Treatment Plant (WWTP). The improvements include:
· Adding an anoxic zone to the existing oxidation ditches.
· Replacing two existing oxidation ditch aerators (one in each ditch).
· Adding variable frequency drives to two existing RAS pumps.
· Adding ultraviolet light disinfection to two existing chlorine contact tanks.
· Adding diffused postaeration to two existing chlorine contact tanks.
The following service elements are included:
1. Conduct a topographic survey of the WWTP site where construction is proposed.
2. Meet with the Indiana Department of Environmental Management (IDEM) to
discuss proposed increase in WWTP capacity from 5.2 mgd to about 6.0 mgd.
3. Prepare construction draWings for proposed improvements.
4. Prepare permit applications to IDEM for the proposed PROJECT.

Prepare contract documents including technical specifications, engineering
drawings, and bidding documents.
Submit Contract Documents to OWNER for review and input.
Prepare prebid opinion of probable construction cost for PROJECT and submit to
OWNER.
Review the draft Contract Documents with OWNER, incorporate review
comments, and submit two copies of the final documents to OWNER.
9. Submit plans and specifications and permit application to IDEM for approval.
Bidding-Related Services
The following elements are included:
1. Prepare and distribute up to 40 sets of bidding documents to prospective
contractors and suppliers. Submit Advertisement for Bids to OWNER for
publishing.
Prepare addenda and answer questions during bidding.
Attend bid opening, tabulate and analyze bid results, and assist OWNER in the
award of the Construction Contract.
4. Prepare 3 sets of Contract Documents for signature.
Construction-Related Services
The following elements are included:
Construction administration activities including attendance at preconstruction
conference, review of Contractor's shop drawing submittals, review of
Contractor's periodic pay requests, attendance at construction progress meetings,
periodic site visits, and participation in PROJECT closeout.
On-site part-time construction observation of the improvements. In furnishing
observation services, the ENGINEER's efforts shall be directed toward
determining for the OWNER that the completed PROJECT will, in general,
conform to the Contract Documents, but the ENGINEER shall not supervise,
direct, or have control over the Contractor's work and shall not be responsible for
the Contractor's construction means, methods, techniques, sequences,
procedures, health and safety precautions or programs, or for the Contractor's

failure to perform the construction work in accordance with the Contract
Documents·
3. Prepare and submit to OWNER record drawings in mylar and electronic format
from information compiled from Contractor's records. The ENGINEER is
providing drafting services only for record drawings based on the records
presented to the ENGINEER by Contractor and OWNER. The ENGINEER shall
not be liable for the accuracy of tlae record drawing information provided by the
Contractor and OWNER.
4. Prepare an addendum to OWNER's Operation and Maintenance manual to
include narrative on ENGINEEWs intent and compilation of equipment
manufacturer's literature.
Service Elements Not Included
The following services are not included under the scope of this Agreement. If such
services are required, they shall be provided as noted:
1. S~ervices Furnished During Readvertisement for Bids, if Ordered by OWNER.: If
a Contract is not awarded pursuant to the original bids, any services of this type
shall be provided for by an amendment to this Agreement.
2. Revising Desikms, Plans, Specifications, and Documents: Any services required
~fter these items have been approved, by state or federal regulatory agencies,
because of a change in PROJECT scope or where such revisions are necessary to
comply ~vith State and Federal requirements that are put in force after services
have been partially completed, shall be provided for by an amendment to this
Agreement.
3. Preparation for and/or Appearance in Litigation on Behalf of the OWNER: Any
services of this type required to be provided by the ENGINEER shall be provided
through a separate agreement with the OWNER.
4. Archaeological Investigations: The fees do not include the cost for
archaeological investigations, ii' required, OWNER shall contract directly with an
archaeological firm for these services.
5. Sales Tax and Other Taxes: Only sales taxes or other taxes on Services that are in
effect at the time this Agreement is executed are included in the fees. If the tax
laws are subsequently changed by legislation during the life of this Agreement,
the Agreement shall be amended to reflect the net change.
6. Soil Borings: The fees do not include the cost for soil borings. The ENGINEER
will assist the OWNER in engaging the services of a soils consultant.

8. ~: Any services involved in land surveys necessary to establish
property boundaries shall be provided through a separate a~eement with the
OWNER.
Compensation
OWNER shall compensate ENGINEER for Design Services items No. 1 through No. 9
for a lump sum fee of $101,000.
OWNER shall compensate ENGINEER for Bidding-Related Services items No. 1
through No. 4 for a lump sma fee of $10,000.
OWNER shall compensate ENGINEER for Construction-Related Services on a lump
sum basis and an hourly rate basis for the time actually spent plus expenses, as noted
below:
Construction-Related Services shall be as follows:
· Construction Administration (Item 1.) $27,000 lump sum
· Construction Observation
and Record Drawings (Items 2. & 3.) $75,000 hourly
· O&M Manual (Item 4.) $15,000 lump sum

Expenses incurred such as subconsultants, travel, meals, printing, postage, copies,
computer, electronic communication, and long distance telephone calls shall be billed at
actual cost plus 5 percent.
The ENGiNEER's wage scales are adjusted annually on July 1. The fees as indicated
above include a wage scale that assumes the Services being completed by June 30, 2005.

The lump sum and hourly fees shall not be exceeded without prior notice to and
agreement by OWNER but may be adjusted for time delays, time extensions,
amendments, and changes in the scope of the services. Any adjustment shall be
negotiated based on the ENGINEER's increase in costs caused by delays, extensions,
amendments, or changes.
Construction~Related Services shall not commence until a written notice to proceed has
been issued by the Jeffersonville Sewer Board.
Payment
The OWNER shall make monthly payments to the ENGINEER for Services performed
in the preceding month. Nonpayment 30 days after the date of receipt of ENGINEER's
invoice may, at ENGINEER's option, result in assessment of a 1 percent per month
carrying charge on the unpaid balance.
Schedule
Assuming ENGINEER receives the signed Agreement by December 22, 2003, the
ENGINEER anticipates completion of the final Contract Documents by March 29, 2004,
and the Construction-Related Services being completed by April 15, 2005.
Termination
This Agreement may be terminated with cause in whole or in part in writing by either
party subject to a two-week notice and the right of the party being terminated to meet
and discuss the termination before the termination takes place. The ENGINEER shall be
paid for all completed or obligated Services up to the date of termination.
Standard of Care
The standard of care for all services performed or furnished by ENGINEER under this
Agreement will be the care and skill ordinarily used by members of ENGINEER's
profession practicing under similar circumstances at the same time and in the same
locality. ENGINEER makes no warranties, express or implied, under this Agreement or
otherwise, in connection with ENGINEER's services.
Remedies
Except as may be otherwise provided in this Agreement, all claims, counterclaims,
disputes, and other matters in question between the OWNER and the ENGINEER
arising out of or relating to this Agreement or the breach thereof will be decided first by
mediation, if the parties mutually agree, or with a bench trial in a court of competent
jurisdiction within the State of Indiana.

Opinion of Cost
Any opinions of cost prepared by the ENGINEER are supplied for general guidance of
OWNER only. ENGiNEER has no control over competitive bidding or market
conditions and cannot guarantee the accuracy of such opinions as compared to contract
bids or actual costs to OWNER.
Data Provided by Others
ENGINEER is not responsible for the quality or accuracy of data nor for the methods
used in the acquisition or development of any such data, where such data is provided by
or through OWNER or CONTRACTOR to ENGiNEER and where ENGiNEER's
Services are to be based upon such data. Such data includes, but is not limited to, soil
borings, groundwater data, chemical analyses, geotechnical testing, reports, calculations,
designs, drawings, specifications, record drawings, Contractor's marked up drawings,
and topographical surveys.
