This contract, executed on the 27th day of April,2026, shall serve as a binding agreement between the
Jeffersonville Parks Department (herein referred to as Parks) and the person or entity listed on page one
of this contract (herein referred to as the Renter),to allow the use of The Depot Arts & Entertainment
Venue (herein referred to as the Venue), located at 701 Michigan Ave.Jeffersonville, IN 47130.
The terms of this agreement are set forth as follows:
RENTAL FEES AND OTHER COSTS
Rental fee listed below includes 4 hours of event time, 2 hours for setup and 1 hour for
teardown/cleanup.Times may be increased for an additional fee of$500 per hour, at the venue
manager's discretion.
Rental Fee: 20%of Ticket Sales
Additional Hours and Cost: N/A
Cleaning Fee: $300
Parks' 30' x 60'tent is available for rent for$2,000 per venue rental,which includes installation and
removal services by Party Central. Tent rental can be added at a later date, but no later than seven (7)
days prior to the event, and is dependent on Party Central's availability.

PAYMENT REQUIREMENTS
Deposit is waived for this event.The Ticket Settlement payment is due two (2) days after the event date.
If final payment is not made by the due date,the City of Jeffersonville may begin collection procedures.

Renter's Acknowledgement(initials).
Payments are accepted by check or money order at the Jeffersonville Parks Department office, located
at 500 Quartermaster Court, or by credit card via Parks' online payment system. A 3.5% processing fee
will be charged for all credit card payments.
CANCELATION
If for any reason,the Renter cancels the event, all payments made prior to cancelation will be forfeited
to the Jeffersonville Parks Department.

If for any reason,the Jeffersonville Parks Department cancels the event, all payments made prior to the
cancelation will be refunded to the Renter.
The Jeffersonville Parks Department reserves the right to cancel the event based on concerns for public
safety, which include but are not limited to: severe weather, outbreak of illness and received threats
against the renter or associated guests,the venue or the City of Jeffersonville and any of its subsidiaries.
In the event of cancelation due to severe weather,the event may be rescheduled based on venue
availability and the discretion of the Jeffersonville Parks Department.
INSURANCE
Renter agrees to obtain general liability insurance for the event in an amount no less than one-million
dollars ($1,000,000).The policy must name the City of Jeffersonville as additional insured for the
coverage amount. A certificate of insurance, naming the City of Jeffersonville as additional insured, must
be provided to the Venue Manager at least thirty (30) days prior to the event.
Renter agrees to provide Hold Harmless Waivers from Ohio Valley Wrestling and all Talent involved in
the event. Waivers must be submitted to the venue manager before event setup begins.
If the Renter fails to provide the necessary insurance documents by the due date,the Jeffersonville
Parks Department reserves the right to cancel the rental, and all payments made prior to the
cancelation will be forfeited.
CAPACITY
Per regulations by the Jeffersonville Fire Department, no more than five-hundred (500) attendees shall
be allowed to be inside the venue at any time, if the event is determined to be Standing attendance.
If the event is determined to be Seated, no more than three-hundred and fifty (350) attendees shall be
allowed to be inside the venue at any time.
If the event is determined to be Tabled, no more than two-hundred (200) attendees shall be allowed to
be inside the venue at any time.
The number of attendees allowed at the event does not include venue, catering and entertainment
staffing.

SITE USAGE
Rental of the venue includes the use of all open outdoor areas, restrooms, and the stage.Access to the
concession area is only allowed if alcohol service is being facilitated by the venue's permitted alcohol
vendor(Hyperion Ventures LLC). Access to the shops is not allowed during rental events, unless
arrangements have been made directly with the shop owners and the shops are staffed during the
rental times.

ALCOHOL SERVICE
Alcohol service at The Depot is contracted with Hyperion Ventures LLC, dba The Alcove. All renters are
required to arrange alcohol service with this provider. Alcohol is not allowed on the premises unless it is
purchased from and served by this provider. The renter will work directly with The Alcove to arrange
service for the event.The Jeffersonville Parks Department does not facilitate alcohol service or the
planning thereof.
CATERING
The Venue is contracted with multiple vendors to provide food service catering. Renter is required to
use one of the approved caterers for the event. Vendors that are not contracted with the Venue may be
used, if approved by the Venue Manager. A$200 administrative fee will be charged for vetting and
contracting any new vendor.The renter will work directly with the vendor(s)to arrange service for the
event.The Jeffersonville Parks Department does not facilitate food service or the planning thereof.
AUDIO/VISUAL SERVICE
The Venue provides the use of its public announcement system and in-house stage lighting at no
additional cost to the Renter. The Venue's A/V system must only be operated by Parks staff or the
approved entertainment provider. In the event of inclement weather,the Venue Manager has the
authority to decide whether it is safe to operate the Venue's audio/visual equipment in the conditions.
If the event requires additional sound and lighting, it must be provided by a vendor that is contracted
with the Venue to provide service. The renter will work directly with the provider to arrange service for
the event.The Jeffersonville Parks Department does not facilitate additional audio/visual service or the
planning thereof.
ENTERTAINMENT
The Venue has a variety of Dis and bands that are contracted to provide entertainment for events.
Renter is required to use one of the approved providers, unless the Venue Manager approves a different
provider at the request of the Renter. A$200 administrative fee will be charged for vetting and
contracting any new provider.
SECURITY
Security services are required for all events at the Venue. The Renter must use a security provider that is
contracted with the Venue.The Venue Manager will determine how many security officers are required,
as well as their duties during the event.

Renter must provide copies of all vendor contracts to the Venue Manager at least 30 days prior to the
event. Failure to provide contracts by the deadline may be considered a breach of this agreement.

ADDITIONAL TERMS OF AGREEMENT
1. Governing Law:This contract shall be governed by the laws of the County of Clark in the
state of Indiana, and any applicable United States Code or Administrative Orders.
2. Arbitration Clause: All disputes, controversies, or claims arising out of or relating to this
contract shall be submitted to binding arbitration in accordance with the applicable rules of
the American Arbitration Association then in effect.
3. Attorney Fees: In the event of any legal action (including arbitration)to enforce or interpret
this contract,the non-prevailing party shall pay the responsible attorney's fees and other
costs and expenses (including expert witness fees) of the prevailing party. In addition, such
non-prevailing party shall pay reasonable attorney's'fees incurred by the prevailing party in
enforcing, or on appeal from, a judgement in favor of the prevailing party. This provision is
intended by the parties to be severable from the other provisions of this contract and to
survive and not be merged into such judgement.
4. Indemnification:
a. Renter shall release, discharge, indemnify and hold harmless the City and its officials,
employees, agents and representative from and against liability for any claim,
demand, loss, damages, penalty,judgment, expenses, costs (including costs of
investigation and defense),fees, (including reasonable attorney and expert witness
fees) or compensation in any form or kind whatsoever for any bodily injury, death,
personal injury, or property damage arising out of or in connection with any act,
error or omission by the Renter or for any resulting liability alleged to accrue against
City on account of the Renter's acts, errors or omissions; provided, however,that
such indemnity shall not be construed as an indemnity for bodily injury or property
damage arising from the sole negligence or intentional acts of City or its employees.
b. Renter further shall investigate, process, respond to, adjust, provide defense for and
defend, pay or settle all claims, demands, or lawsuits related to its acts, errors and
omissions hereunder at its sole expense and shall bear all other costs and expenses
related thereto, even if the claim, demand or lawsuit is groundless,false or
fraudulent.
5. Termination: Should the Renter default in the performance of this Agreement or materially
breach any of its provisions,the City shall have the option of terminating the Agreement by
giving written notification to the Renter at the address shown herein. This agreement may
also be terminated by the City at its option and without prejudice to any other remedy which
it may be entitled either at law, in equity,or under the terms of this Agreement.
6. Entire Agreement:This writing,together with all of the attached Exhibits, constitutes the entire
agreement of the parties.This Rental Agreement supersedes all prior agreements, if any,

between the parties, and no representation,warranties, inducements, or oral agreements that
may have been previously made between the parties shall continue in effect unless stated
herein.This Rental Agreement shall not be modified except in writing, signed by Parks and the
Renter.
7. Notice: Any notice given pursuant to this Agreement other than which is specifically permitted
to be given in some other fashion shall be in writing and shall be delivered by hand, by
overnight courier or by registered or certified mail, postage prepaid, return receipt requested
and addressed as follows:

Notice shall be deemed given when delivered if hand-delivered by courier or two days
after the date indicated on the postmark if sent by U.S. Mail.
Either party may change its address to which notices shall be delivered or mailed by
giving notice of such change as provided above.
By signing below, both parties agree to all the clauses and conditions as stated in this contract.
