The Depot at NoCo Performance Contract
The undersigned Performer and Producer agree on this date being the 23'd day of February in the year
2026 to the following terms and conditions for engagement of artist performance in accordance herein
described.

VENUE
The Depot at NoCo, an outdoor city park and event venue, located at 701 Michigan Ave. in Jeffersonville,
Indiana.
CONTRACT AMOUNT
Producer shall make payment in accordance herewith to Performer, or performer agent per designation
as assigned below,the agreed amount of$1,000 dollars per concert for and following render of service
under this agreement. A deposit of$500 dollars (50%of full amount) per concert will be paid to
Performer/agent upon execution of this contract, with the balance to be paid the night of the
performance after all obligations have been met.
PRODUCTION REQUIREMENTS
Producer to provide sound reinforcement, lighting and staging in accordance with acceptable
presentation of artist performance and as deemed appropriate by Producer for the venue of
engagement under this agreement. Producer shall also provide Production/Stage Manager, FOH
engineer,venue manager during the execution of this agreement. Performer shall provide and be
responsible for personal gear to include instruments and personal amplification equipment, effects and
instrument cables necessary.
PERFORMANCE DETAILS
Performer will provide two(2) 60-minute musical sets per concert, in front of a live audience on the
dates of April 1, 2026 and October 7,2026.
Both parties agree to practice good faith to abide by the day-of-show schedule to be set by the Producer
and production manager,which will include times for load-in, sound check, performance set and curfew.
Producer and/or production manager shall have the final authority on all decisions regarding safety of
Performer(s), production crew, equipment and facility.
Performer shall be responsible for all licenses, taxes and other such required professional or civil
provisions that may apply to their performance, mechanical license, copyright,trademark and such not
under authority of the Producer and required for the execution of this agreement.
PROMOTION
Producer shall provide all materials and social media event creation for promotional purposes.
Performer agrees to only use materials provided by Producer, and will not create their own graphics,
Facebook event, etc. Performer agrees to promote the event on their own social media pages and
website using the materials provided.
INCLEMENT WEATHER
Any decision to cancel the performance will be made by City of Jeffersonville safety officials. In the event
that the performance is cancelled due to weather,the Performer shall retain all payments in accordance
with this contract. Good faith efforts will be made by the Producer and the Performer to reschedule the
performance at no additional cost to the Producer. If the City does not cancel the performance, and the
Performer refuses to perform,the balance payment and rescheduling effort will be forfeited.
FORCE MAJEURE
If because of an act of God, inevitable accident,fire, lockout, strike or other labor dispute, riot or civil
commotion, act of terrorism or war, act of government or government instrumentality or regulation or
other cause beyond the reasonable control of a party("Force Majeure Event"), either party is unable to
perform any or all of its obligations hereunder, then such nonperformance will not be a breach of this
Agreement at which time the parties are relieved of their responsibilities herein,and the Performer shall
be entitled to retain the deposit paid in accordance with this Agreement. The parties hereby agree a
pandemic or other threat to public health such as COVID-19 are beyond the reasonable control of a
party and thus, shall be considered an Act of God for purposes of this section.
HOLD HARMLESS
Performer agrees that the City of Jeffersonville shall not be held liable for any loss, damage and/or injury
at the venue that may occur at any time during the day of the performance. This indemnification applies
to and includes, without limitation,the payment of all penalties and fees associated with any claims
and/or lawsuits that may occur as the result of incident at the venue.
