CREATIVE
PERFORMANCE/SHOW CONTRACT AGREEMENT
This contract(the Agreement) is made on December 2, 2025 between:
City of Jeffersonville(Client) and Goodness Gracious Creative for the hiring of independent
contractor to perform at:
Steamboat Nights (Event/Project Name/Description).
It is agreed as follows:
1. Date,Time,and place of Performance. The parties agree that Performance will be on
October 3, 2026; TBD (Date; Time) At The City of Jeffersonville, (the Venue), address: 500
Quartermaster Court, Jeffersonville, IN 47130 (Venue Address).
2. Description of Performance. As mutually agreed in attached Invoice.
3. Payment. Fee is$6,500.00 USD, payable by Check, ACH, Venmo or Zelle. A non-refundable
deposit of$3,250.00 is due January 15, 2026 and the balance of$3,250.00 is due on October 1,
2026.
4. Cancellation. If full payment is not made by due date, Performance may be cancelled by
Goodness Gracious Creative,and City of Jeffersonville may not seek any
damages. Cancellation may be made by City of Jeffersonville before three weeks prior to the
time of Performance. If Performance/Show is cancelled within 3 days of Performance, City of
Jeffersonville must pay Goodness Gracious Creative full Fee.
5. Weather& Rain Policy. Goodness Gracious Creative reserves the right to delay, adjust, or
cancel performances due to unsafe weather conditions (e.g., rain, lightning, high winds, extreme
temperatures). We will make every effort to adjust timing, modify the show, or move the
performance indoors if possible. For fire performances,we can substitute with LED or daytime-
safe props when feasible. If no indoor alternative is available, full payment remains due as
agreed. If the client cancels due to weather concerns, full payment is still required.
Rain Date/Weather Postponement: If the event is rescheduled due to weather, an additional
non-refundable rebooking fee will apply to cover administrative and talent holding costs.
By signing this agreement,the client acknowledges and accepts the weather-related risks
associated with outdoor performances and agrees to the terms outlined above.

6. Force Majeure. In the event Performance cannot reasonably be put on because of
unpredictable occurrences such as an act of nature, government, or illness/disability, the deposit
of Fee is non-refundable and the parties may negotiate a substitute Performance on similar terms
as this Agreement save for the time of Performance, in which case a new Agreement reflecting
this will be signed by the parties.No further damages may be sought for failure to perform
because of force majeure.
7. Load-In/Load-Out/Parking. City of Jeffersonville will secure a load-in and load-out space
at the venue's loading dock 2 hours prior to Performance and lasting until 2 hours after the
Performance and provide free sufficient parking for Goodness Gracious Creative's staff's
vehicles within a convenient distance to Venue.
8. Sound Systems Check. If a sound check by Venue's sound system is required, a time is to be
mutually arranged between Goodness Gracious Creative and City of Jeffersonville.
9. Green Room. City of Jeffersonville will secure sufficient sized, private Green Room at the
Venue, stocked with beverages and snacks including a private dressing area for Goodness
Gracious Creative's Performers & Staff within a reasonably convenient distance to a bathroom
for a minimum period of 2 hours prior to the performance and lasting until 2 hour after
performance. If Stilt walkers are performing City of Jeffersonville will provide a room of
adequate height and a tall table or stool.
10. Security, Health,and Safety. City of Jeffersonville warrants that Venue will be of
sufficient size to safely conduct Performance, that Venue is of stable construction and
sufficiently protected from weather, and that there will be adequate security and/or emergency
medical responders available if foreseeably necessary. City of Jeffersonville maintains
sufficient personal injury/property insurance for Venue sufficient to cover foreseeable claims.
11. Indemnity. City of Jeffersonville indemnifies and holds Goodness Gracious Creative
harmless for any claims of property damage or bodily injury caused by Venue, Client and/or
Performance attendees.
12.Relationship of Parties. The relationship of the Parties established by this Agreement is that of
independent contractors,and nothing contained in this Agreement shall be construed to create a
partnership,joint venture,or other agency relationship between the Parties.
13. Arbitration settles disputes. All claims or disputes by either party from or under this
Agreement will be submitted to arbitration. Parties will arbitrate at their own costs.
14. Mutual Warranties. Each party to this Agreement represents and warrants to the other that it
has the right and authority to enter into this Agreement and to perform all its respective obligations
and undertakings. Each party further represents and warrants that: (a)this Agreement has been duly
executed and delivered and constitutes a valid and binding agreement enforceable against such party
in accordance with its terms; (b) no authorization or approval from any other person is required in
connection with such party's execution, delivery, or performance of this Agreement; and (c) the
execution, delivery, and performance of this Agreement does not violate the terms or conditions of
any other agreement to which it is a party or by which it is otherwise bound.

15. Interpretation. Agreement will be interpreted according to the laws of Tennessee. Severability. If
any portion of Agreement is in conflict with any applicable law,such portion will become inoperative,but
all other portions of Agreement will remain in force.
16. Riders. See attached Invoice.Nothing in Agreement shall prevent any additional rider from
being added to Agreement that is favorable to Goodness Gracious Creative, as judged by
Goodness Gracious Creative,All riders must be in writing and signed by both parties.
The below-signed Goodness Gracious Creative Representative warrants she has authority to
sign this agreement for Goodness Gracious Creative in its entirety. The below signed City of
Jeffersonville Representative warrants they have authority to bind City of Jeffersonville and
Venue (above).
