Terms & Conditions
Agreement: This is a binding agreement for the stated term effective on the listed start date.The customer(signee)will allow us
(M&M Office Products)to maintain the equipment listed in this agreement. The customer may not cancel,re-assign or transfer this contract for any
reason without the written consent of both parties.We(M&M Office Products)reserve the right to cancel this agreement for any reason we see fit.
This document may not be amended without the written consent of both parties. Any warranties provided by the manufacturer or M&M Office
Products are replaced with this maintenance agreement upon acceptance.Any remaining term left on an existing warranty has no redeemable
value.
Delinquency: If the customer has any unpaid balances for a period greater than 0 days,we reserve the right to refuse the service
provided in this agreement,as well as the right to disable equipment until delinquent balances are paid in full. We will not be required to reverse
any actions as the result of delinquency until the balance is paid in full to us.
Service Availability&Expectations: Service on maintained equipment can only be performed Monday thru Friday from 8:00 am
to 4:30 pm(EST),excluding Holidays observed by us. We will provide all services for customers listed in the above agreement.
Coverage Exclusions: Customer shall assume all liabilities and costs associated with service requests due to operator error,
network-related errors,misuse,neglect,willful or intentional acts; Any and all interconnected equipment,parts,attachments.supplies and repairs
not provided by us;failure to meet environmental,telecommunication,or electrical power requirements;damage resulting from accident,fire,flood,
earthquake,or other acts of God;acts of third parties;any additional unlisted causes as the result of non-normal use.•
Renewal: This agreement will be automatically renewed on the anniversary date of the initial agreement every subsequent year
unless you notify us prior to the said date. We reserve to right to adjust prices based on current market conditions at renewal.
Replacement Warranty: "Current equipment"(OMD<5 years)that is irreparable as the result of normal use;we agree to provide
replacement equipment of similar performance and features on a"temporary loan."This loan will last until the end of the term at no additional cost
to the customer. At the end of the term,the loaner will be returned or purchased,and this agreement will be voided. For"legacy equipment"(OMD
>5 years)customer acknowledges no replacement will be provided for remaining term, the agreement will simply be terminated.agrees That they
shall not be compensated for any perceived loss of value in the event-maintained equipment is irreparable. This clause is superseded by lease
agreement terms if equipment is associated with an active lease.
Limited Liability:We shall not he liable to customer or any other party. person,or organization for any incidental,indirect. special,
consequential or punitive damages arising out of the performance or non-performance of services or the furnishing or failure to
furnish goods described in this agreement without regard to whether such damages are foreseeable or unforeseen.or are claimed
to arise by reason of breach of contract, breach of warranty, negligence,misrepresentation,strict liability or other legal theory. In
no circumstances shall our liability to the customer exceed the amount which the customer has paid to us with respect to the
equipment under this agreement.
