The purpose of the award is to plant 42 trees on various public properties in Jeffersonville. Louisville Grows has a long-standing history of urban reforestation, having planted a total of approximately 7,696 trees in Louisville and Southern Indiana since 2011, including significant projects in Jeffersonville and Clarksville occurring Fall 2024. Docusign Envelope ID: 5056C835-581 A-46EE-92D3-AC5F7C943DOF Professional Services Agreement This professional services agreement is made by and between the City of Jeffersonville and Louisville Grows Louisville Grows agrees to provide professional services to the City of Jeffersonville to be performed with respect to the 2024 Tree Planting Program per the general provisions, scope of work, and budget outlined below, GENERAL PROVISIONS: 1. Services provided: The professional services to be provided by Louisville grows are described in the Scope of Work section below and are referred to herein as the "services" 2. Commencement and Schedule: Louisville Grows shall commence services upon execution of this agreement. Work shall continue until completion of the services — anticipated for November 2, 2024. 3. Compensation: For all services rendered by Louisville Grows under this agreement, the City of Jeffersonville agrees to pay Louisville grows on the basis of the fees established in the Budget section below. City of Jeffersonville agrees to pay consultant $10,500 upfront for the ordering of trees and mobilization of staff resources. The remainder will be billed following the project completion. 4. Safety: Louisville Grows shall be directly responsible for the safety of its employees and volunteers that will perform the services outlined in this contract 5. Liability for Damages: Louisville Grows assumes all risk of loss, damage loss, damage or destruction to the work product, to all of its materials, tools, appliances and property of every description, and for injury to or deaths of its employees or volunteers arising out of or in connection with the performance of this Agreement, excluding that which occurs due to the acts or failure to act of any third party, and excluding that which is caused by the City of Jeffersonville. 6. Indemnification: Louisville Grows agrees to indemnify the City of Jeffersonville for all claims and liability due to the negligent acts of Louisville Grows or its employees or its volunteers. SCOPE OF WORK: Tree Planting Louisville Grows will handle all aspects of the Community tree planting process to provide 42 trees to residents of Jeffersonville. This process will include stakeholder engagement, neighborhood engagement through canvassing, volunteer management, staging and delivery of trees as well as coordinating the volunteer planting day. This process will begin in Fall of 2024 with a November 2024 planting date. Louisville Grows Shall: • Reserve and Purchase 1.5" diameter trees from a licensed nursery • Plant trees in accordance with local planting standards • Provide and install a 20 gallon water bag for each tree Docusign Envelope ID: 5D56C835-581A-46EE-92D3-AC5F7C943DOF • Provide and install sufficient mulch for each tree • Instruct resident accepting tree on watering protocol • Provide residents with tree care information and watering information • Apply for Planting permit (if needed) and include a property owner signed MOA that cites and confirms the property owners understanding of their liability based on city ordinances regarding trees • Accept all liability for staff and volunteers that participate in the coordination and tree-planting event • Deliver, stage, and plant all trees Louisville Grows shall also: • Provide and install a 20 gallon water bag for each tree • Provide and install sufficient mulch for each tree SCHEDULE The tree ordering and delivery will be completed by September 30, 2024, with delivery to Louisville Grows' Office, Healthy House, by October 25, 2024. Trees will be delivered to planting locations on October 31, 2024, with tree staging happening on November 1, 2024. Following this a volunteer planting event will be scheduled for November 2, 2024, to plant all 42 of the trees with volunteers, staff, and citizen foresters at the specified parks and redevelopment parcels. Trees not planted on November 2, 2024 shall be planted by staff by November 3, 2024. Docusign Envelope ID:5D56C835-581A-46EE-92D3-AC5F7C943DOF BUDGET The budget for this project encompasses all necessary expenses, including the coordination, planning, and supervision of the planting by the Urban Forestry Manager, volunteer recruitment and coordination by the Community Engagement Manager, support for volunteers such as food and beverages, and the purchase and planting supplies of 42 trees. The total budget for the project is $15,000, which breaks down to approximately $357.14 per tree. In witness whereof, the parties hereto have executed this Agreement. The tree species and quantities include Tulip Poplar (4), American Sycamore (4), Red Oak (4), Black Gum (5), Red Maple (5), Kentucky Yellowwood (5), Ivory Silk Lilac (5), Autumn Brilliance Serviceberry (5), Sweetbay Moonglow Magnolia (5).
