RE: Professional Services Agreement for 2024 Jeffersonville Tree Planting Program
Mr. Reischl,
Louisville Grows will be partnering with the City of Jeffersonville following the award of grant
funds from the Indiana DNR through the federal Inflation Reduction Act. The purpose of the
award is to plant 71 trees on various public properties in Jeffersonville. Louisville Grows has a
long-standing history of urban reforestation, having planted a total of approximately 7,696 trees
in Louisville and Southern Indiana since 2011, including significant projects in Jeffersonville and
Clarksville occurring Fall 2024.

Professional Services Agreement
This professional services agreement is made by and between the City of Jeffersonville and
Louisville Grows
Louisville Grows agrees to provide professional services to the City of Jeffersonville to be
performed with respect to the 2024 Tree Planting Program per the general provisions, scope of
work, and budget outlined below,
GENERAL PROVISIONS:
1. Services provided: The professional services to be provided by Louisville grows are
described in the Scope of Work section below and are referred to herein as the "services"
2. Commencement and Schedule: Louisville Grows shall commence services upon execution
of this agreement. Work shall continue until completion of the services — anticipated for
November 2, 2024.
3. Compensation: For all services rendered by Louisville Grows under this agreement, the
City of Jeffersonville agrees to pay Louisville grows on the basis of the fees established in
the Budget section below. City of Jeffersonville agrees to pay consultant $21,000 upfront
for the ordering of trees and mobilization of staff resources. The remainder will be billed
following the project completion.
4. Safety: Louisville Grows shall be directly responsible for the safety of its employees
and volunteers that will perform the services outlined in this contract
5. Liability for Damages: Louisville Grows assumes all risk of loss, damage loss, damage or
destruction to the work product, to all of its materials, tools, appliances and property of
every description, and for injury to or deaths of its employees or volunteers arising out of or
in connection with the performance of this Agreement, excluding that which occurs due to
the acts or failure to act of any third party, and excluding that which is caused by the City of
Jeffersonville.
6. Indemnification: Louisville Grows agrees to indemnify the City of Jeffersonville for all
claims and liability due to the negligent acts of Louisville Grows or its employees or its
volunteers.
SCOPE OF WORK:
Louisville Grows Shall provide the following deliverables under the terms of this IRA grant:
1. Purchasing, delivering and planting 71 native trees on public property using the
planting requirements outlined in:
a. The 2023 IRA grant application (Addendum A of this contract):
The Subgrantee will provide this document to all contractors,
employees, and/or volunteers working on this planting project
and ensure that these associates follow its guidelines.
b. International Society of Arboriculture (ISA) Best Management Practices
(BMPs)
c. The Subgrantee's grant application Timeline, Workplan, and Budget
(Exhibit B).
2. Subgrantee will plant all Indiana native species unless otherwise approved in
writing.

3. Unless a current tree inventory demonstrates a population under
10% in the genus Acer (maple), the Subgrantee will plant no maples.
If the Subgrantee can demonstrate through an up-to-date tree
inventory that the project area is comprised of less than 10% Acer,
the Subgrantee is then allowed to plant Acers for up to 10% of their
project trees.
4. Changes to the species selection, stock type, and/or planting
locations provided on the Work Plan Chart and/or Planting Plans
submitted at the time of application must be reviewed by CUF staff
and approved in writing/via email prior to planting onsite.
5. Final reimbursement is contingent upon the successful completion of
an onsite planting inspection by CUF staff. Trees found to be dead or
with low viability at the time of inspection must be replaced prior to
final reimbursement. CUF will hold in reserve 20% of any planting
project reimbursement funds until necessary corrections are made to
CUF staff satisfaction.
6. Any education and public outreach materials distributed with
funds from this project shall include the below statement and
logos:
"This institution is an equal opportunity provider."
NOTE: "This institution" is referring to your organization. It also applies to
USDA— so it is acceptable to display "These institutions are equal
opportunity providers." or "USDA and[partner organization] are equal
opportunity providers."You must also acknowledge the funding source is
from the USDA Forest Service and the Inflation Reduction Act.

Louisville Grows shall also:
• Provide and install a 20 gallon water bag for each tree
• Provide and install sufficient mulch for each tree
SCHEDULE
The tree ordering and delivery will be completed by September 30, 2024, with delivery to
Louisville Grows' Office, Healthy House, by October 25, 2024. Trees will be delivered to planting
locations on October 31, 2024, with tree staging happening on November 1, 2024. Following this
a volunteer planting event will be scheduled for November 2, 2024, to plant all 71 of the trees with
volunteers, staff, and citizen foresters at the specified parks and redevelopment parcels. Trees
not planted on November 2, 2024 shall be planted by staff by November 3, 2024

BUDGET
The budget for this project encompasses all necessary expenses, including the coordination,
planning, and supervision of the planting by the Urban Forestry Manager, volunteer recruitment
and coordination by the Community Engagement Manager, support for volunteers such as food
and beverages, and the purchase and planting supplies of 71 trees.
The total budget for the project is $30,000, which breaks down to approximately $422.54 per tree.

Addendum A: Tree Planting Plan
The detailed work plans with pre-approved tree planting locations and species are as follows:
- 14 trees at Allison Brook Park
- 5 trees at Lansden Park
- 12 trees at Jeffersonville Aquatic Center
- 5 trees at Redevelopment Property A
- 9 trees at Redevelopment Property B
- 8 trees at Vissing Park
- 18 trees at Wilcoxson Park & Parks Maintenance
The tree species and quantities include Northern Catalpa (5), Hackberry (7), Redbud (2),
Yellowwood (2), Hawthorn (2), Persimmon (2), Honeylocust (2), Kentucky Coffee Tree (3), White
Oak (2), Sweetgum (3), Tulip Poplar(3), Black Gum (7), Sycamore (2), Yellow wood (3), Shingle
Oak (8), Chestnut Oak (8), Chinquapin Oak (4), and Bald Cypress (6).
