CONTRACTUAL SERVICES AGREEMENT-EMS CONSULTING
This Services Agreement("Agreement")is made and entered into as of August 15,2024 by
Jeffersonville Fire Department and Jeff Dickson between August 21,2024 and December 31,
2024

(hereinafter referred to as the"Service Provider")
AND
Jeff Dickson
(hereinafter referred to as the"Client")
WHEREAS,the Client desires to retain the services of the Service Provider to perform certain
services,and the Service Provider is willing to perform such services under the terms and
conditions set forth in this Agreement;
NOW,THEREFORE,in consideration of the mutual covenants and agreements herein
contained,the parties hereto agree as follows:
1.Services to Be Provided
The Service Provider agrees to perform the following services for the Client
• Building a scheduling blueprint for operations of a 24/7 Emergency Medical Transport
Service.
• Working with the Indiana Department of Homeland Security,to build the infrastructure
of an Emergency Medical Service,in compliance with Indiana law and in adherence with
Indiana EMS commission regulations.
• Identifying necessary and required equipment and ambulances,and contacting various
vendors to obtain pricing estimates and availability.
• Identifying the best candidate who would serve as the EMS Service Medical Director
(required position)for a newly established EMS service.
• Assisting that Medical Director in establishing EMS protocols,which are defined as a set
of operating procedures that EMTs,Advanced EMTs and Paramedics must follow when
assessing,treating and transporting patients who are suffering from medical emergencies
or traumatic injuries.
• Visiting with established EMS agencies in the surrounding areas,to develop a list of
"best practices",and work to integrate them into the JFD EMS system.
• Communicating recommendations and any and all information regarding EMS to the
administration of the Jeffersonville Fire Department.
• Establishing narcotic handling policies,in accordance with DEA guidelines.
2.Term
This Agreement shall commence on August 21,2024 and shall continue until December 31,
2024,unless earlier terminated in accordance with the provisions of this Agreement. The Client
agrees to pay the Service Provider$750.00 per month up to$3000.00 total for the services
provided under this Agreement.
4.Expenses
• No expenses will be reimbursed
5.Independent Contractor Status
• The Service Provider shall act as an independent contractor and not as an employee or
agent of the Client.
6.Confidentiality
• The Service Provider agrees to keep confidential any and all information regarding the
Client's business,products,services,and any other confidential information that may be
disclosed during the course of this Agreement.
7.Termination
• Either party may terminate this Agreement upon written notice to the other party.
• In the event of termination,the Client shall pay the Service Provider for all services
rendered and expenses incurred up to the date of termination.
8. Governing Law
• • This Agreement shall be governed by and construed in accordance with the laws of the
State of Indiana,without regard to its conflicts of law principles.
9. Entire Agreement
• This Agreement constitutes the entire understanding between the parties and supersedes
all prior agreements,negotiations,and discussions,whether oral or written.
12. Amendments
• No amendment or modification of this Agreement shall be valid unless made in writing
and signed by both parties.
13. Severability
• If any provision of this Agreement is found to be invalid or unenforceable, the remainder
of the Agreement shall remain in full force and effect.
14. Notices
• All notices required or permitted under this Agreement shall be in writing and shall be
deemed delivered when sent via certified mail,or email to the addresses listed above.
15. Signatures
• IN WITNESS WHEREOF,the parties hereto have executed this Agreement as of the date
first above written.
