Primary function or description of activities to be executed at the site: The proposed land use is an
industrial facility.
This AGREEMENT, made and entered into this day of October, of the year 2023, by and between COI
Gateway 1000, LLC, an Indiana limited liability company, its successors and assigns (hereinafter called
the "OWNER") and the City of Jeffersonville, Indiana.
WITNESS, that
WHEREAS, Ordinance No. 2021-OR-14, was adopted April, 21, 2021, by the City of Jeffersonville
establishing requirements for storm water quality Best Management Practices(BMPs) and a Storm Water
Quality Management Permit (SWQMP) to manage the quality of storm water discharged from areas of
urban development and redevelopment.
WHEREAS, under said Ordinance, the City of Jeffersonville has the authority to inspect private systems
within the City of Jeffersonville and to order such corrective actions to said private storm water
management systems are necessary to maintain properly the storm water management systems within
the City of Jeffersonville, in accordance with all applicable ordinances.
WHEREAS, under said Ordinance it is provided that storm water quality BMPs not owned municipally must
be maintained by the property owner according to the terms of Long-Term Operation and Maintenance
Agreement that must be implemented before a SWQMP is approved.
WHEREAS, the City of Jeffersonville has adopted and approved technical guidelines relating to storm
water quality best management practices in the City of Jeffersonville.
WHEREAS, the owner is the legal title-holder of certain real property, more particularly described as 700
International Drive,Jeffersonville, IN 47130 as recorded by deed in the land records of the Clark County,
Indiana Recorder, instrument number 202210919 (hereinafter called the "Property").
WHEREAS, the OWNER is proceeding to build on, develop or redevelop the Property.
WHEREAS, the Stormwater Pollution Prevention Plan (SWPPP) and Stormwater Operation and
Maintenance Manual, sealed by Ross L. Nixon PE, a licensed Professional Engineer, dated August 2, 2023,
on file with the City of Jeffersonville, which is expressly made part hereof, as approved or to be approved
by the City of Jeffersonville, provided for storm water quality management within the confines of the
Property.
WHEREAS, the City of Jeffersonville and the OWNER agree that the health, safety, and general welfare of
the residents of the City of Jeffersonville require that onsite storm water quality best management
practices be constructed, operated and maintained on the Property.
WHEREAS, the City of Jeffersonville requires that the onsite storm water facilities be constructed and
maintained in accordance with the Stormwater Pollution Prevention Plan (SWPPP) and Stormwater
Operation and Maintenance Manual and be maintained by the OWNER.
WHEREAS, the approved SWPPP and Stormwater Operation and Maintenance Manual adequately
illustrate the location type and extent of storm water quality BMPs, minimum inspection procedures and
schedule, minimum operation procedures and schedule, and anticipated minimum maintenance activities
including when and how to remove accumulated/collected/filtered/amassed/grown excess vegetation,
sediment, debris, trash, pollutant and/or forms of pollution from the storm water quality best
management practices.
NOW THEREFORE,
In consideration of the foregoing premises, the mutual covenants contained herein, and the following
terms and condition, the parties hereto agree as follows:
1. The onsite storm water facilities ("Facilities") required pursuant to the SWPPP and Storm Water
Operation and Maintenance Manual shall be constructed by the OWNER in accordance with the SWPPP
and Stormwater Operation and Maintenance Manual.
2. The OWNER, and its successor and assignees shall operate and maintain the Facilities as directed
by the Stormwater Operation and Maintenance Manual, and in good working order acceptable to the City
of Jeffersonville for perpetuity.
3. The OWNER, and its successor and assignees, agrees that inspections will be performed by a
Qualified Professional (as defined in the Stormwater Operation and Maintenance Manual).
4. The OWNER, and its successor and assignees agree that inspections will be documented and
include the following information:
a. A description of the current operational or functional status of the storm water quality
BMPs. For structures that accumulate sediment, trash, debris other pollutant or form of
pollution, an indication of used and remaining capacity (fraction, percentage, depth or
volume) shall be given to identify when the BMP must be cleaned out.
b. Identification of any necessary repairs, sediment/debris removal or replacement of all or
portions of the storm water system(s).
c. The results of any field or laboratory analyses performed.
d. Other relevant or unusual observations related to the system(s).
e. Action plan to prevent premature storm water system failure as consistent with the Long-
Term Operation and Maintenance Agreement(s) provisions.

f. Action plan to prevent the premature system failure that exceeds the Long-Term
Operation and Maintenance Agreement(s) provisions, but are necessary to prevent storm
water pollution from leaving the site.
5. The OWNER hereby grants permission to the City of Jeffersonville, its authorized agents and
employees to enter the Property to inspect the Facilities and the storm water quality best management
practices whenever it deems necessary. Whenever possible, the City of Jeffersonville shall notify the
OWNER prior to entering the Property.
6. In the event the OWNER fails to maintain the Facilities in accordance with the and Stormwater
Operation and Maintenance Manual, in good working order acceptable to the City of Jeffersonville then,
after giving the Owner notice and a reasonable opportunity to cure the alleged failure, the City of
Jeffersonville may enter the Property and take whatever reasonable steps it deems necessary to repair or
maintain said such Facility. This provision shall not be construed to allow the City of Jeffersonville to erect
any structure of a permanent nature on the land of the OWNER without first obtaining written approval
of the OWNER. It is expressly understood and agreed that the City of Jeffersonville is under no obligation
to maintain or repair said facilities, and in no event shall this Agreement be construed to impose any such
obligation on the City of Jeffersonville.
7. In the event the City of Jeffersonville, pursuant to this Agreement, performs work of any nature,
or expends any funds in performance of said work for labor, use of equipment, supplies, materials, and
the like, the OWNER shall reimburse the City of Jeffersonville upon demand, within ninety (90) days of
receipt thereof for all actual, reasonable costs incurred by the City of Jeffersonville hereunder. In the
event,the OWNER wrongfully fails to reimburse the City of Jeffersonville within ninety(90)days of receipt;
the City of Jeffersonville may apply a lien upon the Property. In the event that the OWNER does not
reimburse the City of Jeffersonville within one year from the application of a lien upon the Property then
the City of Jeffersonville may take other legal measures to recover all actual, reasonable costs, including
associated legal costs, incurred by the City of Jeffersonville.
8. It is the intent of this Agreement to guarantee the proper maintenance the Facilities by the
OWNER; provided, however, that this Agreement shall not be deemed to create or affect any additional
liability of any party for damage alleged to result from or be caused by the Facilities.
9. The OWNER shall indemnify and hold the City of Jeffersonville and its agents and employees
harmless for any and all damages, accident, casualties, occurrences, or claims which arise or are asserted
against the City of Jeffersonville , and are related to OWNER's failure to maintain the Facilities in
accordance with this Agreement; provided, however, in no event will the foregoing indemnification
obligation extend to claims or matters arising out of the City or another party's negligence or willful
misconduct.
10. In the event a claim related to the OWNER's failure to maintain the Facilities in accordance with
this Agreement is asserted against the City of Jeffersonville, its agents,or employees, OWNER shall defend
at its own expense any suit based on such claim. If any judgment or claims against the City ofJeffersonville,
its agents, or employees shall be allowed, and OWNER is determined to be at fault, and in all cases except
to the extent of the City or another party's negligence or willful misconduct, the OWNER shall pay all
actual and reasonable costs and expenses in connection therewith.

11. This Agreement as attached with the Stormwater Operation and Maintenance Manual shall be
recorded among the land records of the City of Jeffersonville and shall be recorded among the real
property title documents for said Property with the Clark County, Indiana Clerk, and shall constitute a
covenant running with the land, and shall be binding on the OWNER, and its assigns, heirs, and any other
successors in interest. OWNER(including any subsequent owner of the Property)shall be liable for claims
arising hereunder only during their period of ownership of the Property, and, upon the completion of a
transfer of the Property, be relieved of all liability hereunder, except that which arose during the
transferor's period of ownership and which remains unsatisfied on the date of transfer.

GENERAL INFORMATION
The purpose of water quality Best Management Practices is to filter the first flush of rainwater
before it enters the downstream lakes and streams. Through the use of these Best Management
Practices,the sediment and pollutant load in stormwater runoff is reduced, and in many cases the
quantity of stormwater water runoff generated is also reduced. The use of Best Management
Practices also helps to reduce hydrocarbons,trash and debris from entering waterways.
OWNER RESPONSIBILITY
The BMP Owner shall be responsible for all maintenance and costs associated with the proposed
BMPs. In addition, it is the owner's responsibility to perform and/or pay for inspections and
maintenance as recommended below.
RIGHT OF ENTRY
City of Jeffersonville representatives have the right to enter the property to inspect and, if required,
maintain the BMPs at any time.
ANNUAL INSPECTION REPORTS
Annual inspection reports shall be submitted to City of Jeffersonville for each BMP. The first
report is due one year after construction is completed,with subsequent reports due each year within
the same month of the initial report. If there are any deficiencies found during the inspection,these
should be addressed. If the inspection report is not received within the month it is due, if there are
deficiencies which were not included in the report, or if any deficiencies included in the report are
not addressed in a timely manner, the BMP owner faces enforcement action from City of
Jeffersonville.

SECTION II
SITE INFORMATION
The site contains 3 Best Management Practice (BMP)for the purpose of sediment removal. These
BMP's are three dry detention ponds. The detention ponds are located on the east,west, and south
side of the building. The ponds are hydraulically connected, with both the east and west ponds
draining into the south pond, which outlets all the water from the site into the public storm sewer
along Paul Garrett Avenue.
See the attached site exhibits for BMP and storm sewer locations.
City of Jeffersonville will require annual inspection reports of the water quality BMPs.

SECTION III
STORM STRUCTURE MAINTENANCE
Storm structures are set at storm sewer pipe connections. Unless you have OSHA approved
training and equipment, never enter a manhole.
Inspection
All inlet castings should be inspected monthly and after each rainfall event. More frequent
inspections should be performed in areas where there is higher potential for trash or litter (e.g.
retail establishments)and during the fall when leaves are present on the ground. Check the frame
and lid for cracks and wear, such as rocking lids or lids moved by traffic.
Storm structures and the surrounding areas should be inspected annually for pollutants such as
leaks from dumpsters, minor spills, and oil dumping. Take action to have the pollutant source
removed.
Cleaning
Clean structures when there is a blockage of a water flow path or when sediment depth reaches 6".
Cleaning should be performed in a way that ensures removed sediment and water is not discharged
back into the storm sewer.
Safety
Work inside underground structures requires special OSHA-required confined space equipment
and procedures.The most practical option may be to contract with a sewer cleaning contractor.
Materials Handling
Disposal of waste from maintenance of drainage facilities shall be conducted in accordance with
federal, state, and local regulations. Removed sediment must be disposed in the garbage as solid
waste. Water should be disposed of in a sanitary sewer after oils are removed using oil absorbent
materials or other mechanical means. Used oil absorbents should be recycled or disposed
according to the manufacturer's instructions.
Repairs
Repair all security and access features so they are fully functional. This includes locking lids,
covers, and ladder rungs. Replace broken parts or lids that rock or are moved by traffic.

SECTION IV
CONVEYANCE MAINTENANCE (STORM SEWER)
Storm sewer pipes convey stormwater. Pipes are built from many materials and are sometimes
perforated to allow stormwater to infiltrate into the ground. Storm pipes are cleaned to remove
sediment or blockages when problems are identified. Storm pipes must be clear of obstructions
and breaks to prevent localized flooding.
Inspection
Pipes are difficult to inspect requiring special equipment and training.Usually, if a problem occurs
the owner needs to call a sewer or plumbing contractor to inspect, repair or clean pipelines.
Cleaning
Clean pipes when sediment depth is greater than 1/4 of pipe diameter, with a maximum sediment
depth of 6". When cleaning a pipe, minimize sediment and debris discharges from pipes to the
storm sewer. Install downstream debris traps (where applicable) before cleaning and then remove
material. Generally,use mechanical methods to remove root obstructions from inside storm sewer
pipes. Do not put root-dissolving chemicals in storm sewer pipes. If there is a problem, remove
the vegetation over the line.
Safety

and procedures. The most practical option may be to contract with a sewer--cleaning contractor.
Materials Handling
Sediment and debris from pipes should be disposed in the garbage as solid waste. Pick out any
rocks first.
Repairs
Repair or replace pipes when a dent or break closes more than 20 percent of the pipe diameter.
Repair or replace pipes damaged by deterioration.

SECTION V
DRY DETENTION BASIN
The site contains dry-detention basins on the east, west, and south portion of the site. Detention
facilities are designed to hold and slowly release stormwater by use of a pond and a specially
designed control structure.
Inspection
The dry detention pond should be inspected monthly,at a minimum, and more frequently if
flooding or areas of erosion are identified.The inspection should include the pond outlet
structure, emergency spillway, and concrete swales. Pond embankment should be inspected for
evidence of erosion, cracking, bulging,or sliding.Any areas identified that could cause leaking
or seeps should be corrected immediately. The emergency spillway should be inspected for
obstructions, evidence of erosion, and rip rap failures. The receiving channel or storm sewer
pipe immediately downstream of the detention pond should be inspected for sediment and/or
erosion. All pipe end sections or headwalls entering or exiting the pond should be inspected for
obstructions.
Cleaning
The entire detention pond (including berms and embankments)should be kept free of woody
growth. The dry detention pond area(including berms and embankments) should be mowed
frequently to maintain a grass height of five inches. Any animal burrows identified within the
basin should be repaired immediately. Healthy vegetation should be present with at least 85
percent ground cover. If proper ground cover is not established, sod, seed, and/or erosion control
blanket should be installed for proper establishment.
Any sediment,trash or debris accumulated in the concrete swales should be removed
immediately. Any trash or debris accumulated within the pond or near the outlet structure should
also be removed immediately. Any floatable debris accumulated in this structure should be
removed by means of netting or other safe removal method.
Materials Handling
Disposal of waste from maintenance of detention facilities shall be conducted in accordance with
federal, state, and local regulations. Removed sediment must be disposed in the garbage as solid
waste.
Repairs
Repair and seed bare areas. Repair eroded slopes when rills form, where the cause of damage is
present, or there is the potential for future erosion. If berms or dams show signs of settlement or
sinkholes, serious problems may be occurring. Spillway areas should be completely covered by
established vegetation.

Owner Acknowledgement Agreement ("Agreement")
For good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the undersigned owner ("Owner") hereby submits this Operation and
Maintenance Manual ("Manual") to City of Jeffersonville, Indiana ("City") as written
acknowledgement of Owner's warranty and agreement to institute, maintain, and follow
the water quality Best Management Practices ("BMPs") listed below, and to follow and
abide by the inspection schedule and maintenance activities listed in this Manual. The
Owner also hereby agrees to provide, at Owner's cost, all additional maintenance, repair
and/or replacement services reasonably necessary to maintain the function and longevity
of the BMPs from and including the date this Agreement is executed by Owner to and
including the date on which a new Agreement is filed with the City by another party who
assumes all of the obligations and responsibilities of Owner as set forth herein.
