SERVICE HOURS. On average, the Clinician, Brian Woodring, will provide approximately 10 hours of services per month, subject to mutual agreement and scheduling. 2. SCOPE OF SERVICES. The Clinician shall perform the following duties, which include but are not limited to: a. Development of Peer Support Services. Work collaboratively with the Jeffersonville Fire Department to develop and maintain peer support resources, which may include written materials, training modules, and other relevant resources. b. Assist in Development of Peer Support Participants. Conduct training sessions for peer support participants, imparting knowledge and skills in areas relevant to peer support, mental health, and crisis intervention. c. Create Resource/Referral List for Utilization by Peer Support Team. Compile and regularly update a comprehensive resource and referral list that the peer support team can utilize to provide assistance and guidance to individuals in need. d. Assist in Development of Resource Documents for Utilization by Peer Support Team. Develop resource documents, guides, or materials that the peer support team can reference and distribute to those seeking support. e. Assist with Referral of Care When Necessary. Provide guidance and assistance to peer support participants in facilitating referrals to appropriate mental health and care resources when necessary, ensuring that individuals receive the support they require. f. Data Collection. Clinician and JFD will cooperate in the collection of pertinent data relating to Services that can be utilized by both organizations for the following purposes: i. Grant applications and/or budgets. ii. Development of new or improved processes 3. AVAILABILITY FOR CRITICAL INCIDENTS. 3.1 The Clinician shall make themselves available to provide immediate support and intervention in the event of a critical incident involving the Jeffersonville Fire Department. Such critical incidents may include, but are not limited to, Structure fires, major accidents, natural disasters, or any situation deemed critical by the Fire Department. 3.2 The Clinician shall make reasonable efforts to be on-site or available remotely for consultation and intervention, as necessary, to assist individuals affected by the critical incident. 3.3 If the Clinician is unable to be available for a critical incident due to prior commitments or scheduling conflicts, they shall provide the Jeffersonville Fire Department with as much advance notice as reasonably possible. 3.4 The Clinician shall establish an alternative contact person or a backup clinician to be available in their absence during critical incidents. The alternative contact person's contact information shall be provided to the Jeffersonville Fire Department and updated as needed. 3.5 The Clinician and the Jeffersonville Fire Department shall maintain open lines of communication to ensure prompt response and coordination in critical incident situations. 4. ADDITIONAL SERVICES. In addition to the specified duties outlined above, the Clinician may provide other mental health-related services as agreed upon between the parties. Any such additional services shall be documented in writing through a mutual agreement or an amendment to this Agreement. 5. PERFORMANCE AND REPORTING. The Clinician shall maintain records of the services provided and, upon request, provide periodic reports to the Jeffersonville Fire Department regarding the progress and outcomes of the services delivered. Exhibit B: Compensation 1. PAYMENT FOR SERVICES 1.1 The Jeffersonville Fire Department agrees to compensate the Clinician for the provision of mental health services as specified in this Agreement at a rate of$150 (one hundred fifty dollars) per hour. 1.2 Payment shall be made on a monthly basis. The Clinician shall submit a detailed invoice to the Jeffersonville Fire Department at the end of each month, which shall include the number of hours worked and a brief description of the services provided during that period. 1.3 The Jeffersonville Fire Department shall remit payment within 30 days of receipt of a valid invoice from the Clinician. Payment shall be made by check. 2. COMPENSATION ADJUSTMENT 2.1 The compensation specified in this Exhibit B may be subject to periodic review and adjustment upon mutual agreement of the parties, provided that any adjustments to compensation shall be made in writing and attached as an amendment to this Agreement. PROFESSIONAL SERVICES AGREEMENT This PROFESSIONAL SERVICES AGREEMENT (the "Agreement") is made and entered into effective as of_April 3,2024_ (the "Effective Date"), by and between the Jeffersonville Fire Department ("JFD"), and Brian Woodring. WHEREAS, Mr. Woodring has the ability to provide the Services, as defined below; and WHEREAS, Mr. Woodring desires to provide to JFD Services, and JFD desires to utilize the Services. NOW THEREFORE, in consideration of the promises, mutual promises, covenants and conditions contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties, intending to be legally bound, hereby agree as follows: 1. SERVICES. During the Term, as defined below, JFD hereby engages Mr. Woodring, and Mr. Woodring hereby agrees to provide JFD the services set forth on Exhibit A, attached hereto and incorporated herein by reference (collectively, the "Services"). The Services will be provided on such schedule as is mutually agreed upon by the parties. Mr. Woodring will provide JFD with reasonable advance notice of any scheduled or unscheduled inability to perform Services. 2. COMPENSATION. In consideration for the Services, JFD will pay Mr. Woodring the fees more particularly set forth on Exhibit B, attached hereto and incorporated herein by reference (the "Fees"). The Fees will be payable by JFD to Mr. Woodring within thirty (30) days of Mr. Woodring's submission of an invoice therefore to JFD. 3. EXPENSES. Mr. Woodring will be solely responsible for and pay all of Mr. Woodring's expenses associated with providing the Services, including payment of income, social security, and other employment taxes due to the proper taxing authorities. JFD will reimburse expenses only if such expenses have been pre-approved by JFD in writing and have been adequately substantiated by Mr. Woodring. 4. TERM AND TERMINATION a.) The Agreement term shall be for one (1) year (the "Initial Term") commencing on the Effective Date, subject to earlier termination of this Agreement pursuant to Section 4(b). This Agreement shall automatically renew for successive one (1) year renewal terms (each a "Renewal Term") unless either party gives written notice at least thirty (30) days prior to the expiration of the Initial Term of the then current Renewal Term of an intention not to renew. The Initial Term and any Renewal Term(s) are referred to collectively as the "Term". b.) This Agreement may be terminated: (i) by either party upon giving thirty (30) days prior written notice of such termination to the other party; (ii) immediately by either party if a breach of this Agreement by the other party is not cured within ten (10) days of the breaching party being notified of the breach; or (iii) at any time by mutual agreement of the parties. 5. RELATIONSHIP OF THE PARTIES. The relationship between MR. WOODRING and JFD is that of an independent contractor. Nothing contained herein will be construed as implying a joint venture, partnership, employment relationship between the parties hereto, or an employment relationship between one party and the agents, independent contractors or employees of the other party, by virtue of this Agreement. Neither party has the right or authority to assume nor to create any obligation or responsibility on behalf of the other party. 6. CONFIDENTIALITY. To the extent permitted by law, Mr. Woodring agrees to keep confidential and not to disclose to third parties any information provided by JFD pursuant to this Agreement, unless Mr. Woodring has received prior written consent of JFD to make such disclosure. Names of JFD personnel who Mr. Woodring provides services to should be kept confidential in all instances permissible by law, including on invoices submitted by Mr. Woodring. This obligation of confidentiality does not extend to any information that: a. Was in the possession of Mr. Woodring at the time of disclosure by JFD, directly or indirectly; b. Is or shall become, through no fault of Mr. Woodring, available to the general public; or c. Is independently developed and hereafter supplied to Mr. Woodring by a third party without restriction or disclosure. 7. NOTICES. All notices required or permitted to be given under the terms of this Agreement shall be in writing, and shall be effective upon delivery if mailed by certified mail, postage prepared, return receipt requested, or effective the next business day if delivered by overnight courier with charges prepaid or effective the day such notice is sent electronically, as follows: Brian Woodring, LMFT 10114 Dorsey Hill Road Louisville, KY 40203 bcwoodring@gmail.com Jeffersonville Fire Department: Shawn L. MISCELLANEOUS. a. Governing Law. This Agreement will be governed by and construed in accordance with the laws of the State of Indiana, without regard to its choice of law principles. b. Entire Agreement. This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and all prior agreements or understandings will be deemed merged herein. c. Amendments. No amendments or modifications of this Agreement will be made or deemed to have been made unless mutually agreed upon in writing and signed by both parties. d. Waiver. No provision of this Agreement will be modified, waived or discharged unless the modification, waiver or discharge is agreed to in writing and signed by the parties hereto. No waiver by either party hereto of any breach of, or of compliance with, any condition or provision of this Agreement by the other party will be considered a waiver of any other condition or provision of the same condition or provision of at another time. e. Assignment. This Agreement cannot be assigned by either party without the prior written consent of the other party. Any attempted assignment in violation of this Section 8 (e) will be void ab initio. This Agreement will be binding on each party's successors and permitted assigns. f. Severability. If one or more provisions of this Agreement are held to be unenforceable under applicable law, such provision(s) will be excluded from this Agreement and the balance of the agreement will be interpreted as if such provision were so excluded and will be enforceable in accordance with its terms. g. Headings; Construction. The headings contained in this Agreement are for convenience only and will not be deemed a part of this Agreement in construing or interpreting the provisions hereof. All words used in this Agreement will be construed to be of such gender or number as the circumstances require. Unless otherwise expressly provided, the word "including" does not limit the preceding words or terms. h. Counterparts. This Agreement may be executed simultaneously in two or more counterparts (including facsimile, PDF, or other electronic means), each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
