MICROPHONE UPGRADES
All council desk microphones will be replaced with new Sennheiser push to talk boundry
table microphones. These mics can be push to talk, push to mute or always on. We will
also install a remote on/off switch to easily turn the system on or off for meetings and
events to protect the system from power surges.

PURCHASE
I accept this proposal and hereby authorize Systemmax AVL to proceed with the installation of the
included systems at the facilities of City of Jeffersonville [henceforth referred to as "client"] as
described in the totality of this document. I further authorize Systemmax AVL to be granted the
facility access that will be required to complete this project in a workmanlike and timely manner, and
that all payments to be made to Systemmax AVL.
In keeping with the Terms of Payment listed above: It has been made clear to me that there exist
no understandings regarding this project with any relevant party unless and until Client and
Systemmax AVL agree to such additional or alternative understandings in writing.
CHANGE ORDERS AND ADDITIONAL SERVICES
I understand that my project's cost and pricing are dependent upon a continual flow of work without
interruption or delays imposed by Client or our staff, construction, other building trades, or any other
party.
I understand that additional costs may be incurred by Client from Systemmax AVL. If such delays
result in additional costs that are not covered by the pricing in this proposal: I agree that any
additions to and/or deletions from the materials and labor to be provided by my acceptance of this
proposal and any resulting change(s) in cost of this project shall only be by way of written change
order(s) and shall be valid only after being signed by Client and Systemmax AVL.
SystemMax AVL will not be responsible for any deferral in the fruition of the Project brought about
by issues outside SystemMax AVL's ability to control; counting, without limit, the demonstrations of
any designer or project worker not associated with SystemMaxA AVL.
PROJECT SCHEDULE
This proposal is valid only if accepted in writing by Client and deposit payment received no later
than [date]. SystemMax AVL will begin work roughly 6-8 weeks after this date unless mentioned
otherwise in writing.
All work will take place between normal business hours (8:30am - 4:30pm Monday through Friday,
excluding all national holidays) unless mentioned otherwise by the client. I understand that
requesting work outside of these hours may result in additional costs for second or third shift labor.

DRAWLINGS AND PLANS
All drawings, blueprints, and plans made by SystemMax AVL are the sole property of SystemMax
AVL and may not be copied or given to anybody other than the Client.
PROMOTIONAL MATERIALS
I allow SystemMax to use any photos, video, or other material taken within our grounds to be used
in any reasonable means for promoting and showcasing the company.
NON-SOLICITAION
The Client and Company commonly concur neither one of the gatherings will straightforwardly or by
implication request, remove, recruit, utilize or attempt to utilize any of the representatives of the
other party.
OVERSEEING LAWS
All questions between the gatherings, if emerging out of this Agreement, will be represented by the
laws of the State of Indiana.
The Company consents to sell and the Client consents to purchase the general media gear as
indicated ("Equipment"), the establishment of such Equipment ("Installation"), and (as appropriate)
the plan, designing and conference connected with such Equipment and Establishment ("Design")
depicted on the Proposal Sheet which is joined.

SCOPE OF WORK
Meeting Room
Here is a detailed scope of work for the meeting room solution describing all the aspects of audio
visual components for the provided room dimensions and specifications. After careful and
deliberate consideration of your requirements, we are pleased to provide the following audiovisual
solutions Scope of Work. The scope of work noted is based on sound engineering principles,
reliable technology, and have been formulated specifically to meet your requirements.
As per the site survey conducted by Max Maxwell, the proposed meeting room solution is for the
space of size 23x12x12 (LxWxH) and 12 seats. The shape of the meeting table is U-Shaped. The
Target SPL in the zoom room is below 75 DB as the Background noise level is below 40 DB. The
room has Glass and other reflective material walls.
Video
The meeting room will have 1 laptop. For Front wall, the meeting room will have one display used
on the front wall. This is as per the calculations derived from AVIXA standard named DISCAS.
The meeting room will have a Software type of video conferencing system and a DSP with USB
audio will be used. For software type of video conferencing a USB webcam will be used and a DSP
with USB audio will be used.
Audio
The meeting room will use 3 Standalone microphones. Edge to Edge placement pattern will be
used to place the ceiling speaker in the meeting room. A single 2 channel amplifier will be used to
drive speakers and should operate at 600W@4 Ohms.
The Digital Signal Processor will be used to mix/process audio signals from audio sources such as
the microphones, laptops, etc to the amplifiers. The meeting room will use a DSP with configuration
of 10x2 CLOSE DSP with AEC and DANTE. It should also have 1 gpio ports, voip ports, pots ports
and usb audio.

Control
The Meeting room solution will use a control system to control various devices. The Control system
will use a Touch Panel as a primary user interface and the equipment will be placed in a 10RU rack.
