RE: Engagement Letter for the Performance of Services for the City of Jeffersonville's Redevelopment
Office
Dear Mr. Waiz:
This letter will confirm The Wheatley Group, LLC ("TWG") will perform consulting services in accordance
with the Scope of Work set forth in Schedule A attached to this engagement letter. We understand that
we should contact you or your designated representative within the City of Jeffersonville's
Redevelopment Office ("Redevelopment") from time to time when we need additional information,
authority or direction in this matter.
TWG offers its services under the Terms and Conditions set forth in the attached Schedule B.
It is expressly understood that no employer/employee relationship is created by this engagement letter.
TWG is an independent contractor who will be engaged to provide consulting services to third parties
other than Redevelopment. As an independent contractor, TWG is in no sense a legal or implied agent,
employee,or officer of Redevelopment and has no authority to bind Redevelopment. No acts or assistance
given by Redevelopment will be construed to alter this relationship. It is important that Redevelopment
have confidence in and enjoy working with the TWG. TWG will perform the services for Redevelopment
in a timely, professional, and ethical manner at all times. If at any time during the performance of services
for Redevelopment TWG determines that it cannot assist Redevelopment fully and impartially as a result
of services TWG is asked to provide to third parties, TWG will either decline to provide the requested
third-party services or will inform Redevelopment that it cannot provide services requested by
Redevelopment. This engagement will not preclude TWG from representing other private entities or
economic development prospects for incentive negotiations with Redevelopment. Further, the
Redevelopment Commission waives any potential conflicts with TWG representing private clients
requiring its approval.

confirm your understanding of our relationship in any respect, please contact me immediately so that we
can discuss the matter. We appreciate the opportunity to assist Redevelopment in connection with this
matter, and we look forward to working with you. Once accepted, TWG will begin required work
immediately.

SCHEDULE A
SCOPE OF WORK
The Wheatley Group, LLC ("TWG") is pleased to offer its services to undertake certain project consulting
duties on behalf of the City of Jeffersonville's Redevelopment Office ("Redevelopment").The goals of this
engagement are to develop a calculation of the local real and personal property tax bill savings afforded
to certain taxpayers by the City of Jeffersonville ("City") through tax abatement for taxable year 2022
payable 2023, develop invoices and solicit fee payment in accordance with approved abatement
resolutions granting the incentive.
The following is an outline of the tasks required to complete this scope:
• Work with the Clark County Auditor's and Assessor's Office to research the eligible tax abatement
history within each of the City of Jeffersonville's taxing districts
• Research the City's public records database and work directly with City and Redevelopment staff and
officials to confirm eligible abatement dates, schedules and fee percentages
• Perform abatement savings analysis based on data and research collected for taxable year 2022
payable 2023
• Create transmittal letters and invoices for taxable year 2022 payable 2023 and review with
Redevelopment staff for approval and final sign off
• Once approved by Redevelopment staff, send transmittal letters and invoices via certified mail to
ensure delivery confirmation
• Directly support Redevelopment staff with taxpayer interface and engagement regarding calculations
and fee obligations
• Generate final report for Redevelopment staff complete with fee invoice amounts and corresponding
checklist to ensure payment
Full scope is estimated to be delivered no more than 45 days from executed engagement letter.

The Wheatley Group, LLC offers the above scope of work under the following terms and conditions:

$7,500 total engagement fee for completion of the scope items as outlined in greater detail in Schedule
A
Payment Schedule
Payment due following project conclusion (submission of final report and checklist) and submission of
final invoice
