Assignment: This Agreement shall not be assigned by either party without the prior written consent of the other unless such assignment shall be to the affiliate or successor of either party. Authority to Contract Each party warrants and represents that it has power and authority to enter into this Agreement and to perform the obligations, including any payment obligations,under this Agreement. Governing Law: The Agreement shall he governed by and construed in accordance with the Taws of the State of Indiana. Severability: Should any part of this Agreement for any reason,be declared invalid or void, such declaration will not affect the remaining portion which will remain in full force and effect as if the Agreement had been executed with the invalid portion eliminated.
