HomeMy WebLinkAboutOn Call Services Contract for Animal Control CONTRACT FOR PROFESSIONAL SERVICES This is a contract entered into by NEW WASHINGTON ANIMAL CONTROL SERVICES, INC., an Indiana corporate entity (hereinafter referred to as "the Provider") and the CITY OF JEFFERSONVILLE, an Indiana municipal corporation by and through its Board of Public Works and Safety (hereinafter referred to as "the Client") on this 11t}' day of May, 2022. The Provider's place of business is PO Box 75, 10516 Lena Bower Road, Marysville, Indiana 47141 and the Client's place of business is 500 Quartermaster Court, Jeffersonville, Indiana 47130. The purpose of this contract is for provider to respond to emergency calls for animal control on behalf of the City of Jeffersonville. Provider shall be responsible for responding to emergency calls. Emergency calls are those on weekends and holidays and anytime outside regular operating hours. Regular hours of operation shall be Monday through Friday between 7 a.m.—5 p.m. The Clienthereby engages the Provider to provide services described herein under "Scope of Work and Manner of Services." The Provider hereby agrees to provide the Client with such services in exchange for consideration described herein under "Payment for Services Rendered." A. SCOPE OF WORK AND MANNER OF SERVICES Contractor to provide: Provider would be required to remove and transport animals to the shelter related to emergency calls. Emergency calls shall be those outside regular hours involving: owner arrested with animal in vehicle, animal to human bite where biting animal is a stray or biting animal is owned and needs to be removed immediately, animal is hit by motor vehicle and/or police request assistance in removing an animal to enter a dwelling. Provider shall provide all labor, supervision, equipment, materials and supplies to meet the scope of the work herein. Provider shall provide its own equipment and vehicles or transportation of the animals. However, Provider shall not be responsible for enforcement of animal control ordinances or the issuance of tickets or citations for any alleged violation of ordinances. The Animal Control Director shall be notified in the event that an animal is severely injured and needs medical treatment or euthanasia. B. INSURANCE COVERAGE REQUIREMENT Workers Compensation and Employer's Liability The contractor is required to comply with applicable federal and state workers compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a contractor's commercial operations,that it would not be practical to require this coverage. Employer's liability coverage of at least$1,000,000 shall be required. General liability (1)The contractor shall have bodily injury liability insurance coverage written on the comprehensive form of policy of at least$500,000 per occurrence. (2) Property Damage Liability Insurance shall be required in the amount of$100,000.00. Automobile liability-the contractor shall have automobile liability insurance written on the comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles shall provide coverage of at least$200,000 per person and$500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage. C. PAYMENT FOR SERVICES The term of the contract shall be from May 11, 2022 through December 31, 2022. The Client shall pay the Provider the sum of$1, 666.66 per month due on the 15th of each month commencing on June 15, 2022 upon the presentment of invoice for services rendered. This contract shall be governed by the laws of the County of Clark in the State of Indiana and any applicable Federal, State and local laws, rules, regulations and ordinances. Any changes to this agreement must be made in writing and agreed to by both parties. Either party may terminate this agreement upon thirty (30) days written notice to the other party.
