IN RE THE PETITION FOR PARTIAL VACATION OF AN UNIMPROVED PLATTED
ALLEY CONNECTED TO SOUTHERN INDIANA AVENUE, A PUBLIC WAY IN THE
CITY OF JEFFERSONVILLE, INDIANA
WHEREAS, petitioner, Rocky's Realty, LLC ("Rocky's"), have filed a petition for the
vacation of a portion of an unimproved platted alley connected to Southern Indiana Avenue, a
public way, pursuant to the provisions of IC 36-7-3-12; and,
WHEREAS, Rocky's have caused a notice of public hearing on such petition before this
Council to be properly published in accordance with Indiana law; and,
WHEREAS, this Council having held such public hearing at the date and time as stated in
such published notification; and,
WHEREAS, no there are no adjoining property owners to the portion of the public way
or portion of the utility easement proposed to be vacated, except for Koetter.
NOW, THERFORE, BE IT ORDAINED BY THE COMMON COUNCIL FOR THE
CITY OF JEFFERSONVILLE, INDIANA, as follows:
1. The Common Council for the City of Jeffersonville, hereby finds all of the
following:
a. No other person or entity owns any real property that is adjacent to
or served by the portion of the public way.
b. The proposed vacation will not hinder the growth or orderly
development of the City of Jeffersonville, Indiana.
b. The proposed vacation will not make access to the lands of any
aggrieved person by means of public way difficult or inconvenient.
c. The proposed vacation will not hinder the public's access to a
church, school, or other public building or place.
d. The proposed vacation will not hinder the use of a public way by
the neighborhood in which it is located or to which it is contiguous.

2. Rocky's petition for vacation of a portion of the unimproved platted alley
connected to Southern Indiana Avenue, public way, as depicted on attached Exhibit "B" is
hereby vacated.
[Exhibit A is intentionally omitted]
3. Rocky's shall cause a certified copy of this Ordinance to be recorded in the office
of the Recorder of Clark County, Indiana, in accordance with the provisions of Ind. Code § 36-7-
3-12(e), and thereafter shall file a recorded copy with the office of the Clerk-Treasurer of the
City of Jeffersonville, Indiana.
4. This Ordinance shall be in force and effect upon its adoption.
So Ordained by majority vote of the entire membership of the City of Jeffersonville,
Indiana at a properly noticed and convened public meeting held this 1( to day of

PETITION FOR PARTIAL VACATION OF AN UNIMPROVED PLATTED ALLEY
CONNECTED TO SOUTHERN INDIANA AVENUE,A PUBLIC WAY IN THE CITY
OF JEFFERSONVILLE,INDIANA
Comes now petitioner, Rocky's Realty, LLC, and hereby petitions the City of
Jeffersonville, Indiana (hereinafter referred to as the "City"), for partial vacation of an
unimproved platted alley connected to Southern Indiana Avenue, and, in support hereof, would
state as follows:
1. Rocky's Realty, LLC (hereinafter "Rocky's") is a Kentucky limited liability
company,with its principal office located at 106 Bauer Avenue,Louisville,Kentucky 40207.
2. Rocky's is the sole owner of the real property located at 1000 Block Market
Street, Jeffersonville, Indiana 47130 [10-19-00-100-338,000-010] and Riverside Drive,
Jeffersonville, Indiana 47130 [10-19-00-100-337.000-009], as evidenced by the Warranty Deed
recorded on June 30, 2000 as Instrument No. 3211351 in the Clark County Recorder's Office. A
copy of said Warranty Deed is attached as Exhibit "A"hereto.
3. Pursuant to the provisions of IND. CODE § 36-7-3-12, Rocky's seeks the partial
vacation of an unimproved alley connected to Southern Indiana Avenue, a public way in the City
440763
of Jeffersonville, Clark County, Indiana, as the alley no longer meets its original purpose and is
negatively affecting the surrounding properties. The area of the unimproved alley proposed to be
vacated (the "Alley") is more particularly shown on the survey attached hereto and incorporated
herein as Exhibit"B".
4. Rocky's own all of the property abutting the Alley which is subject to this
petition.
5. In support of the proposed vacation, Rocky's further affirmatively state their good
faith belief that:
a. The proposed vacation will not hinder the growth or orderly development
of the City or the neighborhood in which it is located or to which it is contiguous.
b. The proposed vacation will not make access to the lands of any persons by
means of public way difficult or inconvenient.
c. The proposed vacation will not hinder the public's access to a church,
school, or other public building or place.
d. The proposed vacation will not hinder the use of a public way by the
neighborhood in which it is located or to which it is contiguous.
6. Rocky's have further caused notice of the filing of this Petition and the scheduled
hearing hereon to be published in The News and Tribune newspaper one (1) time at least ten (10)
days before the scheduled date of such hearing as required by IND. CODE § 5-3-1-2(b).
WHEREFORE, petitioner, Rocky's Realty, LLC, respectfully asks that the Common
Council of the City of Jeffersonville, Indiana, conduct a public hearing on this Petition, and that
following such hearing, enact and adopt an ordinance vacating the above-described unimproved
alley, as requested herein.

with its principal place of business at
106 Bauer Avenue
Louisville,Kentucky 40207 ("Grantee").
for and in consideration of the sum of One Dollar ($1.00) and other good and valuable
consideration, receipt of which is hereby acknowledged, in fee simple, the real estate situated in
Clark County, Indiana and described on Exhibit A attached hereto as a part hereof (the
"Property").
This conveyance is made free and clear of all liens and encumbrances, except liens for
real property taxes and assessments due and payable in 2000, and subsequent taxes, which taxes
the Grantee, by the acceptance of this deed, assumes and agrees to pay. This conveyance,

however, is made subject to easements, restrictions and stipulations of record, and governmental
laws and regulations affecting the property.
As additional consideration for the foregoing conveyance, Grantee hereby covenants and
agrees as follows:
(1) Until April 1, 2010, Grantee may not erect new improvements or demolish or
make any structural alterations to any improvements without prior written consent from Grantor,
which consent will not be unreasonably withheld or delayed. Grantee must furnish Grantor with
one complete set of plans and specifications for any work done on the Property or to the
improvements thereon. Grantee must permit Grantor to enter upon the Property at reasonable
times to inspect and examine the Property.
(2) Until April 1, 2010, Grantee must use the Property solely for a commercial
restaurant facility.
(3) If Grantee's improvements on the Property are destroyed or damaged by fire,
natural disaster or other causes at any time prior to April 1, 2008, Grantee must repair, replace or
rebuild the improvements as nearly as possible to their condition immediately before such
damage or destruction, within a period of time which, under all prevailing circumstances, is
reasonable.
(4) Until April 1, 2010, Grantee may not lease or sell the Property, or any part
thereof, without the prior written consent of Grantor, which consent will not be unreasonably
withheld or delayed; except that, notwithstanding anything in the foregoing to the contrary,
Grantee shall be permitted to lease or sell the Property, or any part thereof, subject to the terms

and conditions of the Lease Buyout Agreement between Grantor and Grantee, without Grantor's
consent to RSP, LLC, a Kentucky limited liability company, current operator of the Property, or
to any third party with a net worth equal to or greater than the net worth of Grantee,
IN WITNESS WHEREOF, the Grantor has signed, acknowledged and delivered this
Warranty Deed on 30 , 2000.
