Thanks for consulting with TEG about the proposed Arts and Cultural District Container Compound,"The Depot".
In this document you will find a description of what we believe the project scope will include. In addition to the
scope of the container fabricator,TEG has also defined additional architectural,civil and structural services that will
facilitate the construction of a safe and well-integrated Arts and Cultural Hub.
If this proposal is found to be acceptable,please sign where indicated and return a signed copy of the proposal to
TEG Architects at your earliest convenience.Please find outlined below a brief synopsis of this proposal:

SECTION ONE 1 PROJECT SCOPE
1.1 The scope of this project is limited to work at the proposed Arts and Cultural site,"The
Depot"at the City of Jeffersonville lot on Michigan Ave.between W.7th and W.8th Street.
A. Public Arts and Cultural Hub for the City of Jeffersonville
B. Greenfield Site to be developed with prefabricated modular containers by a modular
container fabricator.
C. Permanent installation of Prefabricated Modular Units in a planned city park setting.
D. Proposed uses for the modular containers are to be provided by the City.
1.2 "Container Package"-Prefabricated Module/Unit Project Program.
A. It is understood that the"Container Package"documents will be prepared by an
owner provided consultant.
B. Structural Engineering pertaining to individual and combined shipping container
modules shall be the responsibility of the"Container Package"Consultant.TEG
Architects understands the"Container Package"to be the following:
• One(1)Stage Unit/Module
• One(1)Outdoor Bar Unit/Module
• Four(4)Retail Units with room for six(6)Tenants
• Three(3)Open"Rooftop"Units/Modules
• Repurposed Container Fencing
• All Modules/Units are prefabricated to include power,plumbing and sanitary
connections where applicable.Units include interior lighting.HVAC systems are
included with several units based on the unit program.
• Fabrication,Shipping of units and coordination of"Container Package"with
other trades to be performed by Container Fabricator.

1.3 "Infrastructure,Restroom,and Kitchen/Dining Facility Package"-Infrastructure design to
facilitate construction of"Container Package"program:
A. TEG Architects shall coordinate layout and infrastructure requirements with the
container package consultant.
B. Owner provided consultants shall provide TEG Architects with specific container and
tensile awning requirements and structural data prior to the 50%Contract Document
Review in order for Infrastructure,Restroom,and Kitchen/Dining Facility Package to
be completed.TEG understands this package will include the following:
• Connections to Existing City Utility Infrastructure
• Mitigation of Flood Effects
• Site Stormwater Runoff Mitigation
• Site Grading and Ramping to Modular Units
• Site Planning in Compliance with ADA and Local City Codes and Regulations
• Life Safety Requirements
• Foundations for Modular Container Units,Tensile Awning Posts and Light Posts
• Exterior Lighting Plan in Compliance with Local City Codes and Regulations
• Audio Connections and Lighting for Stage Units
• Walkway Lighting and Bollards
• Power/Data Connections for Security and Surveillance
• Exterior Power Connections for Maintenance
• Exterior Water Connections for Site Maintenance,Drinking Fountains
• Freestanding Male and Female Restrooms
• Freestanding Kitchen/Dining Facility
1.4 For the Infrastructure,Restroom,and Kitchen/Dining Facility Package described above,
the anticipated type of work is as follows:
A. Site Preparation and New Construction
.1 Earthwork,Site Grading and Utility Connections
.2 Excavation for Foundations and Grease Trap
.3 Foundations,Site Paving and Walkways
.4 Conduit and Plumbing Connections
.5 Exterior Electrical Receptacles and Panels for miscellaneous site power.
.6 Tensile Awning Installation
.7 Site Lighting Installation
.8 Bollard Installation
.9 Electronic Security and Surveillance
B. Freestanding Restroom and Kitchen/Dining Facilities
1 Restroom Building to include one Male and Female restrooms.
.2 Both Male and Female restrooms will have toilets,sinks and will conform to ADA
Guidelines.
.3 Kitchen/Dining Facility is Approximately 1,700 SF
.4 Facility to Include Kitchen and Seating area designed for code compliance and
kitchen use by multiple vendors

SECTION TWO I SCOPE OF PROFESSIONAL SERVICES
2.1 The Scope of Services includes the following:

.4 Mechanical,Plumbing and Electrical Engineering Services
2.2 Project Development Phases will include:
.1 Schematic Design/Scope Definition
.2 Design Development
.3 Construction Documents
.4 Bidding/Negotiations
.5 Contract Administration
2.3 Schematic Design/Scope Definition will include:
.1 Architect of Record to engage Civil Engineer,Structural Engineer and
Mechanical/Electrical/Plumbing Engineer and Food Service Designer as consultants.
.2 Architect to finalize site layout/location plan.
.3 Visualization:3D Renderings
a. Photo-Realistic Level of Detail
b. Four(4) 3D Views to be rendered
- One(1)Rendered Site Plan
- One(1)Aerial Birdseye View
- Two(2)Ground Views
.4 Architect will design and produce documents to resolve ADA requirements and life-
safety requirements for site circulation.
.5 Civil Engineer to assess connections to existing utilities.
.6 Civil Engineer to assess planning and zoning public works documents,attend public
meetings and approval(a 4-week process at minimum).
.7 Civil Engineer to submit DNR Submittal(SWPPP).
.8 Civil Engineer to submit to Drainage Board
.9 Civil Engineer to calculate drainage/runoff on site and size the stormwater drainage
system adequately.
.10 Civil Engineer to identify the site grading required.
.11 Civil Engineer to identify site flood mitigation measures.
.12 Civil Engineer to identify the elevations of container modules for adequate drainage
and flood prevention.
.13 Structural Engineer to coordinate with container fabricator and architect on
size/location of container units,light posts,posts for awnings and stages.

2.4 Owner Provided Information
.1 Site Survey and Geotech Report provided by the City of Jeffersonville to be reviewed
by Civil Engineer,Structural Engineer and Architect.
.2 Topographic survey with utilities to be provided by City of Jeffersonville.
.3 Desired Tensile Awning Manufacturer
2.5 Design Development Phase will include:
.1 Architect to coordinate design development meeting(s)with Owner,Container
Fabricator,Food Service Designer,Electrical,Mechanical and Plumbing Engineers.
.2 Civil engineer to develop an Erosion Prevention and Sediment Control Plan.
.3 Selection of paving materials and locations of permeable/impermeable paving systems.
.4 Exterior lighting plan,power connections,water connections to be defined.
.5 Structural Engineer to develop foundation types and details.
.6 Height and location of tensile awnings.
2.6 Construction Document Phase will include:
.1 Stamped Architectural Drawings
.2 Stamped Civil Drawings
.3 Stamped Structural Foundation Drawings
.4 Stamped Mechanical Electrical and Plumbing Drawings
.5 Architect to oversee the submission of plans to Authorities who administer the State of
Indiana Construction Design Release.
2.7 Bidding/Negotiation Phase will include:
.1 Architect to administer public bidding for the"Infrastructure,Restroom,and
Kitchen/Dining Facility"
2.8 Contract Administration Phase will include:
.1 Site Visits and Observation for the"Infrastructure,Restroom,and Kitchen/Dining
Facility"
.2 Contract Administration Activities:
a. Shop Drawing Review/Coordination
b. Submittal Review
c. RFI Responses
d. Applications for Payment Review
e. Modifications and Change Orders to Contract as Needed and Requested
f. Attendance of Progress Meetings Conducted by Contractor(s)

h. Evaluation of Substantial Completion Date
2.9 This scope definition does not include any landscaping design or engagement
of a landscape architect.This scope definition does not include any
hazardous material abatement services.If any hazardous materials are
encountered,it is the owner's responsibility to coordinate assessment and
abatement services.

SECTION THREE BASIS FOR COMPENSATION
3s TEG Architects LLC presents the following stipulated professional fee for the services
exclusive of reimbursable expenses and travel of $205,000 (Exactly Two Hundred Five
Thousand Dollars and Zero Cents),for the services listed in Section Two of this proposal.
3.2 Reimbursable Expenses are not included in the fee stated in 3.01. Our firm's policy on
reimbursable expenses is to invoice our clients at our direct cost with no mark-up for
processing.Examples of reimbursable expenses include but are not limited to the following:
- Travel Expenses+Airfare(Mileage based on the current Federal Standard per mile)
- Reprographic Expenses for the production of check sets and bidding sets
- Reprographic Expenses for the production of presentation drawings and display boards
- Shipping Expenses associated with distribution of materials associated with the project
- Advertising expenses
- All City,State and other Authorities having jurisdiction Fees,etc.
33 Invoices will be distributed on a monthly basis.All invoices unpaid after thirty(30)days beyond
the invoice date are subject to interest charges at a rate of 1.5% per month applied to the
outstanding balance.
34 If for any reason,the project is halted for more than 90 calendar days;TEG Architects LLC is
to be compensated for all work and expenses performed prior to the stoppage.
35 If Owner/Client breaches this agreement by failing to pay, after demand, any amounts due
Architect then Architect may commence suit for damages, and recover its attorney fees
incurred as a part of its damages.
35 The Architect does not control the cost of construction; material suppliers, subcontractors,
general contractors and construction managers determine the cost of the work.The Architect
will use generally accepted square footage costs to prepare all estimates of the Cost of the
Work.The Cost of the Work is an estimate and is not a guaranteed price;factors of inflation,
regional variations, material availability,etc. impact costs,all out of the control of the design
team.
3,7 The Architect's estimate of the Cost of the Work is generally within 15%of the actual bid cost
of the work. The Architect is not responsible for redesigning approved design efforts unless
the construction document bids exceed the estimated Cost of the Work beyond this 15%
factor.

SECTION FOUR I ADDITIONAL SERVICES
4.1 All services beyond those outlined in this Proposal are considered Additional Services. If
Additional Services are required, a separate proposal defining the Scope of Services and
Professional Fees will be prepared.
4.2 Revisions to designs or documents after approval at each project development phase or final
documents previously approved by the Owner/Owner's Representative.
4.3 Meetings beyond the meetings outlined in the Scope of Services,(including meetings with city,
state or other agencies for review of the project.)
4.4 Revisions to drawings upon completion of construction/installation to provide accurate as-
built drawings.

Evaluating professional services is very difficult as scope of services and fees vary greatly
from one proposal to another.If services outlined in this Proposal are not as you desire or
do not reflect the scope that others may propose, please allow TEG Architects LLC to
modify to better serve you and the project.
