Exclusivity: Four Roses to be exclusive official bourbon sponsor of the festival and will be offered a minimum of two primary locations within the event area. Four Roses to receive input/approval on Four Roses cocktails served at full-service bars on site. Duration: This contract is valid through May 28th 2018,covering one event Abbey Road On The River 2018. Control Of Program: The producers of AROTR will organize a festival of the highest quality as well as giving due regard to Four Roses' marketing objectives.Artistic control is not supervised by Four Roses,but by the producers. Four Roses Rights: Four Roses will have special sponsor rights to Abbey Road On the River. 1 Ticket Package: Total value of promotional tickets: $4,800.00 25 reserved,value$2,000.00 80 general admission,value $2,800.00 Stage Naming Four Roses will have stage naming rights for an event stage at Abbey Road On The River 2018 located at Big 4 Station Park Jeffersonville IN.Stage Location TBD. Control of Marketing/Advertising: The producers of AROTR will organize a marketing campaign promoting the Festival,but consistent with Four Roses'marketing objectives. • Four Roses will receive logo and brand recognition on all promotional flyers, marketing materials, press releases,advertisements,websites, festival programs, hard copy tickets, and social media outlets. • Logo/promotional message on primary screens • Stage announcements for Four Roses Ad Production: Producers shall develop ad campaign for the festival;AROTR advertising agency will create an integrated look for all pieces utilizing Festival's,Four Roses',and other sponsor's existing logos. Insurance: Producers shall purchase and maintain during the term of the Festival public and liquor liability. Limits shall be in the amounts of: o $2,000,000 General aggregate liability o $1,000,000 each occurrence o $100,000 Property o $2,000,000 Aggregate Liquor Liability o $1,000,000 each occurrence Abbey Road On the River LLC (Responsibilities) Abbey Road On the River LLC will provide the following services,which shall be their sole responsibility: > Develop complete creative program > Contract-present all talent > Initiate marketing campaign > Maintain sound accounting and legal policies > Coordinate responsibilities with City of Jeffersonville for: 1. Security 2. First aid 2 3. City issues 4. Street closings 5. Permits 6. Inspections 7. Layout 8. Infrastructure Negotiate,oversee,and implement trade agreements with vendors for 1. Staging,Sound, Lights,Stagehands 2. Tents, Tables, Chairs 3. Cleanup 4. Power, utilities 5. Set,strike,load in,load out personnel 6. Portable Bathrooms, radios Provisional: If the content of the show or the production should materially change based on requests made by Four Roses and these changes should increase the budget, then Four Roses shall be informed immediately and if Four Roses requires these changes, they will be responsible for additional costs. If producers should determine that a Four Roses requested change in production requires additional funding,then AROTR producers shall immediately notify Four Roses and if Four Roses does not approve these additional charges,then producers will have the right not to modify the program. Representations: Abbey Road On the River is a tribute festival honoring the words and music of The Beatles.® ."The Beatles" is a federally registered trademark of Apple Corps Limited and Apple Group of related companies ("Apple").Abbey Road on the River is not endorsed by or affiliated with Apple Corps Limited. AROTR LLC warrants that it will receive, all required or necessary permissions or licenses, specifically ASCAP and BMI,and will provide proof of such licenses to perform the Festival music and will indemnify Four Roses for any claims whatsoever related to any trademark, copyright or licensing claims made by any party by reason of presentation and marketing of the Festival and related items. Nonobligatory: This sponsorship does not obligate the City of Jeffersonville or the Jeffersonville RiverStage,to use any of the sponsor's products or to exclude any products of any competitor or sponsor.This agreement is limited to just a sponsorship/advertising and does not include any product purchase obligations or restrictions. Entire Agreement: This Agreement contains the entire Agreement between the parties, and supersedes all prior or contemporaneous communications, representations, understandings, or agreements. This Agreement may be modified 3 only by a written amendment signed by both parties. Headings, Attachments, and Exhibits: The headings contained in this Agreement are for reference only and shall not in any way affect the meaning or interpretation of this Agreement. Any attachments and Exhibits to this Agreement shall be construed as an integral part of this Agreement. Waiver: The failure on the part of either party to enforce its rights as to any provision of this Agreement shall not be construed as a waiver of its rights to enforce such provision in the future. Assignment: This Agreement shall not be assigned by either party without the prior written consent of the other unless such assignment shall be to the affiliate or successor of either party. Authority to Contract: Each party warrants and represents that it has power and authority to enter into this Agreement and to perform the obligations, including any payment obligations, under this Agreement. Governing Law: The Agreement shall be governed by and construed in accordance with the laws of the State of Indiana. Severability: Should any part of this Agreement for any reason, be declared invalid or void, such declaration will not affect the remaining portion which will remain in full force and effect as if the Agreement had been executed with the invalid portion eliminated. Confidentiality: The terms of this Agreement and any subsequent agreement related hereto shall be and remain confidential.
