This letter will confirm our agreement and understanding of my representation of
the Jeffersonville City Council, in connection with your legal needs. I will be the
attorney involved in your representation. I will be the attorney that meets with you,
attends board meetings, hearings and any other conferences, with you and provides for
your advocacy.
Please be advised that all fees are payable to Larry O. Wilder (EIN 3517850560)
for tax purposes, will be provided in proper form as requested.
We have agreed that the fee for representation of the City Council will be Four
Thousand Dollars ($4,000) per month for an annual fee of Forty Eight Thousand
Dollars ($48,000). This fee DOES NOT include representation of the City
Council in any matter that requires litigation in Federal or State Court. Litigation
means responding to/or initiating any lawsuits filed by anyone against the City
Council and/or the City if the Council's interest must be defended as well. In
cases of litigation you agree to pay me an hourly fee of Two Hundred Dollars
($200) for all work performed out-of-court. This includes preparing pleadings for
litigation purposes, attending depositions, engaging in research or attending
court hearings or proceedings. You have agreed that you will pay the monthly fee
of $4,000 which is due on the first day of each month beginning with January 1,
2017.
Further, we agree, and you understand that it would be unethical for me to bind
you to a contract for legal services. We understand, and you agree, that all
lawyers are employees at the will of their clients. Hence, you understand, and I
agree, that ethically you can terminate me at any time, without notice and that my
only recourse would be to request payment for any unpaid legal services.
In addition, you will receive periodic statements for expenses incurred in your
representation. Such expenses are court costs, deposition costs, investigations,

transcription preparation, filing and/or recording fees, expert witness fees, travel
expenses and other miscellaneous expenditures. I understand that these expenses
shall be submitted to the City Council pursuant to the mandates of Indiana Code related
to the payment of lawful claims.
