GENERAL TERMS AND CONDITIONS OF AGREEMENT
1. Basic Services. Security Risk Management Consultants, LLC., hereinafter referred to as
SRMC, agrees to perform all services outlined in the SCOPE OF WORK of the
AGREEMENT, which is attached hereto. These TERMS AND CONDITIONS shall
supplement the AGREEMENT and become a part thereof. To any extent that they conflict
with the AGREEMENT, the AGREEMENT shall take precedence. Terms used herein shall
have the same meaning as set forth in the AGREEMENT unless otherwise defined in this
document. It is understood that the SCOPE OF WORK and fees outlined in the
AGREEMENT are based upon information available at the time the AGREEMENT was
prepared. Should additional information become available at a later date, SRMC reserves
the right to modify the SCOPE OF WORK and fees. SRMC will have no duties or
responsibilities other than those outlined in this SUPPLEMENT or the SCOPE OF WORK of
the AGREEMENT.
2. Billing and Payment.
Unless otherwise specified, SRMC will submit an invoice each month for services performed
the previous month or based on conditions outlined within the proposal as a percentage
basis. The invoice amount will be based on time expended on the PROJECT at our
standard hourly rates or the incremental portion of the PROJECT completed as a
percentage of the total contract fee plus any reimbursable expenses, as more specifically
set forth in the AGREEMENT. Payment for services rendered is due upon receipt of the
invoice. Any payment not received with 90 days of the invoice date is subject to an interest
charge of 1% per month. If an invoice remains unpaid for more than 90 days, SRMC
reserves the right to suspend service and/or withhold documents until the overdue amount is
paid. SRMC will assume no liability for delays caused by the suspension of service and will
be entitled to payment from the CLIENT for any additional costs associated with restarting
the PROJECT for this reason.
3. Additional Services. Any service performed by SRMC that results from: (i) oral or written
changes in or additions to the SCOPE, extent, or character of the PROJECT requested by
the CLIENT or other involved parties; (ii) revisions to a service previously performed when
such revisions are not caused by errors on the part of SRMC; (iii) changes in or additions to
the SCOPE, extent or character of the PROJECT due to circumstances not considered at
the time the AGREEMENT was entered into; or (iv) changes in building code requirements
shall be considered additional services. Fees for additional services will be billed separately
from and in addition to fees for the SCOPE OF WORK specified in the AGREEMENT.
Unless otherwise agreed upon, fees for additional services will be based on time expended
at our standard hourly rates plus any reimbursable expenses. Estimated fees for performing
any additional services shall be provided if requested by the CLIENT.
4. Reimbursable Expenses. Costs incurred by SRMC for travel, transportation, lodging,
meals, printing, postage, deliveries, and/or application/submittal fees for the Project paid on
behalf of the CLIENT will be considered reimbursable expenses. Unless otherwise noted in
the AGREEMENT, reimbursable expenses are supplemental to the fees established in the
AGREEMENT and will be billed separately at the direct cost to SRMC.
5. Client Responsibilities. The CLIENT shall guarantee SRMC and its agents and
SUBCONSULTANTS free right-of-access to the PROJECT site for the purpose of obtaining
survey and/or other site-specific information necessary to complete the SCOPE OF WORK.
This right-of-access shall be in force from the date the AGREEMENT is executed through
the completion of the SCOPE OF WORK. The CLIENT shall notify SRMC of any hazardous
materials or conditions, including, without limitation, environmentally hazardous materials or
conditions, known or suspected to exist at the PROJECT site. The CLIENT shall indemnify
and hold harmless SRMC from any and all costs, liabilities and expenses (including
attorney's fees) related to any hazardous materials or conditions at the PROJECT site,
except to the extent they are introduced by SRMC. The CLIENT agrees to provide SRMC
copies of any information at its disposal that is pertinent to the SCOPE OF WORK. The
CLIENT agrees to notify SRMC promptly whenever the CLIENT observes or otherwise
becomes aware of any problem, defect, or change in the PROJECT. The CLIENT agrees to
respond within a reasonable time to requests by SRMC for information or other items
necessary to complete the SCOPE OF WORK.
6. Liability. SRMC makes no warranty or guarantees regarding the services to be performed.
SRMC will use the degree of care and skill ordinarily exercised under similar conditions by
reputable members of the security consulting profession. The services to be performed by
SRMC under the AGREEMENT are intended solely for the benefit of the CLIENT. Nothing
contained herein shall create any duties on the part of SRMC toward any person or persons
not a party to the AGREEMENT including, but not limited to, the PROJECT contractor, sub-
contractors, or suppliers or their agents, officers, employees, insurers, or sureties. The
CLIENT agrees to indemnify and hold harmless SRMC from any third party claims, including
reasonable attorney's fees, except when such actions are shown to be a direct result of
SRMC's sole gross negligence. SRMC's total aggregate liability for any damage due to its
errors, omissions or professional negligence will be limited to a sum not to exceed the lesser
of SRMC's fee or professional liability insurance coverage.
7. Standard of Care. In providing services under this AGREEMENT, SRMC will consistently
endeavor to perform with the degree of care and skill ordinarily exercised by members of the
same profession currently practicing under similar circumstances. SRMC will provide its
services as expeditiously as is consistent with professional skill and care and the orderly
progression of SRMC's part of the PROJECT. Regardless of any other term or condition of
this AGREEMENT, SRMC makes no express or implied warranty of any sort. All warranties,
including warranty of merchantability or warranty of fitness for a particular purpose, are
expressly disclaimed.

8. Consequential Damages. Notwithstanding any other provision to the contrary and to the
fullest extent permitted by law, neither the CLIENT nor SRMC shall be liable to the other for
any incidental, indirect or consequential damages arising out of or connected in any way to
the PROJECT or this AGREEMENT. This mutual waiver of consequential damages shall
include, but not be limited to, loss of use, profit, business or income or any other
consequential damages that either party may have incurred from any cause of action
whatsoever.
9. Hidden Conditions of an Existing Structure or Project. A condition is hidden if it is
concealed by existing finishes or cannot be investigated by reasonable visual observation.
If SRMC has reason to believe that such a condition may exist, the CLIENT shall authorize
and pay for all costs associated with the investigation of such a condition. If(i) the CLIENT
fails to authorize such investigation after due notification or (ii) SRMC has no reason to
believe that such a condition exists, SRMC shall not be responsible for the existing
conditions or any resulting damages or losses resulting thereof.
10. Indemnifications. To the fullest extent permitted by law, the CLIENT agrees to indemnify
and hold harmless SRMC and its SUBCONSULTANTS from and against any and all
damages, losses or costs (including reasonable attorney's fees and defense costs) caused
in whole or in part by the CLIENT's acts, errors or omissions or those of anyone for whom
the CLIENT is legally liable. SRMC further agrees to indemnify the CLIENT for damages
arising from SRMC's own negligent errors, acts, or omissions.
11. Dispute Resolution. All claims or disputes between the CLIENT and SRMC arising from
services provided or any duties or obligations performed under the AGREEMENT shall be
submitted to mediation. If mediation is unsuccessful, they shall be submitted to binding
arbitration administered by the American. Arbitration Association. Both parties agree that
any judgments or rulings issued through arbitration shall be final. The venue for all
arbitration hearings shall be in Columbus, Ohio. The laws of the State of Ohio shall govern
the AGREEMENT and this SUPPLEMENT.
12. Execution of the AGREEMENT. Execution of the AGREEMENT by both parties will
constitute authorization to proceed with the SCOPE OF WORK. Unless otherwise specified,
SRMC will commence work within seven (7) days following the execution of the
AGREEMENT. If any provision of the AGREEMENT is determined to be invalid, the
remainder of the AGREEMENT shall not be affected and shall be valid and enforced to its
fullest extent.
13. Termination of the AGREEMENT. Either party may terminate the AGREEMENT upon
giving seven (7) days' written notice to the other, whereupon the parties shall have no
further obligations under the AGREEMENT and this SUPPLEMENT. Notwithstanding the
foregoing, each party is responsible for the timely performance of its obligations under the
AGREEMENT and this SUPPLEMENT, including full payment by the CLIENT to SRMC of

accrued fees and reimbursable expenses, through and until the date of termination.
14. Ownership of Documents. All documents produced by SRMC under this AGREEMENT,
including electronic files, shall remain the property of SRMC and may not be used by the
CLIENT for any other purpose without SRMC's written consent. Any such use or reuse shall
be at the sole risk of the CLIENT who shall defend, indemnify and hold harmless SRMC and
its SUBCONSULTANTS from any claims and/or damages arising thereof. Electronic files
are not contract documents and cannot be relied upon to be identical to contract documents
because of changes or errors induced by translation, transmission, or alterations while
under the control of others. The use of information contained in electronic files is at the
user's sole risk and without liability to SRMC and its SUBCONSULTANTS.
15. Defects in Service. The CLIENT shall promptly report to SRMC any known or suspected
defects in the CONSULTANT's services. The CLIENT further agrees to impose a similar
requirement to notify SRMC on all its contractors in its CLIENT/CONTRACTOR agreement
and shall require all subcontractor agreements at any level to contain a like provision.
Failure of the CLIENT or the CLIENT's CONTRACTORS or SUBCONTRACTORS to notify
SRMC shall relieve the CONSULTANT of the costs of remedying the defects above the sum
such remedy would have cost had prompt notification been given when such defects were
first discovered.
16. Construction Activities. SRMC shall not be responsible for the acts or omissions of any
person performing any of the work, the instructions given by the CLIENT or its
representatives to anyone performing any of the work, or the means and methods of job-site
safety.
17. Force Majeure. Any obligation of SRMC under this AGREEMENT shall be temporarily
stayed and extended for the period of time its performance is impeded by an ACT OF GOD
or other non-financial event outside of SRMC's control.
18.Waivers. No failure or delay of any party hereto in exercising any right hereunder shall
operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any
other or further exercise thereof or the exercise of any other right hereunder.
19. Unenforceable Provisions. If any term, paragraph, clause, condition, or provision of the
AGREEMENT or this SUPPLEMENT is held by a court of competent jurisdiction to be
invalid, void, or unenforceable, the remainder of the provisions of the AGREEMENT and this
SUPPLEMENT shall remain in force and in no way be affected, impaired, or invalidated.
The AGREEMENT and this SUPPLEMENT shall be construed as if the invalid, void, or
unenforceable provisions were omitted.
20. Notices. Any notice, demand, or other communication (NOTICE) required or desired under
the AGREEMENT or this SUPPLEMENT shall be in writing and deemed to be sufficiently

given or served, for all purposes, if sent by postage prepaid, return receipt requested,
certified or registered mail, delivered by prepaid courier service, or transmitted by facsimile
with evidence of receipt to the address of the parties set forth in the AGREEMENT. If
NOTICE is sent by certified or registered mail, NOTICE shall be deemed given two (2) days
after being deposited in the facilities of the U.S. Postal Service. If NOTICE is sent by
prepaid courier service or facsimile, NOTICE shall be deemed given upon receipt provided
the sending party has evidence of said receipt. Any party may change the address to which
a NOTICE is to be sent to it by NOTICE to the other parties as provided above.

Dear Amir,
Thank you for the opportunity to discuss your needs and to provide this updated proposal for a
comprehensive security assessment of the Jeffersonville City Hall complex, replacing the
proposal provided in March 2016. In an effort to solidify project expectations, we've put together
the following Scope-of-Work statement covering the activities discussed to address this
comprehensive security assessment of City Hall.
Security Risk Management Consultants, LLC (SRMC) will use applicable security "best
practices," a review of City Hall security and police incident reports, and stakeholder input as a
guide to effectively review and assess site and building security and the overall security posture
and operations on the campus. Based on our conversation, we believe SRMC is exceptionally
qualified and well-positioned to provide the required Services in a professional, timely manner
and have provided as a separate attachment, our experience with like facilities and clients. Our
background in in state and local government facilities and operations, risk assessment, and
extensive consulting experience, has given our team the skills essential for the success of this
project.
As you know, Security Risk Management Consultants, LLC (SRMC) is an independent security
consultancy that has no affiliations with any security vendors or product manufacturers. Our
assessments and recommendations are based on our extensive experience in the security
market place and not on a desire to sell particular technologies. Our approach includes
thorough fact-finding and evaluation, the identification of critical issues and applicable
standards, and the development of recommendations appropriate for our client organization's
culture and capabilities and the risks within its environment. We consider this process a
partnership and accomplish these tasks in a collaborative, interactive manner. We identify and
work with key stakeholders, seeking their input to ensure our work product is consistent with the
organization's needs.

different vertical markets. Along with our technical capabilities. SRMC has extensive experience
assessing the needs to assess issues associated with security awareness, workplace violence
and staff training.
The SRMC staff subscribes to the Code of Ethics of the International Association of
Professional Security Consultants (IAPSC) and ASIS International. Our consulting philosophy is
based upon developing partnerships with our clients. We openly share our knowledge and
experience in the belief that well-educated, informed clients make the best technology and
process decisions.
SCOPE-OF-WORK STATEMENT
As part of our process, we will provide an assessment of technology, operations, security
policies, procedures and processes at the Jeffersonville City Hall Complex. Our review will
include:
• Conduct a security assessment of the Jeffersonville City Hall Complex and its environs to
identify organizational assets and the threats, risks, and vulnerabilities that may impact
these assets. This process will include a high-level lighting survey of the exterior as well
as identified parking areas.
• SRMC staff will meet with critical building stakeholders, city leaders and department
heads to gain an understanding of critical assets, facility operations, public accessibility,
threats, risks, high value areas, mayoral protection, city council functions, building
access and hours of operation and other overall facility issues that may be discovered.
• SRMC staff will assess the building, review any security technologies including access
control, door alarms, video surveillance, and duress alarms for functionality, design
effectiveness, and overall use and management of these systems.
• SRMC staff will conduct an on-site physical security survey reviewing the area including
the application of Crime Prevention Through Environmental Design (CPTED) and
perimeter security.
• SRMC staff will review the existing overall security program effectiveness, response to
emergency needs,
• SRMC will identify personnel and significant physical security threats and risks. This will
be accomplished in conjunction with The Jeffersonville Division of Police and other
appropriate law enforcement agencies.

• Based on our findings, we will provide you with a comprehensive report which will outline
our findings and specific recommendations to provide a reasonable and appropriate
level of security programming for the Jeffersonville City Hall facility.
• SRMC will provide a one-day on-site visit to present our report and findings to city
leadership.
IN ORDER TO COMPLETE THIS PROCESS, SRMC STAFF WILL NEED:
• Access to the building during normal business hours and at night. Areas of security
concern may be photographed for later review.
• Facility floor and site plans.
• Information regarding any significant security incidents or concerns expressed by staff
members, elected officials, or others.
• Your assistance with setting up meetings and focus groups across a single day period.
• The authority to discuss site security and crime concerns with the local law enforcement
agency.
CAVEAT
Full implementation of the recommendations included in our report cannot guarantee that
Jeffersonville City Hall Municipal Complex will be crime free. Rather, the purpose of this
assessment is to assist the City Administration and staff in reducing the potential for incidents
by improving facility access, security technologies, operations, facility management, and staff
awareness to the potential for problems. Security technology is only one part of the total
security system. Other components of the overall security strategy must include the application
of policies, procedures, and processes combined with appropriate staff training and
participation, and law enforcement participation.. Recommendations reflect our understanding of
the security issues at that time. Since crime prevention and reduction are dynamic processes,
technology and security procedures should be routinely reviewed and updated to reflect
changes in the environment.

PROJECT TEAM
We know from experience that a successful assessment requires a tightly integrated team of
professionals that provides a single point of contact and accountability to the client. We have
found that a cohesive, collaborative team provides the best work product. The multi-disciplinary
SRMC team is experienced in working this way.
The SRMC team will be comprised by company President Chad Parris, PSP, CSC who will be
the single point of contact for this project. Chad brings extensive expertise and is an industry
expert relative to security technologies and will review all aspects of the security technology
needs. Supporting Chad will be staff consultant James H. Clark, CPP who will provide all
security programming, policy and procedure reviews, public safety interface and assess overall
security operational needs.

PROJECT IMPLEMENTATION AND COSTS
SRMC will provide two staff consultants for this project to be on site up to one and a half days to
conduct all assessment activities outlined in the scope of work plus a return trip to conduct the
presentation. SRMC can accomplish this project and provide the City of Jeffersonville with a
high-quality assessment report with recommendations for the City Hall Municipal Complex.
We will provide the above noted services for a fixed fee of thirteen-thousand, two
hundred ninety dollars ($13,290.00) plus an estimated two-thousand one-hundred fifty
dollars ($2,150.00) in expenses for a grand total of$15,440.00.
Expenses include travel mileage, hotel and meals and will be invoiced at cost with no mark up.
All travel time is billed at half our effective consulting billing rate of$185.00 an hour.
STANDARD BILLING PRACTICES
Absent purchasing policies preventing them, it is our standard billing practice on assessment
projects to request payment of a 35% retainer ($4,252.80) of our total fees prior to commencing
on-site work. However, we recognize this is a time-sensitive endeavor and will schedule our
site visit upon the City of Jeffersonville's acceptance of this proposal. We generally bill in two
(2) additional increments: another 35% of the total fees will be invoiced upon completion of our
initial site visit, an additional 30% will the delivery of the report with recommendations.

Jim brings over 30 years of experience in security management and law enforcement and 25 years of
experience as an independent security consultant to our team. As a consultant, he has performed

university campuses, healthcare, psychiatric and special care facilities, high-rise office towers,
performing arts and entertainment centers, hotels, mixed use retail environments, critical
