RiverStage II - Schematic Design Option 2
Dear Mayor Tom Galligan:
On behalf of The Estopinal Group LLC, we appreciate this opportunity to provide this proposal outlining
professional services for the City of Jeffersonville's RiverStage II based on our meeting Wednesday
September 7.20t1
The Estopinal Group will provide a Second Schematic Oesign based on the following:
• Reuse of existing atrium space as stage without significant modification Sinclude hanger
style door and provisions for lighting /sound equipment)
• Maintaining of existing reslroom facilities
• Maintain partial balcony for views of the river
• Rotating barge 180 degrees from first opkon
• Investigate existing HVAC rooftop units to determine age and possible reuse {consult
engineers)
• Exterior modifications (refurbish /paint and modify existing stair towers)
• Possible rooftop gathering space
• Site visit with Mayor to discuss schematic option 2
Please find outlined below a brief synopsis of this Proposal. This document delineates the following
elements of the Agreement

Section Two: Basis for Compensation
Section Three: Additional Services

Section One
Pro lect Scone
1.01 The scope of this project is limited to work 31 RiverStage It located in Jeffersonville, IN
• Reuse of Existing Infrastructure
• 19,000 SF +/- - Approximate Square Footage of Option 2 after
modifications
• Outdoor Stage - Reuse of Existing Atrium Space
• Indoor Theater - Refurbishment and provision for additional services (box
office, concessions, otc.)
• Reception Hall - Renovation of
• Modification of Existing Stair Towers
• Possible roof top gathering space
1.02 The Scope of the Project consists of:
Schematic Design of Option 2 as discussed In Meeting with the Mayor on Wednesday
September 7, 2011. The project will include the following elements:
• 2D Schematic Design Plans - Main Deck Plan, Bakony Level Plan, Rooftop
Plan
• 2D Schematic Exterior Elevations - River Elevation, Terrace Elevation
• Site line Viewing Angle Study - Option 1 /Option 2 comparison
• 3D Renderings of RiverStage II In the context of the site - View from River,
View from Terrace
• Schematic Construction Cost Estimate - Optionl and Option 2
• One Review Meeting -To review SD Package
Section Two
Basis for Comoensatioq
2.01 The Estopinal Group presents an Hourly Not To Exceed Fee of $10,000.00, for the services
outlined in this document
2.02 Reimbursable Expenses are not included in the fee stated in 2.01. Our firm's pokey on
reimbursable expenses a to invoice ow clients at our direct cost with no merit-up for processing.
Examples of reimbursable expenses include but are not limited to the following:
- Travel Expenses (mileage based on $0.665 per mile)
- Reprographic Expenses for the production of check sets.
- Reprographic Expenses for the production of presentation dravengs and display boards.
- Shipping Expenses associated with distribution of materials associated with the project.
- Advertising expenses
- All City. State and other Authorities having jurisdiction Plan Review Fees. Zoning Applications.

2.03 Invoices will be distributed on a monthly basis All invoices unpaid atier thirty (30) days beyond
the invoice date are subject to interest charges al a rate of 1.5% per month applied to the
outstanding balance.
2.04 If for any reason. the project is halted for more than 30 calendar days; The Estopinal Group is to
be compensated for all work and expenses performed poor to the stoppage.

Additional Services
3.01 All services beyond those outlined in this Proposal are considered Add Services If
Additional Services are required, a separate proposal defining the Scope of Services and
Professional Fees will be prepared
3.02 Revisions to designs or documents after approval at each project development phase or final
documents previously approved by the Owner /Owners Representative.
3.03 Meetings beyond the meetings outlined in the Scope of Services. (including meetings with city,
stale or other agencies for review of the Project.)
3.04 Revisions to drawings upon completion of constructionrinstallation to provide accurate as -built
drawings
3.05 This proposal does not include any hazardous material abatement services. If any hazardous
materials are encountered. it is the owner's responsibility to coordinate assessment and
abatement services.
This proposal is valid for 30 days from date issued.

Evaluating professional services is very difficult scope of services and lees vary greatly from one proposal
to another If services outlined in this Proposal are not as you desire or do not reflect the scope that others
may propose. please allow The Estopinal Group to modify to better serve you and the project.
