HomeMy WebLinkAbout10th Street Improvement AMENDMENT NO. 1 TO THE AGREEMENT FOR PROFESSIONAL SERVICES DATED JULY 1, 2009 BETWEEN BERNARDIN, LOCHMUELLER AND ASSOCIATES, INC. HEREINAFTER REFERRED TO AS THE "CONSULTANT" AND THE CITY OF JEFFERSONVILLE ACTING BY AND THROUGH ITS PROPER OFFICIALS, HEREINAFTER REFERRED TO AS THE LOCAL PUBLIC AGENCY, FOR PRELIMINARY ENGINEERING DESIGN SERVICES FOR THE PROPOSED RECONSTRUCTION OF 10 STREET FROM DUTCH LANE /PENN STREET TO REEDS LANE. WITNESSETH WHEREAS, LOCAL PUBLIC AGENCY and CONSULTANT did on July 1, 2009 enter into an agreement to provide preliminary engineering design services for the proposed reconstruction of 10 "' Street from Dutch Lane /Penn Street to Reeds Lane, and WHEREAS, the project has advanced to a stage at which Geotechnical Investigation and Right - of -Way Engineering could be initiated, and WHEREAS, it has been determined that additional topographic survey data collection is required beyond the limits previously established to better evaluate the stormwater design requirements, and WHEREAS, it is the desire of the LOCAL PUBLIC AGENCY to initiate the Geotechnical Investigation, Right -of -Way Engineering and additional Topographic Survey Data Collection for the project, and WHEREAS, LOCAL PUBLIC AGENCY desires to engage CONSULTANT to provide or cause to have provided the required Geotechnical Investigation, Right -of -Way Engineering and additional Topographic Survey Data Collection for the project, and WHEREAS, the CONSULTANT has expressed a willingness to provide or cause to have provided the required Geotechnical Investigation, Right -of -Way Engineering and additional Topographic Survey Data Collection for the project, and WHEREAS, in order for the CONSULTANT to provide the additional services, it is necessary to amend the original agreement, and CITY OF JEFFERSONVILLE PAGE 1 OF 6 AMENDMENT NO. 1 a yarm::.:avm.c - go4w, . 208-0045-OHY NOW, THEREFORE, it is agreed by and between both parties that the original agreement to amended as follows: Section IV COMPENSATION of the Recitals is modified to read as follows: SECTION IV COMPENSATION. The LOCAL PUBLIC AGENCY shall pay the CONSULTANT for the Services performed under this Contract as set forth in Appendix "D" which is herein attached to and made an integral part of this Contract. The maximum amount payable under this contract shall not exceed One Million Five Hundred Thirty Three Thousand Nine Hundred Dollars ($1,533,900.00). 11. Section V Geotechnical Investigation is added to Appendix "A" as follows: V. Geotechnical Investigation The CONSULTANT shall provide or shall cause to have provided the geotechnical investigation services to determine the existing subsurface conditions at project site and to develop recommendations necessary for the design and construction of the earth elements of the project. The geotechnical investigation services shall include performing 24 test borings at a depth of 20 feet along the roadway alignment. The appropriate laboratory tests shall also be performed. III. Section W Right -of -Wav Engineering is added to Appendix "A" as follows: W. Right -of -Way Engineering The CONSULTANT shall provide Right -of -Way Engineering in accordance with the procedures and standards as indicated in the Indiana Department of Transportation (INDOT) Right-of-Way Acquisition Procedure Manual for Local Public Agencies and the Right -of -Way Engineering Procedures Manual as follows: 1. The CONSULTANT shall be responsible for a limited number of "minor revisions" (one that is completed within no more than two (2) man - hours) to the design plans, right -of -way plans, parcel plats, legal descriptions, and for re- staking the proposed right -of -way for a limited number of parcels, if the CONSULTANT originally designed and staked the project. This provision terminates if and when the CONSULTANT executes a Right -of -Way Services Agreement with the LOCAL PUBLIC AGENCY. The CONSULTANT shall prepare or cause to be prepared a Title Search pursuant to the following: a. All parcels, except Temporary Right -of -Way only parcels, shall require: A documented preliminary title search covering an interval of time including one valid transfer of fee title beyond a twenty year period from the date of the search, or A guarantee of title issued in an amount commensurate with the value of the interest being acquired, or iii. An abstract prepared by a professional abstractor used along with an examination of title by an attorney. b. Temporary Right -of -Way only parcels shall require: A documented minimal title search by a title company, or ii. A verified last deed of record search by an LOCAL PUBLIC AGENCY employee or consultant. c. Each title search shall be updated at the time of Right -of -Way acquisition. 3. Legal Descriptions (Transfer Document — Exhibit "A ") shall be prepared and certified by an Indiana registered land surveyor for each parcel. 4. Right -of -Way Parcel Plats (Transfer Document — Exhibit "B ") shall be prepared and certified by an Indiana registered land surveyor and tied to the Location Control Route Survey plat for all parcels, except Temporary Right -of -Way only parcels. 5. The CONSULTANT shall prepare the Transfer Documents for review by the attorney of the LOCAL PUBLIC AGENCY, unless directed otherwise by the LOCAL PUBLIC AGENCY. 6. Right -of -Way Engineering Documentation shall be prepared for each parcel to include the Parcel Summary Sheet and the Parcel Computation Sheet. 7. Right -of -Way Plans shall be prepared. 8. Right -of -Way Staking shall be provided using wooden hub and lath at the deflection points of the proposed permanent and temporary right -of -way lines. 9. The CONSULTANT shall cause to be prepared the Appraisal Problem Analysis Report (APA) as a parcel -by- parcel examination of the project site to determine the extent of each taking and the appraisal approach to be utilized by the appraiser. Examine the Right -of -Way Plans and determine the extent of the takings. b. Perform an on -site inspection of each parcel requiring right -of- way acquisition. c. Determine whether a Waiver Valuation or an appraisal is needed for each parcel. d. Determine the appraisal approach which will be used to establish just compensation. e. Complete the APA on the INDOT approved form for each parcel. f. Complete a project summary sheet setting out: Parcel number Owner's name iii. Size of property iv. Amount of right -of -way to be acquired v. Types of right -of -way to be acquired vi. Recommended appraisal form 10. The proposed appraisal fee shall be shown in the designated area on each APA report. The LOCAL PUBLIC AGENCY shall signify approval of both the APA report and the appraisal fee by signing the APA report. IV. Section A.1 — AMOUNT OF PAYMENT of Appendix "D" is modified to read as follows: A. AMOUNT OF PAYMENT 1. The CONSULTANT shall receive as payment for the services performed under this Agreement, the total fee not to exceed One Million Five Hundred Thirty Three Thousand Nine Hundred Dollars ($1,533,900.00), unless a modification of the Agreement is approved in writing by the LOCAL PUBLIC AGENCY. V. Section A.2.a is modified to read as follows: a. Topographic Survey Data Collection $139,600.00 VI. Section A.4 is added to Appendix "D" as follows: 1. The CONSULTANT shall receive payment for providing the services set forth in Section V — Geotechnical Investigation of Appendix "A" of this Agreement on a unit price basis per the schedule set forth in Appendix "E ", attached to this Agreement and made an integral part hereof. VII. Sections A.5 and A.6 are added to Appendix "D" as follows: 5. The CONSULTANT shall receive as payment for providing the services set forth in Section W of Appendix "A" of this Agreement the total fee not to exceed $370,000.00, unless a Supplemental Agreement is approved in writing by the LOCAL PUBLIC AGENCY. 6. The CONSULTANT shall receive as payment for providing the Right -of -Way Engineering set forth in Section W of Appendix "A" of this Agreement based on the specific cost per unit multiplied by the actual units of work performed, in accordance with the following schedule: Quantity Mania Subtotal a. Appraisal Problem Analysis 125 Each @ $200.00 $25,000.00 TOTAL $359,047.00 Based on preliminary property owner research, it is estimated that the Right -of -Way Engineering will include 125 individual parcels. If the actual number of parcels is equal to or less than the anticipated 125 parcels, the total fee should not exceed the $359,047.00 indicated above. It however, the number of parcels exceeds the 125 anticipated, the additional parcels shall be invoiced on a unit price basis per the unit prices shown above. In order to have funds available in the event that the total fee exceeds the $359,047.00, the total not to exceed fee shall be set at $370,000.00. The LOCAL PUBLIC AGENCY, for and in consideration of the rendering of the services provided for in Section A through Section Q and Sections V and W of Appendix "A ", agrees to pay to the CONSULTANT for rendering such services the fees established above in the following manner: a. For completed work and upon receipt of invoices from the CONSULTANT and the approval thereof by the LOCAL PUBLIC AGENCY, payments covering the work performed shall be due and payable to the CONSULTANT. From the partial payment thus computed, there shall be deducted all previous partial fee payments made to the CONSULTANT. Except as herein modified, changed and supplemented, all terms of the original Agreement dated July 1, 2010 shall continue in full force and affect.
