This is a memorandum of Agreement entered into on this xi ad day of Deeande 2 , 2010,
by and between the City of Jeffersonville, Indiana, and Jay's Acquisitions, Inc. / Krunchersl Inc.

The City agrees to install the pipe through the Krunchers property as described above, to
construct a deceleration lane off Spring Street and construct a new entrance, construct a new
traffic signal, and to re-grade an existing gravel parking lot inside the Krunchers facility so that it

$140,000. The total estimated cost of the entrance project is $200,000.
