The site is located along Utica-Sellersburg Road with approximately 2,400 feet of proposed ~
sewer length along the road. The proposed project includes construction of new sewers along the
route denoted. E""~

SCOPE OF WORK
It is our intent to conduct a subsurface exploration in order to obtain informatton about the depth
to the surface of rock at the site of the proposed new sewer alignment. This exploration is not V
designed to produce information concerning contamination or other environmental conditions.

Sounding locations were proposed by Josh Hillman of Jacobi, Toombs and Lanz to be advanced
every 100 feet along the alignment and extending to a depth of 5.0 feet below the ground surface
as indicated on the plan he provided. Mr. Hillman further indicated that if rock is encountered 3 o
above 5.0 feet. soundings should be advanced every 50 feet until rock is no longer encountered. ° b
Sounding locations will be located in the field using standard taping procedures and available '~' °'
fixed structures. No surveying equipment will be utilized in this exploration.
At the time of the exploration, atruck-mounted drill rig will be mobilized to the project site.
(OVeather conditions may delay mobilizatiaa during periods of prolonged precipitation. The
drill rig apparatus will be used to advance a total of 25 rock soundings along the proposed

alignment. 1f soundings encounter rock above 5.0 feet below the ground surface, additional
soundings will be advanced at 50 feet inters als until rock is no longer encountered above the
proposed invert. Also, if sounding information varies significantly, additional soundings will be
advanced. These additional borings will not be started without your prior approval.
The 25 rock soundings will be advanced to a depth of 5.(l foot below the ground surface. No
sampling of soil will be performed.
Groundwater le~•els tivill be recorded at boring termination in all of the soundings. If, at any time
during field activities, unanticipated subsurface conditions that could lead to significant desi~ or
construction difficulties are encountered, you will be notified.
After field testing is complete, the subsurface information will be reviewed and evaluated and a
report of our findings will be issued. The report will include:
-a Sounding Location Plan
-Sounding Summary
lf; at any time during the project, unexpected or unusual conditions or information are identified,
the scope of work will be reviewed to confirm that it is still appropriate and adequate. If
additional exploration anclr'or testing are necessary, you will be notified, and the added tasks will
be submitted for your approval.
SCHEDULE
Based on our current workload, the subsurface exploration can be started twelve to fourteen days
of authorization, weather permitting. If authorization is delayed more than fourteen days from
the date of this document; the start of vE~ork may be delayed. It is anticipated that exploratory
activit7es can be completed in two working days. As was previously noted, if, at any time during
f eld activities, unanticipated soil conditions that could lead to significant design or construction
difficulties are encountered, you will be notified. A verbal report can be submtted within rivo
working days of the completion of field activities. A written report of the work can be submitted
within seven working days of the completion of field activities. If significant project delays are
experienced, you will be contacted to discuss the revised schedule.
FEE ESTIMATE
The scope of work provided in this proposal can be performed for the lump sum fee of $3,$OO.Oa
(three thousand eight hundred dollars). Our fee is based on one drill rig mobilization and a total
of not more than 125 feet of rock soundings.
This fee also is based on the assumption the site will be accessible to truck mounted drilled
equipment at the time of the subsurface exploration. All-terrain vehicles andlor heavy
equipment needed to mo~•e the drill rig on the site after periods of heavy precipitations can
he retained far an extra charge.

if additional exploration or testing activities are deemed necessary, the unit fee will be an
additional $90,Q0 per additional sounding. No additional fees will be incurred without your prior
approval. If, at the client's request, at any time after the start of this project and prior to the.
completion of this project, the project is terminated; a prorated fee will be calculated based upon
the work completed up to the point that the project is terminated.
AUTHORIZATION
You may authorize our 'work an this project by your signature on the next page. You may wish
to issue a purchase order; however, this proposal and the contract number must be referenced on
the purchase order. Please note that your signature implies acceptance of the attached Contract
Terms. We must have a signed copy of this entire document in order to proceed with the project.

Contract Terms
1, PARTIES AND SCQpE OF' ~b'ORK: Construction Solutions, LLC {hereinafter referred to as "CS") shall include said company performing
the work. "Work" means the specific geotechnical, analytical, tGCting or other service to be performed by CS as set forth in CS's proposal, the
clients' acceptance thereof and these Contract Terms. "Client" refer, to the person or business entity ordering the work to be done by CS. if the
client is ordering the ttiork on behalf of another, the client represents and warrants that the client is the duly sutltorized agent of said party for the
purpose of ordering and directing said work. Unless otherwise stated in writing, the client assumes sole responsibility for detemtining whether
the quantity and the nature of the wank ordered by the client is adequate and su(licient for the clients' intended purpose. Client shall
cOmmunicatc these Contract Tetras to each and every third party to wltom the client transmits any part of CS's work. CS shat] have no duh• or
obligation to any third pam• greater than that set fonh in CS's proposal, client's acceptance thereof and these Contract Terms. The ordering of
work from C'S shall constitute acceptance ofthc terms of CS's proposal and these Contract Terms.
2, TESTS ll\D IVSpECTiOt'S: Client shall cattce all tests and inspections of the site, materials and work performed by CS or others to be
timely and properly performed in accordance with the plans, specifications and contract documents, and CS's recommendations. 1`o claims for
[ass, damage or injury shall be brought agaainst CS by client or any third party unless all tests and inspections have been so perforrncxl and finless
CS's recommendations have been followed. Client agt~ces to indemnify, detbnd and hold CS, its officer;, empio}•txs and agenu harmless from

4. ACCESS TO SITE: Client will arrange and provide such access fo the site as is necessary for CS to perform the wort:. CS shall take
reasonable measure` and precautions to minimize damage to the site and any irnprovemens located thereon as the mstth of its wort: or the use of
its equipment; however, CS has no[ included in its fee the cast of restoration of damage which may occur. Restoration of or reparation for
damage to crops on agricultural land is rta included in the fee stated in this proposal. Closing of open soil boring holes created by CS's
activities is included in the fee stated in this proposal. If client desires or inquires CS to restore the site to its former condition, upon written
request CS will perform such additional work as is necessary to do so and client agrees to pay to CS the cost thereof

conditions, client agrees to indemnify and save CS harmless from all claims, suits, lasses, costs and expenses, including reasonable attorneys

6. PAYMENT: Client shalt be invoiced at the completion of the wort: desetibed in this proposal, Client agrees to pay the invoice within thirri•
{30} days of its receipt. ]ntcrest in the amount of 1.S% per month wilt b. applied to all past due invoices. '
7. TERMINATION: This agreement may be terminated by wither party upon seven day's prior written notice. In the evens of termination, (.'S
shall be compensated by client for all sen•ices perforated up to and 'including the termination date, including reimbursable expenses, and for the
completion of such services and records as are necessary io place CS's files in order attdfor protect its professional reputation.
8. R'ARR.4\T1': CS's services will be pedormcd, its finding obtai»ed and its reports prepared in accordance with its proposal, client's
acceptance thereof, these Contract Terms, and with generally accepted principles and practices. Tn performing its professional services, CS will
use that degtce of care and skill ordinarily exercised under similar circumstances by members of its profession. This warranty is in lieu of all
other warranties er representations, either express or implied, Statemert~ made in CS reports are opinions based upon engineering judgemeFtt
and are not to be construed as representations of fact.
Should CS, or any of its professional employees be found to have been negligent in the performing of professional services or work or to have
made and breached anti, express or implied warranty, representation or corttrdct, client, all parties claiming through client and all parties claiming
to have in any way relied upon CS's services or work egret that the maximum aggregate amount of the liability ofCS, its officers, employees and
agents shall be limited to $1,060,000 or the total amount of the i'ee paid to CS for its work performed with respect to the project whichever
amount is greater.
4. IIVDEMIYI7'Y: Except to the extent specifically addressed in paragraph 8, client agrees to indemnify; defend and hold CS, its ofl+cers,
anployees, agent, and independent contractors harmless from any and all claims, suits, losses, casts and expenses, including but not limited to
court costs and reasonable attorney's fees arising or alleging to have arisen out of the performance of CS's work ]n [he event that client or
client's principal shall bring any suit, cause of action, claim or counterclaim against CS io the extent that CS shall prevail in such suit, cause of
action. claim, or counterclaim the party initiating such action shall pay to CS the costs and expenses irn;urred by CS to answer and/or defend
such suit, n f a ion, claim or counterclaim, including reasonable attorney+s fees, coup costs, witness fees and other related expeaees.
