Dear Mr. Ashack:
We are pleased to present this proposal for a subsurface exploration at the referenced site in
Jeffersonville, Indiana. This proposal includes our understanding of the project information, the
proposed scope of services, a fee estimate, and a projected schedule.
PROJECT INFORMATION
Project information was provided by you during a meeting on August 30, 2010. We were
provided with two plan sheets prepared by VS Engineers, dated July 22, 2010, titled "Requested
Geotechnical Evaluation Location" and "Proposed Force Main Ratite Location." You also
provided us with a sheet prepared by Fuller Mossbarger Scott and May, dated May, 1990, entitled
"Boring Layout and Logs of Borings." You indicated that the proposed borings are required to
extend at least 40 feet below the existing ground surface.
The site is located on the north side of the Tenth Street exit ramp from Interstate 6S in
Jeffersonville, Indiana. The existing pump station is plamied to be expanded to comply with the
terans of a Consent Decree with the US Environmental Protection Agency (USEPA}. The
addition will be located on the east side of the existing facility. A proposed force main will
extend to the northeast from the Tenth Street pump station across Spring Street to the south side
of 12`h Street, along 12`h Street to the intersection with Champion Road, then northeast along
Champion Road to the existing headworks at the Jeffersonville wastewater treatment plant.

It is our intent to conduct a subsurface exploration in order to obtain information about
subsurface conditions in the area of the proposed pump station expansion and force main. This
exploration is not designed to produce information concerning contamination or other
environmental conditions.
Boring locations were designated by VS Engineers. Boring locations will be located in the field
using standard taping procedures and available fixed structures. No suweying equipment will be
utilized in this exploration.

At the tune of the exploration, atruck-mounted drill rig will be mobilized to the project site.
{Weather conditions may delay mobilization during periods of prolonged precipitation). The
drill rig apparatus will be used to advance a total of six soil test borings at the desired locations;
three borings will be advanced at the pump station expansion location, and three borings will be
advanced along the force main route. The three pump station borings will be drilled to depths of
40 feet. If refusal is encountered shallower than 40 feet, rock will be cored to complete the
boring. Based on the boring information provided to us from the original plant construction,
refusal will be encountered about 25 feet to 30 feet below the existing ground surface. If rock
encountered is highly discontinuous, additional rock will be cored to identify more competent
rock. The three force main borings will be drilled to depths of 20 feet. Rock is not expected to
be encountered in these borings. If subsurface conditions vary significantly between borings,
additional borings will be advanced. These additional borings will not be started without your
prior approval.
Groundwater levels will he recorded at boring termination in all of the borings. Three borings
will be left open for 24-hour groundwater readings. One boring will be converted to a well in
order to obtain Qoundwater quality information. If, at any time during field activities,
unanticipated subsurface conditions that could lead to significant design or constniction
difficulties are encountered, you will be notified.
Laboratory testing of samples will include the following tests:
6 Moisture Content Profiles.
3 Atterberg Limits Tests. (soil)
2 unconfined compressive strength tests (rock)
After field testing is complete, the subsurface information will be reviewed and evaluated and a
written report of our findings will be issued. The report will include:
-a description of the exploratory methods used
-descriptions of subsurface conditions encountered
-a summary of published geologic information
-preliminary design recommendations, including:
-design bearing pressure
-additional design parameters, including:
estimated c and c~ values
moist and saturated unit weights
lateral earth pressure coefficients
-construction considerations, including:
backfill placement
drainage
excavation shoring and stability
-groundwater considerations
-a Boring Location Plan
-Boring Logs

If, at any time during the project, unexpected or unusual conditions or information are identified,
the scope of work will be reviewed to conhrm that it is still appropriate and adequate. If
additional exploration and/or testing are necessary, you will be notified, and the added tasks will
be submitted for your approval.
SCHEDULE
Based on our current workload, the subsurface exploration can be started within seven working
days of authorization, weather permitting. If authorization is delayed more than seven days from
the date of this document, the start of work may be delayed beyond seven days. It is anticipated
that exploratory activities can be completed in one to two working days. As was previously
noted, if, at any time during field activities, unanticipated soil conditions that could lead to
significant design or construction difficulties are encountered, you will be notified. A verbal
report can be submitted within four working days of the completion of Feld activities. A written
report of the work can be submitted within seven working days of the completion of held
activities. If significant project delays are experienced, yott will be contacted to discuss the
revised schedule.
FEE ESTIMATE
The scope of work provided in this proposal can be perfornled for the lump sum fee of $9,000.00
{nine thousand dollars). Our fee is based on one drill rig mobilization, one 40-foot well, and a
total of not more than 115 feet of soil test drilling and 45 feet of rack caring.
This fee also is based on the assumption the site will be accessible to truck-mounted drilled
equipment at the time of the subsurface exploration. AII-terrain vehicles and/or heavy
equipment needed to move the drill rig on the site after periods of heavy precipitation can
be retained for an extra charge. If additional exploration or testing activities are deemed
necessary, the unit fee will be an additional $40.00 per foot of rock care and $15.00 per foot of
soil test drilling. No additional fees will be incurred without your prior approval. If, at the
client's request, at any time after the start of this project and prior to the completion of this
project, the project is terminated, a prorated fee will be calculated based upon the work
completed up to the point that the project is terminated.
AUTHORIZATION
You may authorize our work on this project by your signature on the next page. You may wish
to issue a purchase order; however, this proposal and the contract number must be referenced on
the purchase order. Please note that your signature implies acceptance of the attached Contract
Terms. We must have a signed copy of this entire document in order to proceed with the project.

I. PARTIES AND SCOPE OF WORK: Construction Solutions, LLC' (hereinafter referred to as "C5") shall include sand company performing
the work. "Work" means the specific geotechnical, analytical, testing or other- service to be perforated by CS as set forth in CS's proposal, the
clients' acceptance thereof and these Contract Tenns. "Client" refers to the person or business entity ordering the work to be dune by CS. If the
client is ordering the work on behalf of another, the client represents and +varrarrts that the client is the duly authorized agent of said party for the
purpose of ordering and directing said work. Unless otherwise stated in writing, the client assumes sole responsibility for determining whether
the quantity and the nature of the work ordered by the client is adequate and sufficient fir the clients' intended purpose. Client shall
communicate these Contract Terms to each and every third party to whom the client transmits any part of CS's work. CS shall have no duty or
obligation to any third party greater than that set forth in CS's proposal, client's acceptance thereof and these Contract l•erms. The ordering of
work from CS shall constitute acceptance of the terms of CS's proposal and these Contract 'I•erms.
2. TESTS AND INSPECTIONS: Client shall cause all tests and inspections of the site, materials and work performed by CS or others to be
timely and properly performed in accordance with the plans, specificaUOns and contract documents, and CS's recommendations. No claims for
loss, damage or injury shall be brought against CS by client or any third party unless all tests and inspections have been so performed and unless
C'S's recommendations have been followed. Client agrees to indemnify, defend and hold CS, its officers, employees and agents harmless from
any and all claims, suits, losses, costs and expenses, including, but trot limited to, court costs and reasonable attomey's fees in the event that all
such tests and inspections are not so performed or CS's recommendations arc not so Ibllowcd except to the extent that such failure is the result of
a negligence, willful or wanton act or omission of CS, its officers, agents or employees
3. SCHEDi1LING OF NORK: 77te services set forth in CS's proposal and client's acceptance will be accomplished in a timely, workmanlike
and professional manner by CS personnel at the prices quoted. if CS is required to delay commcnccment of the work or if, upon embarking
upon its work, CS is required to stop or interrupt the progress of its work as a result of changes in the scope of the work requested by the client,
to fulfill the requirements of third parties, interruptions in the progress o1'cunstruetion, or other causes beyond the direct reasonable control of
CS, additional charges will be applicable and payable by client.
4. ACCESS TO SITE: Client will arrange and provide such access Io the site as is necessary for CS to perform the work. CS shall take
reasonable measures and precautions to minimize damage to the site and any improvements located thereon as the result ol• its work or the use of
its equipment; however, CS has not included in its fee the cost of restoration of damage which may occur. Restoration of or reparation for
damage to crops on agricultural land is not included in the lee stated in this proposal. Closing of open soil boring holes created by CS's
activities is included in the fee stated in this proposal. If client desires or requires CS to restore the site to its former condition, upon written
request CS will perform such additional work as is necessary to do so and client agrees to pay to C5 the cost thereof.
S. DAMAGE TO EXISTING MAN-MADE OBJECTS: iJnless CS has assumed in writing the responsibility of locating subsurface or latent
conditions, client ao ees to indemnify and save CS harnilcss from all Claims, suits, losses, costs and expenses, including reasonable attorneys
Ices as a result of personal injury, death or property damage occurring with respect to CS's performance of its work and arising from subsurface
or latent conditions or damage to subsurface or latent objects, stnrctures, line or conduits where the actual or potential presence and location
thereof was not revealed to CS by client.
6. PAY11Et\'T: CIit7rt shall be invoiced at the completion of the work descnhcd in this proposal. Client agrees to pay the invoice within thrrty
(3U) days of its receipt. Interest in the amount of 1.5% per month will be applied to all past due invoices.
7. TERMINATION: This agreement may he terminated by eithw party upon seven day's poor written notice. In the event of termination, CS
shall be compensated by client for all services pcrfonncd up to and including the terminatimt date, including reimbursable expenses, and for the
completion of such services and records as arc necessary to place CS's tiles in order and/or protect its professional reputation.
8. 1YARRANT'Y: CS's services will be performed, its finding obtmncd and rts reports prepared in accordance with its proposal, client's
acceptance iltereol; these Contract Terms, and with generally accepted principles and practices. In performing its professional services, CS will
use that degree of care and skill ordinarily exercised under similar cireuntstances by members of its profession. This +varranly is in lieu of all
other warranties or representations, either express or implied. Statements made in C'S reports arc opinions based upon engineering judgement
and are not to be construed as representations of fact.
Should C'S, or any of its professional employees be found to have been negligent m the performing of professional services or work or to have
made and hrcached any express or implied warranty, representation or contract, client, all parties claiming through client and all parties claiming
to have in any way relied upon CS's services or work agree that the maximum aegregatc amount of the liability of CS, its officers, employees and
agents shall he limited to $1,000,000 or the total amount of the fee paid to CS fur its work performed with respect to the project whichever
amount is greater.
9. [NDER7NITY: Except to the extent specifically addressed in paragraph 8, Client ar~n-ees to indemnity, defend and hold CS, Hs ol7icers,
employees, agcrrts, and independent contractors harmless from any and all claims, suits, losses, costs and expenses, including but not limited to
court costs and reasonable attorney's lees arising or alleging to have arisen out of the performance of CS's work. In the event that client or
client's principal shall bring any suit, cause of action, claim or counterclaim against ('S to the extent that CS shall prevail in such suit, cause of
action, claim, or counterclaim the party initiating such action shall pay to CS the costs and expenses incurred by CS to answer and/or defend
such suit, cause of action, claim or counterclaim, including reasonable attorney's lees, court costs, witness fees and other related expenses.
