This proposal includes our understanding of the project information, the 0 proposed scope of services, a fee estimate, and a projected schedule. j..~ -- ~ . _ ~ ^ PROJECT INFORMATION a ~ ~ _ 7 O ^J ~ ^ F Project information was provided by Josh Hillman of Jacobi, Toombs and Lanz, in an electronic ~P1~ V1 ~ ~ ^ transmission on June 11, 2010. We received a plan of the proposed boring locations within the Z- ~~ x alignment of a proposed sidewalk on the south side of Meadowlark Road. The plan depicted the (~ 3 . ~ ,--. O y sidewalk extending from the intersection of Allison Lane approximately 1,050 feet to the ~~; ~; intersection of Cardinal Lane. The proposed project includes construction of a pervious sidewalk along the route denoted. N SCOPE OF WORK Z It is our intent to conduct a subsurface exploration in order to obtain information about the subgrade at the site of the proposed sidewalk alignment. This exploration is not designed to ~ produce information concerning contamination or other environmental conditions. 0 .: Boring Locations were proposed by Josh Hillman of Jacobi, Toombs and Lanz to be advanced at locations as indicated on the plan he provided. Mr. Hillman further indicated that the infiltration G= rate of the subgrade encotmtered should be estimated upon boring completion. Borings will be ~~ located in the field using standard taping procedures and available fixed structures. No surveying equipment will be utilized in this exploration. '-'O ~~ ~m At the time of the exploration, atruck-mounted drill rig will be mobilized to the project site. (Weather conditions may delay mobilization during periods of prolonged precipitation). The drill rig apparatus will be used to advance a total of two (2) soil test borings along the proposed alignment. www.construct-solutions.com Proposed Meadowlark Road Sidewalk Jeffersonville, Indiana June 21, 2010 Both of the borings will be advanced to refusal depths or 10.0 feet, whichever is less. Standard penetration testing will be performed at the ground surface and at depths of 1.5 feet, 4.0 feet, 6.5 feet, and 9.0 feet. Splitspoon samples will be obtained at each test interval. The samples will be classified in the field by an engineer from our firm and will be placed in sealed jars and returned to the laboratory for testing. Groundwater levels will be recorded at boring termination in all of the borings. Due to safety considerations, twenty-four hour groundwater readings will not be taken, and all borings will be backfilled after the borings are completed. If, at any time during field activities, unanticipated soil conditions that could Lead to significant design or construction difficulties are encountered, you will be notified. Laboratory testing of soil samples will inchide the following tests: 2 Moisture Content Profiles 1 Atterberg Limits Tests. After field testing is complete, the subsurface information will be reviewed and evaluated and a report of our findings will be issued. The report will include: -a description of the exploratory methods used -descriptions of subsurface conditions encou~itered -a summary of published geologic information -groundwater considerations -estimated infiltration rates and implications for green infrastructure -a Boring Location Plan -Boring Logs If, at any time during the project, unexpected or unusual conditions or information are identified, the scope of work will be reviewed to confirm that it is still appropriate and adequate. If additional exploration and/or testing are necessary, you will be notified, and the added tasks will be submitted for your approval. SCHEDULE Based on our current workload, the subsurface exploration can be started within seven days of authorization, weather permitting. If authorization is delayed more than seven days from the date of this document, the start of work may be delayed beyond ten days. It is anticipated that exploratory activities can be completed in one working day. As was previously noted, if, at any time during field activities, unanticipated soil conditions that could lead to significant design or construction difficulties are encountered, you will be notified. A verbal report can be submitted within two working days of the completion of field activities. A written report of the work can be submitted within seven working days of the completion of field activities. If significant project delays are experienced, you will be contacted to discuss the revised schedule. Proposed Meadowlark Road Sidewalk Jeffersonville, L-diana June 21, 2010 FEE ESTIMATE The scope of work provided in this proposal can be performed for the lump sum fee of $1,200.00 (one thousand two hundred dollars}. Our fee is based on one drill rig mobilization and a total of not more than 20 feet of soil test drilling. This fee also is based on the assumption the site will be accessible to truck-mounted drilled equipment at the time of the subsurface exploration. All-terrain vehicles and/or heavy equipment needed to move the drill rig on the site after periods of heavy precipitation can be retained for an extra charge. No additional fees will be incurred without your prior approval. If, at the client's request, at any time after the start of this project and prior to the completion of this project, the project is terminated, a prorated fee will be calculated based upon the work completed up to the point that the project is terminated. AUTHORIZATION You may authorize our work on this project by your signature on the next page. You may wish to issue a purchase order; however, this proposal and the contract•number must be referenced on the purchase order. Please note that your signature implies acceptance of the attached Contract Terms. We must have a signed copy of this entire document in order to proceed with the project. Contract Terms 1. PARTIES ANU SCOPE OF 1VORK: C'onstrucuon Sohihuns, LLC (hereinafter rcfeired to as "CS") shall inciude said company perlbmm~g the work "Work" means the specific geotechnical, analytical, testing or other service to be peiformed by CS as set forth in CS's proposal, the clients-' acceptance thereof and these Contract Terms "Client" relcrs to the person or business entity ordering the work to be done by C'S. (f the client is ordering 1[te work on behalf of another, the client represents and warrants that the client is the duly authorized agent of said party for the purpose of ordering and directing said work. Unless otherwise stated m writing, the client assumes sole responsibility fir determining whether the quantity and the nature of the work ordered by the client is adequate and sufficient fur the clients' intended purpose C'licnt shall communicate these Contract -terms to each and every third parry to whom the client transmits any part of CS's work. CS shall have no duty or obligation to any third party greater than that set forth in CS's proposal, client's acceptance thereof and these Contract Terms. The ordering of work from CS shall constitute acceptance of-the terms of CS's proposal and these Contract Tei-rns. 2. TESTS AND INSPECTIONS: Client shall cause all tests and inspections of the site, materials and work performed by CS or others to he timely and properly performed in accordance tivith the plans, speciGcaGons and contract documents, and CS's recommendations. No claims for loss, damage or injury shall be brought against CS by client or any thud party unless all tests and inspections have been so perfirrmcd and unless CS's recommendations have been followed Client agrees to indemnify, defend and hold C5, its officers, employees and agents harmless from any and all claims, suits, losses, costs and expenses, including, but nut limited to, court costs and reasonable attomey's fees in the event that all such tests and inspections are not so performed or CS's recommendations are nut so followed except to the extent that such failure is the result of a negligence, willful or wanton act or omission of CS, its officers, agents or employees. 3. SCHEDULING OF WORK: The services set forth in CS's proposal and client's acceptance well be accomplished in a timely, workmanlike and professional manner by CS personnel at the prices yuoled. [f CS rs requrrcd to delay commencement of the work or if upon embarking upon its work, CS is required to stop or inten•upt the progress of its work as a result of changes in the scope of the work requested by the client, to fidfill the requirements of third panics, interruptions in the progress of construction, or other causes beyond thu direct reasonable control oC CS, additional charges will be applicable and payable by client. 4. ACCESS TO SITE: Client will arrange and provide such access to the site as is necessary for CS to perform the work. CS shall take reasonable measures and precautions to minimize damage to the site and any improvemems located thereon as the result of its work or the use of its equipment; however, CS has not included in its leo the cost of reskrrahun of damage which may occur- Restoration of or reparation tier damage to crops on agricultural land is not included in the fee stated in this proposal. Closing of open soil boring holes created by CS's activities is included in the fee stated in this proposal. if client desires or requires CS to restore the site to its former condition, upon written request CS will perform such additional work as is necessary to do so and client ab -ccs to pny to CS the cost thereof- 5. DAMAGE TO EXISTING MAN-MADE OBJECTS: Unless C'S has assumed in writing the responsibility of locating subsurface or latent conditions, client agrees to indemnify and save CS harrrtlcss from all clmms, sorts; losses, costs and expenses, including reasonable attorney's Pecs as a result of personal injury, death or property damage occurring with respect to CS's performance of its work and arising from subsurface or latent conditions or damage to subsurface or latent objects, structures, line or conduits where the actual or potential presence and location thereof was nut revealed to CS by then[. 6. PAYMENT: Client shall be invoiced at the completion of the work described m this proposal. Client agrees to pay the invoice within thn-ty (30) days of its receipt. htterest in the amount of 1.5% per month wi II be applied to all past due invoices. 7. TERMINATION: This agreement may be terminated by tither party upon seven day's prior written notice. In the event of termination, CS shall be compensated by client for all services performed up to and incltrdrng the termination date, including reimbursable expenses, and for the completion of such services and records as are necessary to place CS's Gles in order and/or protect its professional reputation. S. ~YARRANTY: CS's services wdl be performed, its finding obtained and its reports prepared in accordance with its proposal, client's acceptance thereof, these Contract Terms, and with generally accepted principles and practices. In performing its professional services, CS will use that degree of care and skill ordinarily exercised under similar circumstances by members of its profession. -this warranty is in lieu of all other warranties or repiesentations, either express or implied. Statements mach in CS reports ate opinions based upon engineering judgement and are not to be construed as representations offact. Should CS, or any of its professional employees be found to have been negligent in the performing of professional services or work or to have made and breached any express or implied warranty, representation or contract, client, alt parties claiming through client and all parties claiming to Itavc in any way relied upon CS's services or work agree that the maximum aggregate amount of the liability of CS, its officers, employees and agents shall be limited to 51,000,000 or the total amount of the fee paid to CS !•or its work performed with respect to the project whichever amount is greater. 9. INDEMNITY: E•xccpt to the extent specifically addressed in paragraph 8, client agrees to indemnify, defend and hold CS, its officers, employees, agents, and independent contractors harmless from any and all claims, suits, losses, costs and expenses, including but not limited to court costs and reasonable attorney's fees arising or alleging to have arisen out of the performance of CS's work.
