AUTHORIZING THE SUBMITTAL OF THE INDUSTRIAL
DEVELOPMENT INFRASTRUCTURE PROGR~MAPPLICATION
TO THE INDIANA DEPARTMENT OF COMMERCE AND
ADDRESSING RELATED MATTERS.
WHEREAS, the common Council of the City of Jeffersonville,
Indiana, recognizes the need to stimulate growth and to maintain a
sound economy within its corporate limits; and
WHEREAS, the Housing and Community Development Act of 1974, as
amended, authorizes the Indiana Department of Commerce to provide
grants to local units of government to meet the housing and
community development needs of Iow and moderate income persons; and
WHEREAS, the city of Jeffersonville, Indiana has conducted or
will conduct public hearings prior to the submission of an
application to the Indiana Department of Commerce, said public
hearings to assess the housing, public facilities and economic
needs of its iow and moderate income residents;
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the
city of Jeffersonville, Indiana, that:
1. The Mayor and the Common Council authorize the Department
of Redevelopment to prepare and submit an application for grant
funding to provide for infrastructure improvements associated with
the construction of Chemtrusion, inc. in the Clark Maritime Centre,
and to execute and administer a resultant grant including requisite
general administration and project management, contracts and
agreements pursuant to regulations of the Indiana Department of
Commerce and the Unites States Department of Housing and Urban
Development.

II.6. NARRATIVE HISTORY
Chemtrusion, Inc. was organized in 1987. First line operations
began in February, 1988. The second line was added in June, 1988,
and the third, in May, 1993. The company underwent procedures to
retrofit the first line in January, 1995. Chemtrusion,
wholly owned subsidiary of InterSystems, Inc. Its

the registered office is located at 8790 Wallisville Road, Houston,
Texas 77029. The facility which is to be located in
Jeffersonville, Indiana, will create approximately 76 new jobs and
will result in a $12.4 million investment in the community.

JOB CREATION AGREEMENT
INDUSTRIAL DEVELOPMENT INFRASTRUCTURE PROGRAM (IDIP)
THIS JOB CREATION AGREEMENT (the "Agreement") is entered into by and between the

WlTNESSETH THAT:
WHEREAS, the Grantee is applying to the Indiana Department of Commeme of the State of Indiana for
a grant from the Department's Industrial Development Infrastructure Program ("IDIP") under the
Department's Community Economic Development Fund (,CEDF") to help fund certain infrastructure
improvements that will benefit the Company, such IDIP funds being comprised of federal Community
Development Block Grant (CDBG) funds allocated to the Department by the U. S. Department of
Housing and U;ban Development (HUD) under the federal Housing and Community Development Act of
1974, as amended ("Act");
WHEREAS, the Act contains certain requirements regarding the use of funds to fulfill a "national
objective," as defined in the Act;
~ WHEREAS, the national objective to be fulfilled by the community's use of its IDIP grant is the creation
of jobs by the Company for Iow and moderate (Low and Moderate") income individuals, as defined
below;
WHEREAS, the ACt requires that the Company demonstrate its intent to create such jobs for Low and
Moderate income individuals;
NOW, THEREFORE, in consideration of the mutual promises contained herein, the Grantee and
Company agree as follows:
1. Use of Grant Proceeds. In the event that its application to the Indiana Department of Commeme is
approved, the Grantee agrees to use the proceeds of the CEDF grant to help fund certain infrastructure
improvements described in Exhibit A of this Agreement, which will benefit the Company.
The Company has reviewed Exhibit A of this Agreement and agrees that the infrastructure improvements
described in Exhibit A will be adequate to meet its requirements.
2. Creation of Jobs for Low and Moderate Income Persons. The Company understands that in order to
fulfill the requirements of the Department of Commerce's IDIP grant, not less than 51% of the jobs
created, on a full,time equivalent basis, must be "taken by" or be "made available," as those terms are
defined in the Act, to persons of Low and Moderate income. As further described below, the Company
agrees to fulfill this requirement.
The Company agrees that it will use its best efforts to create 75 permanent full-time equivalent jobs
within 18 months. The Company further agrees to use its best efforts to ensure that not less than 51% of
the jobs created, on a full-time equivalent basis, will be taken by Low and Moderate income equal to or
less than the Section 8 Housing Assistance Payments Program lower income limit established by the
Department of Housing and Urban Development for the Indiana county in which the project site is
located. Unrelated individuals are considered as one person families for this purpose.
In order to fulfill the job creation requirements in the event that the Company cannot locate sufficient
numbers of persons from Low and Moderate income families to "take" the requisite number of jobs, the
Company agrees that it will take steps and maintain documentation to demonstrate that such jobs were
first made available to persons of Low and Moderate income (see Sections 4 and 5 below).
3. Jobs to be Created. The Company represents that the attached list labeled Exhibit B is an accurate
list by job title of the jobs currently existing within the Company. The CompanY further represents that
the attached list labeled Exhibit C of this Agreement is an accurate list by job title of the permanent jobs
to be created under Section 2 of this Agreement at the site location which is subject to the IDIP grant
from the Indiana Department of Commerce. Exhibit C indicates which jobs will be made available to Low
and Moderate income perSOns, which jobs require special skills or education, the wage rate and average
number of hours per week and which jobs are part-time, if any.
4. Hiring Practices. The Company agrees that it will give "first consideration," as that term is used under
the Act, to persons of Low and Moderate income. In order to accomplish this, the company will review
past employment records to determine the average number of persons considered for each position
eventually filled, and will consider at least that number of Low to Moderate income persons for each of
the permanent jobs to be created. If, for example, the Company finds that on average three persons are
considered (interviewed) for each position before that positions filled.
The Company agrees that special skills that can only be acquired with substantial training or work
experience or education beyond high school will not be made a prerequisite to fill jobs that are
considered available to persons of Low and Moderate income, or that the Company will hire unqualified
persons and provide training.
5, Records. The Company agrees to keep records regarding the creation of such Low to Moderate
income jobs in accordance with the Act.
The Company agrees that it will either obtain and keep on file for verification "adequate information"
about each applicant and/or hire to determine Low and Moderate income status, Or accept referrals of
Low to Moderate income persons form the local office of the Indiana Department of Workforce
Development. The term "adequate information" as used above shall include at a minimum, a statement
that the person's family income is below that required for a family of its size to be Low and Moderate
income, and a statement signed by the applicant that the information is subject to verification by
authorized government officials.
6. Reporting. The Company agrees that it will, upon completing its scheduled hiring or as otherwise
requested by the County, f~rnish to the Grantee for forwarding to the Indiana Department of Commerce
the following documents:
a. ~ list by job title of the permanent jobs filled, indicating which jobs were initially held by Low and
Moderate income persons;
b. For each such Low and Moderate income person hired, the size aed annual income of the immediate
person's family prior to the person being hired for the job or documentation of the person's referral from
an organization program with equally or more restrictive irmome limits such as the local Indiana
Department of Workforce Development;
c. Where the company has completed its scheduled hiring but less than 51% of the jobs created were
taken by Low and Moderate income persons, the company will also provide to the Grantee for forwarding
to the Indiana Department of Commeme the foilewing documents:
i. A list by job title of the permanent jobs filled and which jobs of those were made available to Low and
Moderate income persons but not filled by Low and Moderate income persons; and
ii. A description of how first consideration was given to such persons for those jobs (must include a
description of the hiring process used, which Low and Moderate income persons were interviewed for a
particular job and which Low and Moderate interviewed were hired).
7. Penalties. The company agrees that if it does not fulfill its responsibilities under this Agreement
respective to fifty-one percent (51%) Low and Moderate income job creation it will reimburse the Grantee
those IDIP grant funds expended in connection with the infrastructure improvements described in Section
I of this Agreement.
