TERMS AND CONDITIONS OF SALE

1. DURATION ,
Duration of Proposal: Quoted prices are firm for t~irty days (30) from date of proposal.
2. CREDIT/PAYMENT TERMS
A. Credit: This agreement is subject to credit approval. Credit may be established upon acceptance of satisfactory
credit information, including a completed customer profile. In the .absence of adequate credit, full or partial
payment and/or payment upon delivery will b'e required. Customer shall be responsible for any attorney's fees and
collection costs incurred by Office Environm~nt Co. regarding the collection of customer's account.
B. Payment Terms: The terms of sale are net fi~een (15) days from date of invoice. A monthly service charge of 1.5%
per month (18% per year) will apply to all delinquent payments and will be added to the balance outstanding.
C. Deposits: Office Environment Co requires a50% deposit of $ 4.363.98 . All deposits must be
received prior to the entering of any order.
D. Invoicing: Product will be invoiced upon Office Environment Co receipt. Services will be invoiced upon completion
of the project.
E. Withholding: Payment may be withheld on al;1 invoice only for the specific damaged or missing merchandise.
3. ADDITIONAL COSTS
A. Taxes: Purchaser shall pay all required taxes. If purchaser is tax exempt, a completed certificate of resale or tax
exempt certificate shall be supplied by purchaser upon acceptance of this proposal.
B. Storage: Product held in storage more than thirty (30) days due to construction delays and other changes in plans
by customer will be subject to a monthly storage fee of $1.50 per square foot. Product held in trailers due to
construction delays or other changes in plans by the customer will be subject to a $175.00 per day/per trailer
storage fee. '
4. CANCELLA TIONS/RETURNS/CHAf\J.GES/ADDITIONS
A. Cancellation: Subject to manufacturer's and IOffice Environment Co approval. Office Environment Co will charge a
10% project management fee for canceled qrders. If the manufacturer is unable to accommodate the request for
cancellation, the sale will be final and terms ,and conditions must be upheld. Priority or Quick Ship merchandise is
not subject to cancellation. '
B. Specials/C.O.M. (Customer's Own Material): All sales involving products which are non-standard or are covered in
C.O.M. fabrics are non-cancelable.
C. Returns: May only be made with the prior p~rmission of Office Environment Co; such permission may be withheld.
If a return is accepted there will be a restocking charge assessed on all returned merchandise; such charge will be
specified by Office Environment Co, but will be at a minimum of fifty (50%) percent of the price ofthe merchandise.
D. Additions: All orders for additional items, whether oral or written, made subsequent to this purchase agreement
shall be subject to the terms and conditions'hereof.
E. This agreement contains the entire agreement of parties, and no changes, modifications, amendments, or
cancellations shall be effective unless in wri:ting and accepted by an officer of Office Environment Co.
5. JOBSITE CONDITIONS '
A. Jobsite Service: Electric current, light, heat; hoisting and/or elevator service and suitable unobstructed dock space
and secured staging/storage will be furnished without charge to Office Environment Co.
B. Conditions of Jobsite: Customer's jobsite sl1all be clean, safe, and free of debris prior to installation. Delivery and
installation encumbrances which necessitate additional labor will result in extra charges.
C. Receipt and Protection of Delivered Goods; Provided the merchandise does not arriveat the site earlier than the
date requested, safe and adequate storage space will be provided by the customer. If space provided is
inadequate and requires excessive sorting or storage cost, such excess cost will be reimbursed by the customer. If
the space provided is inconveniently locatep on another floor, the extra cost of transporting to and from storage will
be reimbursed by the customer. If the mercl1andise must be moved due to progress of other trades or other
reasons, the extra cost of such moving will be reimbursed by the customer:
After arrival at the site, any loss or damage' by weather, other trades (such as painting or plastering), fire or other
elements, shall be the responsibility of the customer, and the customer agrees to hold the seller harmless from
loss for such reasons.' ' '
Public liability, Workmen's Compensation, F>roperty Damage, Automotive and Occupational Disease insurance are
carried by Office Environment Co and certi~cates will be delivered upon request. Fire, Tomado, Flood and other
insurance at the sitewill be provided and paid for by the customer.

6. DELlVERY/INST ALLA TION
A. Working Hours: Delivery and installation will be made during normal working hours. Additional labor costs resulting
from overtime work preformed at the custom~r's request will be paid by the customer at the appropriate overtime
row. .
B. Responsibilities: Office Environment Co assymes the responsibility to receive, inspect, and make any necessary
freight claims. Office Environment Co may elect to meet the troiler shipments at the job site and install without re-
handling.
7. WARRANTY
A. All fumiture is warranted by the seller to be free from defects in materials and workmanship.
